We, the majority of the Board of Directors of PONDO PINOY LENDING CORP the
“Corporation” a corporation duly organized and existing under the law of the Republic
of the Philippines and with office address at Unit 102 Zitan, Greenfieled District Highway Hills
Mandaluyong City. state as follows:

At the special meeting of the Board of Directors of the Corporation held its
principal place of the business on June 20,2023 wherein a quorum was presented and
acting throughout, the following resolution were unanimously passed and approved:

RESOLVED, that the Corporation hereby appoint Giovanni B. Velo

as Chief Compliance Officer of the Corporation.
RESOLVED FURTHER, that the Corporation authorize Mr. Velo
to sign, execute, receive and deliver, for and on behalf of the
Corporation any and all documents and such other instruments
necessary for the Corporation related AMLC Registration.
