The company that I enrolled for Cooperative Placement 2 is Seedset Sdn Bhd. The company
was established and incorporated in 2018 by its founder, Agnes Wong. The company is a
professional firm providing mergers and acquisition (M&A) transaction advisory services
management consulting services to multi-disciplinary clientele ranging from financial and
technology ("FinTech"), online marketplace, supply chain management software, payment gateway,
distributors, constructions, etc. Our team had served clients from North America, Southeast Asia,
Middle East, and Australia. Seedset Sdn Bhd act as a boutique sell side investment bank specialises
in mergers and acquisitions (M&A) transactions for its wide range of clienteles.

The M&A Activities globally is expected to remain robust over the next five years.
Companies tend to engage in M&A activities to drive growth, expand market presence, adapt to
new technologies and to diversify its product portfolio. M&A is seen as a strategic approach done
by many companies to achieve inorganic growth by acquiring or merging with another company.
According to research by PWC, the global M&A industry in 2022 showed a decline in both deal
values and volumes by 17% and 37% respectively compared to 2021. From the regional aspect,
Asia pacific had also shown declined deal values and volumes by 23% and 33% in the same period.
PWC mentioned that the reason behind the declining trend in M&A activities were contributed by
the prolonged Covid-19 pandemic and weakening demand for exports.

On the other hand, the M&A landscape in Malaysia was robust in 2022 due to several
factors. As companies were looking to diversify themselves from China due to trade tensions with
the United States, they were looking for merging or acquiring companies in the Southeast Asia
region including Malaysia.  Moreover, companies in Malaysia are looking at deals as a strategy to
expand their businesses quickly in the coming years or refocus on their core business activities
according to PWC research. Malaysia economic growth also predicted to remain robust in the next
five years based on the GDP growth in 2022 of 8.7%. Research by Alpha Sense has shown that the
focus in M&A activities are in renewable energy space. As companies catch up with the
Environmental, Social and Governance (ESG) trends, they tend to acquire the companies that
already engaged in the renewable energy sectors. The government of Malaysia also supports the
renewable energy initiative with the establishment of Sustainable Energy Development Authority
(SEDA) in 2011 thus may spur an increase in M&A activities among the renewable energy sectors
in the coming years.

Some of the key players in Malaysia in the M&A industry are large investment banks and
boutique advisory firms. Most of the large investment banks such as Maybank Investment Bank,
Kenanga Investment Bank and RHB Investment Bank had their own M&A advisory department
specializing in corporate finance and fundraising. Boutique advisory firms such as Seedset
Advisory, Quantephi Advisory, DWA advisory and Abeam Consulting are among the industry
players in the boutique advisory firm segment.

Seedset Sdn Bhd is an advisory firm specializing in corporate finance and M&A transaction.
As an intern, I have been given various tasks to support the company’s operations. One of the tasks
that was given to me was bookkeeping, for which I had to include the transactions and expenses of
the staff into accounting software. Other than that, I was also given a task relating to M&A
transactions for which I had to do buyer research for the selling company. Buyer research basically
requires finding the relevant information and shortlisting possible companies that may be a buyer
for the selling company. The process of buyer research requires thorough analysis of the selling
company to determine the suitable buyer candidate for the possible M&A transaction.

Furthermore, I also gained some experience in making and constructing financial models to
arrive at a suitable valuation for the selling company. When making financial models, knowledge
on financial ratios were applied to make forecasted series of cashflows from the income statement
and the balance sheet and the common method to value a company is by using Discounted cash
Flow (DCF) and Enterprise Value (EV) method.

Seedset Advisory is a company registered as a private limited company under Suruhanjaya
Syarikat Malaysia (SSM). As aregistered company, it must adhere to the relevant accounting
standards such as producing the annual financial statements
