1. That, my client is a peace loving citizen of India, having his own business. That she

is independent women.

2. That my client is partner in the WISDOM SPECIAL SCHOOL, located at plot no.7B

first floor, Naresh park , Najafgarh Road , Nangloi , Delhi-110041 with the you and

a partnership deed has been executed dated 29 th June 2022 at Delhi between my

client and your client. That the said deed is duly signed by both the parties and is

executed on Rs. 200 stamp paper at Delhi.

3. That the duties and obligations of both the parties is been clearly explained in the

deed dated 29th June 2022. That as per the deed both partners have equal right

towards the school i.e. WISDOM SPECIAL SCHOOL as mentioned deed dated

29.06.2022. That the point related to partnership from the deed is been quoted

hereunder:

“That the profit and loss of the firm will be divided between both the

parties in following profit & loss sharing ratio”

First party: 50 % ( FIFTY PERCENT)

Second party : 50% ( FIFTY PERCENT)

And the ratio of the profit and loss will increase and decrease at

any time with the mutual and free consent of both the parties.

That as per the execution of deed, this clause has not been applied by you as you

were habitual offender to not to only with said clauses of the deed dated 29 th June

2022. That you never gave priorities to the term and conditions of the partnership

deed. Furthermore, due to such action of your client, my client had faced huge

financial issues in the day to day life.

4. That you were not used to follow directions of the deed since long time and that you

has started taking a extra profits/money and also you used to mentioned the false

and fabricated miscellaneous expenses in the school account. When it came to the

knowledge of my client than she orally requested to you to stop this but you started

questing on the working ethics of my client and also threaten to my client that if

“she will come to the school than she is the only responsible for his own

action”. That you taking the unadvantage of the clam behaviors of my client

and also trying show manhood to her”. Further, you continued to beach the

terms of the partnership deed.

5. Further, there are multiple clauses written in the partnership deed which are

breached by you during the time of working with my client. That my client has given

you many opportunities to manage the things as per the instructions of my client but

you have repeatedly failed in the same and has breached clauses at different times.

That due to such irresponsible actions of you my client faced so many financial,

mental and other issues. Hence, your actions indicate bad and malafide intentions

against my client and you are liable to compensate her.

6. That it is stated by my client has tried to contact you for the mutual settlement but

my client unable to settled with you as you have started to avoid communication

with my client.

7. That my client always tried to settle the issues amicably with you but you didn’t pay

any heed/attention to all the rightful and lawful efforts from my client and regularly

kept on lingering on the issues with spiteful intensions, presumably denying any

settlements with my client.

8. That my client has also had completed and fulfilled all the obligations of the agreed

in the partnership deed on timely bases but you had breached the terms of the

deed executed between both the parties. Thereafter my client wants to terminate

the partnership deed in light of the recent surrounding the business. As mentioned

in the initial partnership deed, in case of termination due to uncontrollable business

issues the termination will lead to an equal division of all the profits raised in the

month of Dec 2022 to 15th Jan 2023 as well as liabilities between the partners.

In view of the above, the my client vide the present notice calls upon you to pay the

profit/share of the month December -2022 to 15 th January-2023 my client as per

the partnership deed, dated 29 th June 2022 of Rs. 2, 50,000/-.(Rupees Two Lac

Fifty Thousand Only) as per the terms of deed. Also, you are liable to appropriate

compensation pay Rs. 5,00,000 (Rupees Five Lac only) for breach of deed dated

29th June 2022.Furthermore, take note that in case of your failure to make the

payment, you will be charged interest @ 18% from the due date till the date of

actual payment. Further, the my client shall also be constrained to initiate

appropriate legal proceedings against you for the recovery of the above amount

along with the interest. This letter initiates the formal termination procedure which

shall be complete in the 30 days from the date of our notice.
