 PART-III. COMMERCIAL TERMS
1. Time of delivery: within 45 working days after getting the deposit. The Seller shall not be liable for
failure or delay of the delivery in consequence of any Force Majeure incidents or any serious anthropic
factor caused by the buyer.
2. Price terms:FOB Shanghai.
3. Packing: The products should be processed to be rustproof and moisture proof before delivery. The
small parts are packed into wooden crates; the big parts are wrapped by plastic sheeting.

4. Payment:
A.100%T/T, 30% deposit of total amount to be paid after signing the sales contract, the rest to be paid
after inspection and before goods leave factory.
B. 30%T/T as deposit and 70% irrevocable L/C at sight by famous bank opened before shipping.
C.100% irrevocable, at sight L/C, issued by the first class bank of the world.

5.Documents: The Seller shall present relevant technical and commercial documents to the buyer afte
receipt of the deposit. Include: Drawing of the Foundation work.

6. Inspection: The buyer can send people to come to the seller’s factory for inspection of the producing
process after payment of the deposit. When goods ready, any third party inspection also warmly
welcomed.

7. Installation:
Services of skilled technician(s) to supervise the assembly, installation, commissioning and train the local
operator will be supplied after the seller confirms the preparation for installation is ready in the buyer’s
site. The buyer should prepare the necessary materials, tools, human labors and offer necessary
assistance. The reasonable local cost of the technician(s) during installation period including the
accommodation, round-trip ticket, insurance, communication fee, etc. are on the account for the buyer.
In addition, the buyer should pay 150 US dollars to the technician(s) per person per day as salary.

8. Warranty: A.All equipment is guaranteed free from defects or faults in materials and workmanship
for a period of 12 months’ operation or 15months from leaving seller’s factory (whichever occurs
first);B.During the warranty period, if any serious quality defect be found in the contractual machines,
the seller should negotiate and solve the problem by repairing or replacement with new parts. If the
defects are fatal and can not be recovered, the seller should accept returning of corresponding machine
and refund to the buyer, without taking any other responsibility or expense;C.This warranty excludes
damage caused by negligence, carelessness, incorrect maintenance, lubrication or operation, or any
unauthorized modification;D.The seller will not guarantee the quality of the machines or other goods
souring from other supplier at the request of the buyer.

9. Valid time: This quotation will be effective within 30 days after issuing.
