MEMORANDUM OF AGREEMENT

This Memorandum of Agreement on quota policy is made and entered into as of

RECITALS

WHEREAS, Seller desires to establish sales quotas for its employees to meet in order to
achieve its business objectives; and

WHEREAS, Employee has been hired by Seller to fulfill the role of a sales representative;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below,
the parties agree as follows:

SALES QUOTA. Employee shall be responsible for meeting a sales quota established by Seller.
The sales quota shall be subject to review and modification by Seller in its sole discretion from
time to time.

Sales quota. The quota of the trained sales representative is forty (40) live transfers per month.

Immediate Termination. If the trained sales representative is unable to achieve the required floor
target of twenty (20) live transfers per month and six (6) live transfers within a two-week period
for the trainee, immediate termination is implemented.

Warning System. In the event that the sales representative fails to reach the sales quota, a
warning system will be initiated, and the sales representative will receive a first and second
warning, respectively. Nevertheless, if the agent accomplishes a minimum of fifty (50) live
transfers within a month, they may utilize this to either eliminate current warnings or accumulate
credit for future use. Maximum stack of credit is one (1).

PERFORMANCE. Employee agrees to use their best efforts to achieve the sales quota
established by Seller. Employee acknowledges that failure to achieve the sales quota may result
in disciplinary action up to and including termination of employment.

COMMISSION. Sales Representative shall be entitled to a commission on all sales made by the
Sales Representative during the Term of this Agreement. The commission rate shall be [Rate] of
the net sales amount of the products/services sold by Sales Representative.

SALES REPORTS. Employee agrees to submit sales reports to Seller on a regular basis, as
requested by Seller. These reports shall include all relevant sales information, including but not
limited to the total amount of sales made during the reporting period, the status of pending
sales, and any other information relevant to the sales process.

CONFIDENTIALITY. Employee agrees to maintain the confidentiality of all sales information and
customer data obtained in the course of their employment. Employee acknowledges that such
information is the property of Seller and is to be used solely for the purpose of conducting
Seller's business.

TERM AND TERMINATION. This Agreement shall remain in effect until terminated by either
party upon written notice to the other party. Notwithstanding the foregoing, Seller may terminate
this Agreement immediately in the event of a breach by Employee of any material term or
condition of this Agreement.

GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the
laws of the State of [state], without regard to its conflict of law provisions.

ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties
and supersedes all prior negotiations, understandings, and agreements between them.
