2. At the meeting of the Board of Directors of the Corporation held at its principal office on
March 16, 2023, at which meeting a quorum was present and acting throughout, the following resolutions
were unanimously approved:

“RESOLVED, that the Corporation hereby authorizes MR. EDGAR SUMAYLO,

our liaison officer, to submit/register the Manual Loose-leaf Books of Accounts
(Cash Disbursement Book, Cash Receipt Book, General Journal Book, General
Ledger Book) of AGAPP FOUNDATION INC., with the Bureau of Internal
Revenue;

RESOLVED, FINALLY, that any and all resolutions and/or authorizations to the
contrary are hereby suspended, revoked, and/or amended and that the foregoing
resolutions shall continue to have full force and effect until the same are repealed,
amended and/or suspended by subsequent resolutions to the contrary.”
