Maintenance Service Agreement

This agreement is made on in between,

Camko Motor Company.,Ltd, A Company incorporated under the laws of the Kingdom of
Cambodia and having address at # 21, Preah Monivong Boulevard, Sangkat Sras Chak, Khan
Daun Penh, Phnom Penh, Kingdom of Cambodia, with TIN 100135366, represented by
Mr.Pech Youseng , Manager of Service Department, hereinafter called “Camko”

“Client”,

Both parties agree to the following:

Article 1: General Provision


Camko agrees to provide the repair and maintenance services and Client agrees to use repair
and maintenance services for its own Cars under models HYUNDAI with following
specifications (“Car”) to Client:
1. HYUNDAI MODEL(ex. H-1): Plate No.
2. HYUNDAI MODEL: Plate No.
3. HYUNDAI MODEL: Plate No.

Article 2: Repair and Maintenance Fee


Repair and maintenance fee shall be charged according to invoice based on “Camko”
quotation approved by “Client”. For the spare part replacement warranty for 03 Months of
Hyundai Genuine parts that cause from technical problem and beside consumable part.

Article 3: Payment Terms


“Camko” agrees to provide credit term of 30 Days to “Client”.
The maximum amount of credit is USD 3,000.00 (Three Thousand United States Dollars).
“Client” shall pay the repair and maintenance fee to “Camko” within 30 Days from
completion of repair and maintenance service and issuance of invoice from “Camko”.

Article 4: Payment Method


“Client” shall pay “Camko” by either cash or check or bank transfer to “Camko” bank
accounts as following:

Article 5: Late Payment Penalty
“Client” shall pay a penalty fee of 0.5% of amount due per day of late payment but a penalty
fee shall be no less than US 05 Dollars per day. In case of late payment to “Camko”,
“Client” should be informed 03 Days before the deadline to avoid penalty, but the payment
delay not more than 01 week. Otherwise, the late penalty payment will be charged as the
policy.

Article 6: Force Majeure


Neither party is liable to another party in case of Force Majeure such as riot, strike, war, flood,
or forces beyond control of both parties.

Article 7: Validity
This agreement is valid for one year from the date of signature.
In case that “Client” delays payment two times in period of validity, this agreement is
cancelled.

Article 8: Termination

“Client” shall provide advance notices in written for the intention of contract termination or
renewal of this contract at least 30 Days in advance before the date of contract termination.

Article 9: Final Clause


This agreement is made in two copies of the same value for each party.
