DEED OF ABSOLUTE SALE OF LAND

KNOW ALL MEN BY THESE PRESENTS:

This Deed, made and entered into by and between:

xxx, of legal age, Filipino and with residences & postal address at ADDRESS,
hereinafter referred to as the “VENDORS”
-and-

xxx, of legal age, Filipino and with residences & postal address at ADDRESS ,
hereinafter referred as the “VENDEES”

WITNESSETH: That –
WHEREAS, the VENDOR is the absolute owner of a parcel of land, particularly
describes as

(hereinafter referred to as the “Propety”),

WHEREAS, the VENDOR, sells only whatever rights and title to, interests and
participations it has acquired over the Property, and the VENDEES acknowledges that they have
full knowledge of the nature and extent of VENDOR’S rights and title to, interests and
participation in the property.

WHEREAS, the VENDEES have offered to purchase the Property and the VENDOR
has accepted said offer.

NOW, THEREFORE for and in consideration of foregoing premises, the parties hereto
have agreed as follow:

1. For and in consideration of the sum of Philippine Pesos: AMOUNT , receipt of


which is hereby acknowledged by the VENDOR to its entire satisfaction, the said
VENDOR has sold, transferred and conveyed and by these presents does hereby sell,
cede, transfer and convey absolutely and irrevocably by way of Absolute Sales unto
the VENDEES, their heirs, successors and assigns, the Property, free from all liens
and encumbrances and tax claims of whatever kind and nature.

2. The VENDEES shall assume the payment of all taxes, imposts, assessments or the
charges and liabilities on the Property that may now be due or which may hereafter be
imposed by the Republic of the Philippines.

3. The VENDEES shall defray all expenses necessary or incidental to the


conveyance and transfer of the Property, including but not limited to documentary
stamp taxes, business tax, notarial fees, registration fees, and such other charges and
expenses as may be necessary to said transfer.

4. The VENDEES warrants that they have personally inspected the Property and are
satisfied with the condition of the Property as much as the documents evidencing the
VENDOR’S ownership over the same on “As-Is, Where-Is” basis with respect to the
physical condition, occupancy and existing of the Property.

5. The VENDOR hereby represents and warrants to the VENDEES the following:
a. It has the full power and authority and legal right to enter into and execute
this Deed of Absolute Sale and the same constitutes its legal, valid and
binding obligation enforceable in accordance with its terms;
b. It has absolute and good title to and has the right to cede, transfer and
convey to the VENDEES all its rights, title to and interests in the Property;
and;
c. It agrees to deliver to the VENDEES all such instruments and documents
available to the VENDOR, which are necessary to ensure that the Deed of
Absolute Sale is effective in all aspects.
