SEO SERVICE WORK CONTRACT

This SEO Service Work Contract ("Contract") is entered into on this 12/12/2022 (the
"Effective Date") between Saman Fernando, hereinafter referred to as the "Service Pro-
vider," and Ihor Kaplin, hereinafter referred to as the "Client."

1. SCOPE OF SERVICES
1.1 The Service Provider agrees to provide SEO (Search Engine Optimization) services to
the Client, including but not limited to:
a) Keyword research and optimization
b) On-page optimization
c) Off-page optimization
d) Content creation and optimization
e) Link building
f) SEO analytics and reporting

2. DURATION OF SERVICES
2.1 The services provided under this Contract will commence on the Effective Date and
will continue until the completion of the agreed-upon scope of work or until terminat-
ed by either party in accordance with the termination clause of this Contract.

3. PAYMENT
3.1 The Client agrees to pay the Service Provider the agreed-upon fee for the SEO servic-
es as outlined in the attached project proposal or as otherwise agreed in writing.
3.2 Payment terms:
a) Full amount of $5000 need to paid upfront via Payoneer

4. OWNERSHIP AND CONFIDENTIALITY

4.1 The Client retains ownership of all intellectual property rights associated with their
website, content, and materials provided to the Service Provider.
4.2 The Service Provider agrees to keep all confidential information disclosed by the
Client during the course of this Contract confidential and shall not disclose it to any
third party without the Client's prior written consent.

5. TERMINATION
5.1 Either party may terminate this Contract with written notice if the other party fails to
perform any material obligation under this Contract, subject to a 60 days notice period.
5.2 The Client may terminate this Contract at any time by providing a written notice to
the Service Provider, subject to the payment of any outstanding fees due for the servic-
es rendered up until the termination date.

6. DISCLAIMER OF GUARANTEE
6.1 The Service Provider does not guarantee specific results or rankings on search
engines, as SEO effectiveness depends on various external factors beyond the Service
Provider's control.
7. ENTIRE AGREEMENT
7.1 This Contract contains the entire agreement between the parties and supersedes
any prior understandings or agreements, whether written or oral, relating to the sub-
ject matter herein.

8. GOVERNING LAW AND JURISDICTION

8.1 This Contract shall be governed by and construed in accordance with the laws of Sri
Lanka.
8.2 Any dispute arising out of or in connection with this Contract shall be submitted to
the exclusive jurisdiction of the courts of Sri Lanka.

both parties acknowledge their understanding and agreement to the terms outlined
herein.
