CONSULTANCY CONTRACT
BETWEEN

This contract is in two parts:
1. Part A: outlines the scope of the contract.
2. Part B: outlines the terms of references, roles and responsibilities of the two parties,
namely “Client” and “Consultant”.
PART A
PREAMBLE
Caritas Fort Portal HEWASA is a national Non-Governmental Organisation engaged in national relief
support and development cooperation.

Caritas Fort Portal HEWASA in close cooperation with a Private Service Provider PCVTC Client does
support sustainable development projects and programmes that improve the living conditions of the
displaced and socially weak groups of the population.

Further, it provides emergency and reconstruction aid in cases of conflict and disaster and lately it is
also involved in interventions aimed at skilling the vulnerable Refugee and Host Community youth for
employment and incomes.

PURPOSE OF THE CONTRACT


This contract is drawn in order to ensure the commitment of both parties in order to guide
their roles and responsibilities and the mode of operation during the process of service
delivery.

 PCVTC (CLIENT) agrees to sustain the costs of ..................... carry out the activities as
described in Part B of this document.
 This specific contract between CLIENT and.................. shall come into force
on ........., 2022 and be the basis of rendering consultancy services outlined in the
subsequent sections of this contract until ............., 2022.

SCOPE OF THE CONTRACT


PCVTC (CLIENT) hereby enters into a contract with The Consultant to purposely render
entrepreneurship training to 80 youths in two separate classes of 40 and 40 participants
respectively.
The main objectives of this training are as follows:
 To conduct training in Entrepreneurship using modules (as documented in the GALS
and DSW manuals on the subject)in line with the identified topics in tandem with the
needs of the 80 youth apprentices. It is understood that the manual is only to guide the
trainer and not to eliminate use of other relevant materials that enhance adequate
understanding of the subject by the participants.
 The consultant shall compile, prepare and submit a detailed training report to the
CLIENT pointing out the areas covered, methods used, challenges and
recommendations not later than 2 weeks from the last day of the training.
MODIFICATION
No amendments or modifications of this contract will be accepted unless both authorized
persons of CLIENT and Consultant have signed it.
LIABILITY
PCVTC (CLIENT) does not assume liability for any claims for damages or any accidents
arising out of this agreement or during the time of executing it. The Consultant must cover all
health cost arising during the period and will not be compensated in case of any disability or
death arising out of this agreement.
OTHER PROVISIONS
8.1 Confidentiality
Personal information pertaining to any individual or organization shall be respected. The
content of any files, letters or documents can only be released to persons duly authorised by
this memorandum of understanding.

three instalments as follows:30% of the total cost at the beginning of the work, 30% when
the work is half way done and the remaining 40% at the end of the entire training and
submission of training report by the consultant.

branch as furnished by the consultant.
PART B
1. OBLIGATION OF THE CONSULTANT
The Consultant shall have the following roles and responsibilities:
(i) To mobilize alltools, equipment, materials for practical understanding of the subject –
Entrepreneurship. On the other hand, PCVTC will provide basic induction materials
which include masking tapes, flip charts and markers in addition to the venue and
meals for trainees.
(ii) The consultant will submit a final narrative report to CLIENT of the proceedings and
the outcome of the training not later than 2 weeks from the last day of training.
2. OBLIGATION OF CLIENT
CLIENT shall:
(i) Mobilize the training materials, training venue and meals during the training.
(ii) PCVTC will pay UGX ............... (.............. shillings only) as professional consultancy
fees for the entire training period (nine weeks) of the three classes.
(iii) The Consultant shall be provided break tea and lunch same as that of apprentices.
(iv) Payment shall be by Cheque or Electronic transfer or any other agreed means to the
consultant on both occasions of effecting the transfer.
(v) The training will be organized and conducted in Kyaka 11 Refugee Settlement Camp,
Kyegegwa District.
(vi) The client PCVTC will withhold 6% of professional consultancy fees and pay it to
URA.
The contract is therefore, drawn up in two copies, in English and signed hereunder by the two
parties.
