Assignment

Part 1 – Written Submissions (10%)


Requirements:
- 4 pages maximum
- 1.15 line spacing, 11 to 12pt font size
- Conducted in groups minimum 2 and maximum 4 members.
- Due Wednesday 10th May, 2023 @ Midnight.

1. In a limited company, the member has no liability to creditors of the company and a limited
liability to the company. Explain what this means. Your explanation should contain reference
to the any relevant section/s and case law. (2 marks)

2. In an unlimited company the member has no liability to creditors of the company and an
unlimited liability to the company. Explain what this means. (2 marks)

3. From the statements above that with regards to creditors of the company, there is no
difference between the position of a member of a limited company and an unlimited company.
Why is there no difference? (1 mark)

4. Under the Cos Act 2015 a company categorized as a private company will be further sub
categorized as either a small, medium or large private company. Required: What is the legal
significance of this further sub-classification? Include reference to any relevant section/s. (2
marks)

5. All listed companies are public companies. Are all public companies listed companies?
Provide reasons in support of your answer. (2 marks)

6. Suppose you are a member of a company limited by guarantee. How can you prove that?
Include reference to any relevant section/s. (1 mark)

Part 2 – Presentations (10%)

Requirements:
- A maximum of 10 slides only.
- Each group member present at the presentation gets the mark of the group.
- Presentations will be face to face at Laucala and via zoom for remaining students.
- You will have a maximum of 12 minutes to present your research. You will be marked on
presentation skills and content.
- Presentations: 18th May and 19th May (in person and via zoom) Time Slot will be posted on
Moodle.

1. In relation to Question 1 – 6 above, you are to provide real life examples of companies (in the
Pacific or the World) to support your answer.
