CONSULTING SERVICES AGREEMENT

This Consulting Services Agreement (Agreement) is made between OCCIDENTAL


MINDORO ELECTRIC COOPERATIVE INC. with a mailing address of
omeco.main@gmail.com Municipality of San Jose, Province of Occidental Mindoro
(“Client”)

AND

BDC ENVIRONMENTAL CONSULTANCY SERVICES with a principal place of business


at Payompon, Municipality of Mamburao, Province of Occidental Mindoro (“Consultant”).
The Client and Consultant shall be known collectively as the "Parties”.

WHEREAS this Agreement shall be made effective on the _____ day of June, 2023.

THE PARTIES AGREE AS FOLLOWS:

1. Services to Be Performed

Consultant agrees to perform the following services:

A. Application of Hazardous Waste Generator ID:


 The Consultant shall assist the Client in the application process for
obtaining a Hazardous Waste Generator ID for the specified facility or
operation.
 The Consultant will provide guidance and expertise to ensure compliance
with the applicable regulations and requirements of DENR.

B. Compliance Monitoring Report:


 The Consultant shall monitor the Client's compliance with environmental
regulations, particularly in relation to hazardous waste management.
 The Consultant will conduct regular site visits, review records, and
prepare Compliance Monitoring Reports based on the findings.
 The Compliance Monitoring Reports shall include observations,
recommendations, and actions required for ensuring compliance.

C. Self-Monitoring Report:
 The Consultant will assist the Client in preparing accurate and
comprehensive Self-Monitoring Reports as required by DENR.
 The Consultant will review the Client's monitoring data, provide feedback,
and ensure compliance with reporting requirements.
 The Self-Monitoring Reports shall be prepared in accordance with DENR
guidelines and include all relevant information.
D. PCO Accreditation:
 The Consultant will provide assistance to the Client in the application
process for Pollution Control Officer (PCO) accreditation.
 The Consultant will guide the Client in fulfilling the necessary
requirements, including training, documentation, and submission of the
application.
 The Consultant will provide expertise and support to ensure a successful
PCO accreditation process.

2. Deliverables:

A. The Consultant shall provide the following deliverables:


 Completed and submitted applications for Hazardous Waste Generator
ID.
 Compliance Monitoring Reports with findings, recommendations, and
actions required for ensuring compliance.
 Reviewed and accurate Self-Monitoring Reports as per DENR
requirements.
 Assistance in the preparation and submission of the PCO accreditation
application.

3. Timeframe:

A. The services provided under this Contract shall commence upon signing of
this contract and continue until the expiration of PCO accreditation

B. The Consultant shall make reasonable efforts to complete the services


within the agreed-upon timeframe. However, any delays caused by the
Client or circumstances beyond the Consultant's control may result in a
revised timeframe.

4. Compensation:

A. The Client agrees to compensate the Consultant for the services rendered
as follows:

 The Consultant shall be paid a fixed fee of ₱ 7,000.00 for the services
outlined in Section 1 per application of each site.

 The consultant shall advance the processing fees and the client will
reimburse the same provided they are supported by official receipts. The
client will not be liable for processing fees which are not supported by
official receipts.
 The compensation for the other services will be compensated after the
deliverables are approved indicated by the following;
o reduction of penalty is approved and will be a fixed fee
of ₱ 4,000.00 per penalty
 The compensation for the other services will be compensated after the
deliverables are approved indicated by the following;
o CNC/ ECC whichever is required in the establishment
and will be a fixed compensation of ₱ 7,500.00 per
establishment
o Discharge permit per establishment and will be a fixed
compensation of ₱ 13,000.00 per establishment

 The payment shall be made through bank transfer or deposit to the


following bank account:
o Bank Name: BDO Network
o Account Name: Benjamin A. De Castro
o Account Number: 045330039186

Please ensure that the payment is made in Peso and any applicable bank charges are
borne by the Client.

5. Other Activities:

A. The Consultant shall provide additional services for reducing the penalties
by the following deliverables:

 A well-drafted and notarized disputation letter that clearly


outlines the Client's arguments, supporting evidence, and
legal basis to contest the penalty.

 A comprehensive reduction letter that presents a compelling


case for a reduced penalty, including relevant facts, mitigating
circumstances, and any applicable laws or regulations
supporting the request.

B. The Consultant shall provide the additional service for application of CNC/
ECC by following deliverables:

 Completed and submitted applications for the Certificate of


Non-Coverage (CNC) or Environmental Compliance
Certificate (ECC) for each site as whichever is required.

 Supporting documents and information required for the


application, including but not limited to environmental impact
assessments, site plans, project descriptions, and any other
relevant documentation necessary for the successful
application.
C. The Consultant shall provide the additional service for application of
discharge permit by following deliverables:

 Completed discharge permit application forms in accordance


with the requirements of the regulatory authority.

 Supporting documents and information necessary for the


application, including but not limited to environmental impact
assessments, site plans, discharge monitoring plans, and any
other relevant documentation required by the regulatory
authority.

D. Prior to the filing of the foregoing documents, the consultant shall provide
origin copies thereof to the client.

6. Termination:

 Either party may terminate this Contract with a written notice of 7 days only
for just cause.

 In the event of termination, the Client shall compensate the Consultant for
the services rendered up to the date of termination.

7. Denial of Applications:

 In case any of the applications filed by the consultant pursuant to this


Contract is denied by the competent authority, the consultant shall return
to the client all of the amounts received by it including processing fees
already paid by the client and liabilities which the client might suffer
because of such denial provided the client followed every details stated
in the compliance monitoring report prepared by the consultant. If the
denial is not attributable to the work rendered by the consultant pursuant
to this contract then the consultant shall file anew the denied application
without charge.

Please indicate your acceptance of the terms and conditions outlined in this Contract by
signing below. This Contract shall become effective as of the date first written above.
