Sr. Terms & Conditions
1 All the prices are in Indian Rupees. and does not include Taxes, GST, etc. and same would be charged as per applicable Law.

2 Payment Terms: Software& Service amount to be paid 100% against the invoice. AMC Invoicing shall be done Annually in advance. The client shall pay the full amount within 30 days from the date of invoice, In case of any delay in any payment, an additional 2% per
month shall be charged on the outstanding amount.
3 Validity of this proposal is 60 days.
4 The licenses proposed herewith are on Perpetual basis with 5 year support.
5 AMC/Support renewal pricing shall be applicable from the date of expiry of previous AMC/support period.
6 Start of AMC shall be treated from the 15 months from the date of Software License Invoice OR 12 months from the date of Motadata Sign Off, whichever is earlier.
7 The proposal herewith is for offshore Delivery and L3 remote/telephonic Support Service on best effort basis.
8 Business hours for L3 support shall be 8x5 basis on working Days.
9 Minimum required Hardware/VM/OS shall be provided by the Customer/Partner as per the HW sizing shared by Motadata.
10 Motadata is proposing Active-Standby deployment at DC site and Standalone at DR Site as applicable.
11 Any third-party integrations required shall be additional. Client to provide the necessary standard APIs.
12 Release the PO bearing name of Mindarray Systems Private Limited.
