Golden Tide - Nokyem Chief - Ghana

Government Agreement

Background
Golden Tide is a Chinese gold mining company who would like to mine gold in
Ghana. However, the area they are interested in, which is called the region of
Nokyem, is populated by thousands of illegal miners called Galamsey, and the chief
of the Nokyem also owns the land too. A meeting was held on June 19th, 2023 over
Zoom between representatives of Golden Tide, the Ghana Government and the
Nokyem Chiefs.

Parties Involved

Terms and Conditions


In consideration of the interests of Golden Tide, the Ghana Government and the
Chiefs of the Galamsey, the terms and conditions of the agreement are as follows

1. Nokyem Chief agreed to legalize the galamseys prior to entering this


Agreement. This Agreement shall be enforceable upon the fulfillment of this
requirement.
2. Golden Tide and Nokyem Galamsey have agreed to establish a Joint Mining
Venture for the purposes written in this Agreement. Refer to the Termination
Section for the termination clauses.
3. Golden Tide shall retain the full license to mine over the area of Nokyem for
the duration of this Joint Mining Venture. Golden Tide shall, in effect, retain
control over the mining activities in the area to ensure the safety and
sustainability of mining operations.
4. Golden Tide shall provide safety equipment for the mining operations, which
include: (1) Mercury to be used for gold cleaning, (2) Advance equipment for
mining, and (3) Personal protective equipment (PPE) for the miners.
5. Nokyem Galamsey shall provide the manpower for the required mining labor
in this project.
6. All Parties agreed to refuse to hire mining laborers under 18 years old.
7. Golden Tide shall provide training to Galamsey workers. Ghana Government
shall provide the facilities for the training.
Human Resources
1. To ensure the safety of mining operations, Golden Tide shall reserve the rights
to employee staffing schedules and mining activities.
2. Golden Tide agreed to hire all 3000 Galamseys for this project. To ensure the
safety of the operations, Golden Tide will follow a shifting schedule for the
mining laborers to limit the number of mining laborers working at any one time
in the area.
3. Golden Tide agreed to provide one (1) free meal per day for the mining
laborers. Food preparation and distribution jobs will be first offered to Nokyem
residences.

Post-Joint Mining Venture Activities


1. All parties agreed to contribute resources in reclaiming the area for
agricultural activities in the future after the operations from the Joint Mining
Venture have ended.
2. Nokyem Galamseys shall hold the full rights to land use after the Joint Mining
Venture has ended.
3. All parties agreed to build recreational and educational facilities for the
Nokyem residences.

Future Projects between Ghana Government and Golden Tide


1. Golden Tide agreed to cover 15% of the costs for solar panels and processing
plant projects by the Ghana Government.
2. Ghana Government agreed to have Golden Tide as the sole partner for these
projects.
3. Both parties shall further discuss these projects at a later time.

Accidents and Unexpected Events


If there are any accidents, injuries or any unexpected events that happen during the
joint venture or post-mining venture activities, then all three parties involved will
collectively determine how to resolve the accidents or unexpected events and
recover from it financially after the incident happens
Time Period and Termination
The terms and conditions mentioned in the previous sections will be effective on
June 19th, 2023 and will continue until all of the following conditions have been met

● There is no more gold, platinum or other precious metals to be mined in the


Nokyem region
● The Nokyem region gold mines have been converted into cocoa farms after
all the precious metals have been mined
● All educational and recreational facilities have completed construction and
ready to use in the Nokyem region

Termination In Case of Breach


If one, two or all three parties involved fail to execute bullet points one through seven
mentioned in the “Terms and Conditions” section then this agreement will be
terminated and the following will happen

● The joint venture between the Golden Tide and the Galamseys will be
terminated
● The party that breached this agreement shall compensate the affected parties
fully for the damage
● Golden Tide shall surrender its license to mine gold or any other precious
metals in the Nokyem region to Nokyem Galamseys
● The Galamsey will be the only ones who can legally continue mining in the
Nokyem region
● All safety and mining equipment will be returned to Golden Tide, and the
Ghana government will be responsible for supplying the Galamsey with safety
equipment and mining materials
● Golden Tide will not be responsible for converting the gold mines to cocoa
farms, help fund and build any educational and recreational facilities, nor
install any solar panels with the government

Unresolved Disputes
If there are any unresolved disputes, discrepancies between two or three of the
parties involved, and/or any issues with a lot of ambiguity that this agreement did not
cover, all three parties involved will have another meeting with the same
representatives to resolve these things.
