PAYMASTER SERVICE AGREEMENT

This agreement dated June 7, 2023, describes the financial procedure of transactions and payments that
will be operated between THE SYDOW FIRM, PLLC (hereinafter, The Sydow), Manoel Ribeiro Do
Nascimento (Ribeiro), and SPCMEXICO-OPERACIONES S de RL de CV (SPCMO).

In compliance with contract MXBR042023, signed between SPCMO and Ribeiro, the procedure to be
followed is: Ribeiro will deposit in the account of THE SYDOW FIRM IOLTA (4881 1734 3227 Bank of
America) the amount of eleven million dollars ($11,000,000.00) negotiated with SPCMO, where the funds
will be BLOCKED in your name to start the manufacture or production already mentioned in Contract No.
MXBRA042023.

All fees of The Sydow will be covered by SPCMO, for the execution of its services as Paymaster for this
agreement, therefore, it is established as an impartial arbitrator for the parties and to enforce everything
stipulated in Contract MXBRA042023.

The parties agree to indemnify for breach of the terms set forth herein in this Agreement, with the
Paymaster who shall be paid a fee of 12% of the amount of this deposit from the deposited funds.

It will be established all communication has to be made through the regular channels previously agreed.
