Terms & Conditions

These Terms and Conditions are to be read together with the Modicare Consultant Application Form (the “Application”). They become
binding if and when Modicare Limited (Modicare), in its sole discretion, accepts the Application pursuant to Clause 2 here in and as per
the Code of Ethics for Modicare Consultants (the “Code of Ethics”).
1 Definitions
(a) Cooling Off Period: shall, subject to Clause 9, mean a period of 30 days from the date of acceptance of this Modicare Consultant
Application by Modicare within which period any new Modicare Consultant shall be entitled to terminate this Contract without penalty
and be entitled to full refund of price of products or materials purchased from Modicare upon return of such products or materials in
saleable condition.
(b) Modicare Consultant (also known as Modicare Direct Seller) : shall mean a person appointed by Modicare on a principal-to-principal
basis through this Contract to undertake sale, distribution and marketing of Modicare products and services. A Modicare Consultant may
introduce or sponsor prospects and support them to build their direct selling business of Modicare goods & services.

(c) Modicare Consultant Contract: in accordance with the Code of Ethics, it shall mean and include the following:
i. Modicare Consultant Application Form
ii. These Terms and Conditions forming part of the Modicare Consultant Application
iii. The Samir Modi Azadi Plan Unlimited
iv. The Code of Ethics for Modicare Consultants; and
v. The Modicare business policies
as amended from time to time. Modicare may notify any such amendments through notice on its website or SMS or through other
Modicare Digital channels.
(d) Prospect: means a person to whom an offer or a proposal is made by a Modicare Consultant to join Modicare;
(e) Saleable: in relation to goods or services, means unused and marketable goods or services which have not expired, and which are not
seasonal, discontinued or used for special promotion.
(f) Territory: shall mean the Republic of India.
(g) Effective Date: shall mean the date of acceptance of the Modicare Consultant Contract, subject to Approval by Modicare

2. Consultantship/ Direct Selling: Modicare appoints, as of the Effective Date, the individual(s) identified in the above Modicare Consultant
Application Form, or if applicable, the legal entity listed therein (the “Entity”), as a Modicare Consultant of Modicare Products and
services, and the Applicant(s) (here in after individually or collectively referred to as the “Modicare Consultant or Consultant”) agree(s) to
such appointment. As of the Effective Date and upon receipt of ordering information and completion of any required formalities, the
Consultant may, on a non-exclusive basis, within the Territory as may be communicated by Modicare, and otherwise in accordance with
this Contract, purchase Modicare Products from Modicare in order to sell, distribute and market the same.

3. Duration: This contract shall remain valid and continue to remain in full force unless terminated earlier by either Party with or without
cause as given herein below in Clause 9.
4. No Employment Relationship: The Consultant hereby confirms that he/she/they has or have entered into this Contract as an
independent contractor. Nothing in this Contract shall establish either an employment relationship or any other labour relationship
between the Parties or a right for the Consultant to act as a procurer, broker, commercial agent, contracting representative or other
representative of Modicare. When purchasing and selling Modicare Products, the Consultant shall operate as an independent vendor,
acting in his/her/their own name, at his/her/their own responsibility and for his/her/their own account.

5. No Assignment: This Contract is intuitu personae entered into on a personal basis, and neither this Contract nor any of the rights or
obligations of the Consultant arising here under may be assigned or transferred without the prior written consent of Modicare.
6. Representative(s): The Co-Applicant/Authorized Representative(s) acknowledge(s) that Modicare will deal exclusively with the Primary
Applicant/First Authorized Representative in respect of all Modicare business matters, and also pay commissions and/or any other
incentives to and in the name of the Primary Applicant/Entity only.
7. Payments and Bank Accounts: Modicare will make all payments on account of commissions, discounts, returns or refunds etc. through
bank transfer in favour of the Primary Applicant/Entity only as per the details provided in the Modicare Consultant Application or as may
be updated by the Primary Applicant/Entity in writing from time to time. The bank account must be opened and operated in full
compliance with Indian law, including with respect to applicable foreign exchange laws.

8. Obligations and Duties of Modicare Consultants:


(A) The Consultant shall, throughout the validity of this Contract, strictly adhere to all applicable laws, regulations and other legal
obligations that affect the operation of his/her/their business. The Consultant shall be responsible for obtaining any applicable
registration, license, approval or authorization, to carry out the business as Consultant, copy of which shall be provided to Modicare
upon request.
(B) Modicare Consultants shall:
i. always carry their identity card and not visit the consumers premises without prior appointment or approval;
ii. at the initiation of any sale representation, truthfully and clearly identify himself, disclose the identity of Modicare, the address of place
of business, the nature of goods or services sold and the purpose of such solicitation to the prospect;
iii. make an offer to the prospect providing accurate and complete information, demonstration of goods and services, prices, credit
terms, terms of payment, return, exchange, refund policy, return policy, terms of guarantee and after-sale service
iv. provide a order form to the consumer at or prior to the time of the initial sale, which shall identify Modicare and the Modicare
Consultant and shall contain the name, address, registration number or enrollment number, identity proof and contact number of the
Modicare Consultant, complete description of the goods or services to be supplied, the country of origin of the goods, the order date, the
total amount to be paid by the consumer, the time and place for inspection of the sample and delivery of goods, consumers rights to
cancel the order or to return the product in saleable condition and avail full refund on sums paid and complete details regarding the
complaint redressal mechanism of Modicare
v. obtain goods and service tax registration, Permanent Account Number registration, all applicable trade registrations and licenses and
comply with the requirements of applicable laws, rules and regulations for sale of a product;
vi. ensure that actual product delivered to the buyer matches with the description of the product given;
vii. take appropriate steps to ensure the protection of all sensitive personal information provided by the consumer in accordance with
the applicable laws for the time being in force and ensure adequate safeguards to prevent access to, or misuse of, data by unauthorized
persons;
viii. subject to applicable legal requirements, maintain proper books of accounts in prescribed forms.
(C) Modicare Consultants shall not
i. visit a consumers premises without identity card and prior appointment or approval;
ii. require a prospect to purchase any literature or sales demonstration equipment;
iii. provide any literature and/or training material, to a prospect and/or existing Consultants which have not been approved by Modicare;
iv. in pursuance of a sale, make any claim that is not consistent with claims authorized by the direct selling entity;

(D) The Modicare Consultants shall ensure that:


(i) the terms of the offer are clear, so as to enable the consumer to know the exact nature of offer being made and the commitment
involved in placing any order
(ii) the presentations and other representations used in direct selling shall not contain any product description, claim, illustration or other
element which, directly or by implication, is likely to mislead the consumer;
(iii) the explanation and demonstration of the goods or services offered are accurate and complete, particularly with regard to price and,
if applicable, to credit conditions, terms of payment, cooling-off periods or right to return, terms of guarantee, after-sales service and
delivery;
(iv) the descriptions, claims, illustrations or other elements relating to verifiable facts are capable of substantiation;
(v) any misleading, deceptive or unfair trade practices are not used;
(vi) direct selling is not represented to the consumer as being a form of market research;
(vii) the promotional literature, advertisement or mail contain the name and address or telephone number of Modicare, and include the
mobile number of the Modicare Consultant;
(viii) direct selling shall not state or imply that a guarantee, warranty or other expression having substantially the same meaning, offers to
the consumer any rights in additional to those provided by law, when it does not;
(ix) the terms of any guarantee or warranty, including the name and address of the guarantor, shall be easily available to the consumer
and limitations on consumer rights or remedies, where permitted by law, shall be clear and conspicuous;
(x) the remedial action open to the consumer shall be clearly set out in the order form or other accompanying literature provided with
the goods or service;
(xi) the presentation of the offer does not contain or refer to any testimonial, endorsement or supportive documentation unless it is
genuine, verifiable and relevant;
(xii) when after-sales service is offered, details of the service are included in the guarantee or stated elsewhere in the offer and if the
consumer accepts the offer, information shall be given on how the consumer can activate the service and communicate with the service
agent;
(xiii) products, including, where applicable, samples, are suitably packaged for delivery to the consumer and for possible return, in
compliance with the appropriate health and safety standards;
(xiv) unless otherwise stipulated in the offer, orders shall be fulfilled within the delivery date proposed to the consumer at the time of
purchase and the consumer shall be informed of any undue delay as soon as it becomes apparent or comes within the knowledge of the
concerned Modicare Consultant. In cases of delay, as mentioned above, any request for cancellation of the order by the consumer shall
be granted, irrespective of whether the consumer has been informed of the delay, and the deposit, if any, shall be refunded as per the
cancellation terms proposed to the consumer at the time of purchase, and if it is not possible to prevent delivery, the consumer shall be
informed of the right to return the product at the Modicare Consultants cost as per the procedure for return of the goods proposed to
the consumer at the time of purchase;
(xv) whether payment for the offer is on an immediate sale or installment basis, the price and terms of payment shall be clearly stated in
the offer together with the nature of any additional charges such as postage, handling and taxes and, whenever possible, the amounts of
such charges;
(xvi) in the case of sales by installment, the credit terms, including the amount of any deposit or payment on account, the number,
amount and periodicity of such installments and the total price compared with the immediate selling price, if any, shall be clearly shown
in the offer;
(xvii) any information needed by the consumer to understand the cost, interest and terms of any other form of credit is provided either
in the offer or when the credit is offered;
(xviii) unless the duration of the offer and the price are clearly stated in the offer, prices shall be maintained for a reasonable period of
time;
(xix) the procedure for payment and debt collection shall be determined in writing before any contract is signed and it shall be such as to
avoid undue inconvenience to the consumer, making due allowance for delays outside the consumers control;
(E) The Modicare Consultants shall not:
(i) indulge in fraudulent activities or sales and shall take reasonable steps to ensure that participants do not indulge in false or misleading
representations or any other form of fraud, coercion, harassment, or unconscionable or unlawful means;
(ii) engage in, or cause or permit, any conduct that is misleading or likely to mislead with regard to any material particulars relating to its
direct selling business, or to the goods or services being sold by the Modicare Consultant;
(iii) indulge in mis-selling of products or services to consumers;

(iv) use, or cause or permit to be used, any fraudulent, coercive, unconscionable or unlawful means, or cause harassment, for promoting
its direct selling business, or for sale of its goods or services;
(v) refuse to take back spurious goods or deficient services and refund the consideration paid for goods and services provided;

(vi) charge any entry fee or subscription fee;

(vii) induce consumers to make a purchase based upon the representation that they can reduce or recover the price by referring
prospective customers to the Modicare Consultants for similar purchases.
9. Termination of the Modicare Consultant Contract: The Consultant may without assigning any reason, after giving written notice to
Modicare terminate this Contract with immediate effect and this contract would be terminated automatically. A Consultant shall not be
entitled to purchase Modicare products or services upon serving the notice. In addition to the above:
(A) Modicare may terminate this Contract forthwith in case:
i. the Consultant violates the provisions of the Code of Ethics;
ii. for reasons of non-performance of sales of Modicare products and services as per the Code of ethics from time to time, if any;
iii. for the breach of any provision hereof including but not limited to non-compliance to Zero Tolerance Policy as defined in the Code of
Ethics;
iv. for the breach of the Consumer Protection (Direct Selling) Rules, 2021 and/ or any other applicable laws of India, as amended from
time to time;
v. due to misrepresentation by the Consultant to any consumer or prospective Consultant; or
vi. due to legal, regulatory or other developments that require material operational changes within the Territory, in which case Modicare
may, if regulatory conditions allow, endeavor to restructure the contractual relationship with the Consultant on such terms and
conditions as are then practical and legally permissible
(B) Modicare shall also have the right to terminate this contract by giving 30 days’ notice in writing if the Consultant fails to make any
purchase or sale of Modicare products or services for a consecutive period exceeding 24 months.Modicare may from time to time amend
any of the documents comprising this Contract through notice on its website, or, SMS or through other Modicare Digital channels. If the
Consultant does not agree to be bound by such amendment(s), he/she/they may terminate this Contract with immediate effect by giving
a written notice to Modicare. Otherwise, the Consultants continued relationship with Modicare constitutes an affirmative
acknowledgment by the Consultant of the amendment(s), and his/her/their agreement to be bound by the same.
10. Severability: If any provision of these Terms and Conditions is declared invalid or unenforceable, the remaining provisions shall
remain in full force and effect.
11. Governing Law: This Contract and all questions of its interpretation shall be governed by and construed in accordance with the laws
of the Republic of India, without regard to its principles of conflicts of laws. The Agreement is civil in nature and hence, it is to be
governed and construed in accordance with the Indian Contract Act, 1872, the Code of Civil Procedure and other applicable laws of India.

12. Dispute Settlement: The parties shall endeavor to settle any dispute or difference arising out of or in connection with this Contract
through mutual discussions within 30 days of such dispute arising. Any dispute, difference or claim remaining unresolved, shall be
submitted to binding arbitration under the provisions of the Indian Arbitration and Conciliation Act, 1996, as amended from time to time.
The venue of such arbitration shall be at New Delhi and the award of the Arbitrator shall be final and binding on all Parties. Subject to the
above, courts at New Delhi shall alone have jurisdiction in relation to this Contract and matters connected here to.

13. Limitation on Liability: Modicare’s liability, whether in contract, or otherwise, arising out of or in connection with this Contract shall
not exceed the less of:
(a) actual damages or loss assessed by the arbitrator or any other dispute resolution mechanism adopted by the Parties, or;
(b) the total undisputed commission/incentives earned by the Consultant preceding the date of the dispute.

ACKNOWLEDGEMENT

I/We hereby affirm that I/We are 18 years of age or older and are fully competent to enter into the terms, conditions, obligations,
affirmations, representations, and warranties set forth in this Terms and Conditions, and to abide by and comply with the same.

I/We acknowledge that I/We have thoroughly read this Terms and Conditions before submitting this and agree to abide by all of its
provisions.. The products so ordered by my/our consumers may kindly be shipped directly to their address mentioned by them if so
requested. I/we undertake to provide all assistance to my/our customers in accordance with my/our obligations and duties cast upon me/
us as per the contract with Modicare.

Modicare may at any time revise these Terms and Conditions by updating the same on this website. All Modicare Consultants are bound
by any such revisions and should therefore periodically visit the Modicare web page to review the then current Terms and Conditions to
which you are bound.

The applicant hereby states that the documents uploaded along with the application are not defamatory, threatening, obscene,
harassing, or otherwise unlawful or illegal information or material of any nature, including text, graphics, video, programs or audio.
Submitting material with the intention of committing or promoting an illegal act is strictly prohibited.

This Application Form and the Terms and Conditions generated and issued is completely based on the inputs and information received

This Consultant Application along with its Terms & Conditions constitute an electronic record within the meaning of the applicable law.
This electronic record is generated by a computer system and does not require any physical or digital signatures and is a legally binding
document on the parties named herein above and Modicare. These terms of use will be effective upon your acceptance of the same
(directly or indirectly in electronic form or by means of an electronic record) and will govern the relationship between us.
