MEMORANDUM OF UNDERSTANDING

And Consultancy Agreement

This Consulting Partner Agreement is made at New Delhi on 17th July 2023.

BETWEEN

M/S HIMALAYA EARTH MOVERS, firm under the supervision and management of its
proprietor Mr................. and having its registered office at,C-37/38,Dhuleshwar
Garden,C-Scheme,JAIPUR,Rajasthan.-302001,hereinafter called as CONTRACTOR which
expression shall, unless repugnant to the context or meaning thereof, be deemed to
mean and include its successors and permitted assigns. (Contractor),

AND

M/s MRM Associates Pvt Ltd , a firm incorporated with its Registered Office at C-124 ground
floor, Anand Niketan Motibagh, New Delhi-110021 which expression shall, unless repugnant to the
context or meaning thereof, be deemed to mean and include its successors and permitted assigns,
through its authorized signatory Ankit Dwivedi of the OTHER PART (Consultant).

WHEREAS the Contractor aforesaid, dealing in all types of civil project and construction and JV
works, approached The Consultant having experience and credentials, for promoting and pushing
them at infrastructures Road works and operation and maintenance related projects etc

AND WHEREAS CONSULTANT as aforesaid has agreed to introduce various potential

Infrastructure and Operation and Maintenance companies to the Contractor. The agreement is
made for undertaking the following “The project involves four lanning of Sonauli-Gorakhpur
section of NH-29E from design ch 0.000 to design ch 79.540 on hybrid annuity mode
(HAM).(Earthwork subcontract basis.)

” to get it handed over to the Contractor on subcontract basis.

Parties agreed as follows:

 (1) That, the Consultant will help to the Contractor in Survey of site, Analysis of Prices,
Arrangements of cheap & Qualitative materials, Arrangements of Machineries&
manpower to minimize the project cost & making healthier profit.

(2) The Contractor is agreed to pay the Consultancy fees to the Consultant @ 1%, all taxes
of the total value of the awarded contract. The schedule of payment as given below:

(a) INR - (Travel & Other expenses) to be paid to the consultant when dates for
meeting are fixed for negotiations with main contractor.

(b) 1% +all taxes on LOI

(3) That in case of delay or any change in NIT, agreement will be valid as it is.

(4) That this Agreement is Valid for a period of two years from the date of signing.

(5) That neither Contractor nor Consultant, nobody can terminate this agreement.

(6) That this MOU shall be governed under the Laws of India. In case of any dispute, will be
resolved in Delhi High Court.

(7) That this MOU is Confidential and No announcements in relation to the contents of this
MOU.
