Job Description

1. In-house counsel responisility

Legal
 Sending Show cause notice to franchisees, who breach the contract
 Sending Termination notice to Landlord/ Franchisee
 Sending Legal Notice to Franchisees, who doesn’t respond to show cause
notice.
 Collect evidence against the franchisee from area manager
 Coordinate with area manager for taking outlet photos for trade mark
usage of terminated franchisee
 Scrutinize the evidence in proper manner
 Describe the facts to lawyer
 Initiate legal proceedings with lawyer against the franchisee
 Coordinate with lawyer for initiating new legal case
 Attending arbitration hearing in regular manner
 To check all the affidavits/Vakalath/ Proof affidavit/ Claim Statement from
lawyer
 Coordinate with Accounts dept. for outstanding
 Maintain legal files with proper legal documents

Reports
 Sending case status to lawyer to get update about case
 Sending monthly report to head

Trade Mark
 Consult with lawyer after getting the trade mark name
 Prepare IOM internally and get approval before applying trade mark
 Coordinate with lawyer for processing trade mark registration
 Proper follow up with lawyer for getting trade mark certificates.

License
 Renewal of trade license, apply new trade license, sharing supporting
documents to consultant.
 Get quote from consultant.
  Filing Trade License copy in file
 Sharing license copy to outlets
 Renewing and applying IPRS (Indian Performing Right Society) and PPL
(Phonographic Performance License) to all COCO outlets.
 Arrange payment to vendor

Agreements
 Drafting of lease/ franchisee/sub lease/ leave and license agreement/ other
vendor agreement/ Business Agreement COFO/ infra structure agreement
FOCO/Employee bond/Employee Training agreement
 Drafting of supplement deed/ addendum if there is any changes in
agreement
 Checking the supporting documents (Sale deed, property tax, EB, EC and
KYC) of landlord
 Preparing Affidavit cum indemnity, Sale deed, Invoice, NOC for purchase of
outlet
 To maintain a proper renewal data of vendor agreement/ lease
agreement/sub lease agreement/COFO/FOCO.

4. Conveyance and drafting
5. IP registration
