III. INTRODUCTION ABOUT VIETNAMESE FRAGRANT RICE ST25

In foreign markets, WCO Export Import Company specializes in providing:

- Direct export:
 Popular is rice with fragrant, sticky characteristics, large, clear rice grains, white rice; especially suitable
for packing small bags (< 5kg) sold in foreign supermarkets.
 Typical varieties include:  Vietnamese Fragrant Rice ST25 

- Entrustment and Export Supply:

 Very diverse according to customer requirements. Usually, the type of rice that cooks white rice, is
moderately sticky, soft rice...
 Typical varieties include: Vietnamese Fragrant Rice ST25 
* VIETNAMESE FRAGRANT RICE ST25 is processed on an advanced, synchronous and closed production
line with strictly controlled production processes as follows:
- Raw brown rice or white rice is screened to remove impurities including metal impurities thanks to a
permanent magnet part.
- After that, the rice is in turn passed through a milling machine, a polishing machine with mist to whiten
and increase the surface gloss of the rice grain. Rice will go through a continuous drying system in line
to treat moisture while ensuring the quality of the rice grain.
- Next, the rice will go through the rice separator to separate the rice from the rice.
- In the final stages, the rice will go through the stone separation system and the advanced electronic color
sorter Satake (made in Japan) to separate impurities of all kinds, such as grains of different colors and
types, and moisture grains. yellow, red striped grain, damaged grain, chalky silver grain, gritty grain ...
After this stage, by separating out impurities thoroughly, it ensures good sensory requirements and
increases commercial value.
- The final finished rice is put into the closed packing room, meeting the strictest standards of the hazard
control and management system according to international standards to accurately weigh and pack as
required by using specialized automatic weighing instruments, periodically calibrated according to
regulations.
- In particular, the finished rice bags will go through modern metal detectors imported from the UK
before being shipped and delivered to consumers.
- All products have been registered to basic standards and certified in accordance with current regulations
on quality, hygiene and food safety.

Banking charge: all expenses and charges inside Vietnam are for the seller’s account. All banking charges outside Vietnam are for the buyer’s

After signing the contract, the Buyer or the Buyer's nominee (SUNFOLK GROUP INC) shall telex asking the Seller to open P.B
(Performance Bond) of 1% of total L/C amount at JSC Bank within two days thereof. The Seller shall open P.B and inform the Buyer; then,
four days after receiving JSC Bank's confirmation; the Buyer shall open a telegraphic, irrevocable and confirmed L/C which is in conformity
with this contract by New York Community Bank at sight with TTR (Telegraphic Transfer Reimbursement) acceptable for 25 000 kgs in
favor of WCO Import-Export Co., Ltd through the Bank of Vietnam. For 25 000 kg the Buyer or Buyer's nominee shall open a telegraphic,
irrevocable and transferable at sight L/C which is in conformity with this contract with TTR acceptable. In this case, the Seller requests the
confirmation of L/C,the L/C shall be confirmed for Seller's account. In the event that the Buyer fails to open L/C four days after receiving
confirmation from JSC Bank then Seller shall collect P.B from the JSC Bank and then the contract is automatically canceled. The Seller will
collect the P.B against presentation of shipping documents at JSC Bank.

7. Document:
Presentation of the following documents to JSC Bank, payable within 3-5 banking days after receipt of the telex from the JSC Bank certifying
that documents have been checked in conformity with the L/C terms:
- Full set of B/L in 03 originals
- Commercial invoice in 01 ogirinal and 01 copy
- Certificates of origin issued by Vietnam Chamber of Commerce in 01 original and 01 copy
- Certificates of fumigation issued by the competent authority of Vietnam in 01 original and 01 copy
- Phytosanitary certificate issued by the competent authority of Vietnam in 01 original and 01 copy
- Certificate of original form A

8. Force Majeure:
The Force Majeure (exemption) clause of the International Chamber of Commerce (ICC publication No 421) is hereby incorporated in this
contract.
Force Majeure circumstances must be notified by each party to the other within 7 days and confirmed by writing within 10 days together.
Beyond this time Force Majeure circumstances shall not be taken into consideration.

9. Arbitration:
All disputes arising in connection with this contract shall be finally settled by the International Arbitration Center of Vietnam under
International Commercial Law. The place of arbitration shall be the capital of the seller's country. The language of arbitration shall be in
English. The parties agree that any award made in accordance with the provisions of this clause is final and binding on both of them.
Arbitration charge and any other charges will be borne by the losing party.
10. Other terms:
Any amendment of the terms and conditions of this contract must be agreed by both sides in writing.
This contract is made in 02 originals in English language, one for each party
This contract is subject to the Buyer's final confirmation by telex (October 18th, 2022 latest).
