DEED OF CONDITIONAL SALE OF MOTOR VEHICLE

This Deed of Conditional Sale is entered into by and between:

ISIDRO NOEL TORRE TAOL, of legal age, Filipino with

business address at INT Manpower Services, located at 217
Makati Executive Tower 3, Senator Gil Puyat Avenue, Pio del
Pilar, Makati City, Metro Manila, hereinafter called the
“SELLER”,

-and-

ARNEL C. CABANIG________, of legal age,

single/married, Filipino and with residence address at

hereinafter called the “BUYER”.

WITNESSETH THAT –

The SELLER is the lawful owner of a certain motor vehicle which is more
particularly described as follows:

For and in consideration of the sum of

Philippine Currency, the SELLER hereby sells, transfers and conveys by way of
Conditional Sale unto the BUYER the above described motor vehicle, under the
following terms and conditions:

1) BUYER shall pay SELLER the amount of SIX THOUSAND SIX

HUNDRED PESOS (PHP 6,600.00) PER WEEK for a total of
2 years + 6 months weeks;

2) BUYER shall be responsible and pay by his own the following costs and
expenses related to the motor vehicle:
- for the change oil and all maintenance expenses;
- yearly insurance;
- yearly registration renewal;

 - regular CPC renewal;
- and all other expenses and costs of the motor vehicle

3) If in the event that the BUYER fails to pay the weekly installment for one
month already or 4 weeks, the SELLER has the right to consider forfeited
all previous payments and to take back the motor vehicle. In this case,
the BUYER shall immediately return and/or surrender the motor vehicle
without the need of demand from the SELLER nor the filing of any case;

4) Once BUYER successfully completes the payment of boundary fees,

SELLER and BUYER shall execute a Deed of Absolute Sale for the
transfer of registration to the motor vehicle for and in favor of the BUYER.
All costs and expenses associated with the transfer of registration shall be
for the account and be paid by the BUYER;

5) In the meantime that the motor vehicle registration is still under the name
of the SELLER, ownership shall likewise be with the SELLER.

6) However, responsibility and liability arising in the use of the motor vehicle,
including but not limited to accidents, impounding, violation of laws, rules
and regulations, incurrence of fines and penalties, and all other costs and
expenses shall be borne and be paid personally by the BUYER.

It is agreed upon that all expenses for the transfer of registration of the
above-described motor vehicle to the BUYER shall be for the account of the
BUYER.
