MEMORANDUM OF AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:

This Agreement is made and executed by:

JOSE M. OREDINA and LUCILA D. OREDINA, both of legal age, Filipinos,

and a resident of Homesite Subd., Bacolod City, hereinafter referred to as
“VENDORS”;

-and-

DAGA BAPTIST CHURCH, a religious sect duly organized and existing under
the Philippine laws, with principal office address at Brgy. Daga, Cadiz City, Negros
Occidental, herein represented by LOUIE C. FALDAS, of legal age, Filipino, resident
pastor; JUVELYN M. ARGONOSO, of legal age, Filipino, vice-president; JEAN
PABALAN- ESPAÑA, of legal age, Filipino, secretary; and, AGNES P. AGUILAR, of
legal age, Filipino, treasurer, all residents of Brgy. Daga, Cadiz City, Negros Occidental,
hereinafter referred to as “VENDEE”;

WITNESSETH:

Whereas, the VENDORS are the absolute owners of a parcel of land situated in
Barangay Daga, Cadiz City, Negros Occidental, identified as Lot No. 290-B-2-A-4,
registered under TCT No. T-36593, containing an area of three hundred thirty (330)
square meters, more or less, and which is more particularly described as follows:

“A parcel of land (Lot 290-B-2-A-4 of the subdivision plan,

(LRA) PSD-437155, being a portion of Lot 290-B-2-A, Psd-06-
091908, (L.R.A. Cad. Rec. No. 196), situated in the Barangay of
Daga, City of Cadiz, Province of Negros Occidental, Island of
Negros. Bounded on the NE., points 3 to 4 by Lot 290-B-2-A-3; on
the SE., points 4 to 1 by Lot 290-B-2-A-2; on the SW., points 1 to
2 by Lot 290-B-2-A-10 (Road); on the NW., points 2 to 3 by Lot
290-B-2-A-7, all of the subd. plan. Beginning at a point marked
“1” on plan, being N. 01 deg. 17’W., 230.25 m. from BLLM 3,
Cad. 109, Cadiz Cadastre, thence S. 32 deg. 03’W., 35.02 m. to
point 2; thence N. 56 deg. 23’W., 23.01 m. to point 3; thence N. 32
deg. 40’E., 17.52 m. to point 4; thence N. 32 deg. 45’E., 16.54 m.
to point 5; thence S. 58 deg. 47’E., 22.61 m. to the point of
beginning; Containing an area of THREE HUNDRED THIRTY
(330) SQUARE METERS, more or less. All points referred to are
indicated on the ground and marked as follows; all points are P.S.
cyl. Conc. mons. 15x40 cms., bearings true x x x”

Whereas, the Vendors are willing to sell the property described in this
instrument and the Vendees are willing to buy the same under this instrument with the
following terms of agreement:

 TERMS OF AGREEMENT

1. The Vendors and Vendee agree that this is a sale of the above-described
property. The parties have knowledge that the subject property herein is a
subdivided lot, being a portion of Lot 290-B-2-A;

2. That, the subject of this sale is only Lot 290-B-2-A-4 with an area of 330 square
meters;

3. That, the purchase price of the above-described parcel of land is Eight Hundred
Twenty-five Thousand Pesos (P825,000.00) [P2500 per sqm x 330sqm =
P825,000.00)], exclusive of capital gains, documentary stamp tax, transfer tax,
cost of registration and transfer of title, which shall all be shouldered by the
Vendee;

4. The said amount has already been fully paid for by the Vendee thus, the parties
may now enter into an absolute sale and pay the proper fees and taxes for the
sale, including the processing of transfer of ownership to the church.

IN WITNESS WHEREOF, the aforementioned parties have hereunto set their

This Instrument consists of only three (3) pages, including this page in which this
acknowledgment is written, duly signed by the parties and their instrumental witnesses
on each and every page hereof.
