AGREEMENT “FOR SALE BY FACILITATOR”

This Agreement is made on this ________________ day of ___ July 2023 at Varanasi, UP.

BY AND BETWEEN
COBBA FACILITATOR, a registered firm bearing its registration number_______________,
represented by one of the director MR.DEEPAK SINGH, Son of ____________, Address at
____________________________________________, (hereinafter called "The
COMPANY/FACILITATOR" in which expression are included unless such inclusion is
inconsistent, with the context its successors and permitted assigns) of the ONE PART.

AND
Mr. SANJEEV AGARWAL, S/o- __________________________, by faith Hindu, by
occupation business, Nationality Indian, resident at
____________________________________________ (hereinafter called "The PURCHASER"
in which expression are included unless such inclusion is inconsistent, with the context its
successors and permitted assigns) of the OTHER PART.

THIS AGREEMENT Concerns the Following Property:


All the piece and parcel of Land, lying in Khata No.- 1189, Plot No.-
______________________, Total measuring area 70000 Square Feet (Lumpsum), situated in,
Mouza- Bhadaini, Pargana - Bhelurpur, Tehsil - Sadar, District – Varanasi, State- Uttar Pradesh
recorded in the name of Aruna Roy Choudhury, w/o_____________ and D/o-
___________________________________ in the record of right.

WHEREAS, “the Company”, is registered service providing firm of Land and related Liasoning
works etc. and providing services for companies/individuals, subject to the terms of Facilitator’s
related to Purchase and Sale of Real Estate Lands/Buildings with the applicable policies and
procedures of Government.

WHEREAS, “the Purchaser” desires that the Company provide/arrange the above-mentioned
Land with all papers and related owner bi-furcation by their area of expertise to them to proceed
for registered sale deeds; And
WHEREAS, the Company desires to provide such services to the Purchaser under the terms and
conditions of this Agreement;
NOW, THEREFORE, the Company and the Purchaser hereby agree as follows;
1. That in pursuance of the above agreement and in consideration of the said sum of the
schedule above land fixed @ Rs. 17,000/- Per Square Feet hence total consideration
amount for the sale of aforesaid schedule property has been fixed at
__________________________________ (Rupees ____________________________).
2. That the Purchaser engages the Company to act as Facilitator in the Purchase of the
above referenced Property and the Company agrees to use reasonable efforts to provide
the property in accordance with the price, terms, and conditions of this Agreement.
3. That the Purchaser mutually agrees to transfer the payment of Rs. 12000/- per sqft
towards Land owner and Rs.5000/- per sqft to the Company/Facilitator.
4. That out of the aforesaid consideration amount “the Purchaser” are making payment of a
sum rupees Rs. __________ (Rupees ________) to the Company and Owner on the date
of execution of this agreement, As a token money in confirmation of the deal between the
parties.

5. That it has been mutually agreed by and between the parties that the Purchaser shall pay
the balance consideration amount i.e; Rs. ________________ (Rupees ___________)
with respect to the remaining schedule land, at the time of execution of sale deed and/ or
registered General power of Attorney within one month after the position clearance by
the Facilitator; Hence the time period of this Agreement i.e; __________________.
6. That “the Purchaser” shall pay the balance amount of Rs. ____________________
(Rupees ________________________) towards “the Company and the Owners” in above
mentioned in para no.-03.

7. That both the parties shall be just fair and faithful to each other in connection with the
said transfer and transaction and either of the parties shall not deprive the other and if so,
the deprived party shall have every right to take the shelter of law.
8. That the company hereby declares that the schedule below property is free from all
encumbrances, charge, lien, impendence, attachments etc. If not it’s a responsibility of
the Company to clear all the hindrances till the registry and position of the Purchaser.
9. That the company hereby declare that it has neither sold nor agreed to sell the schedule
property in any way to anyone else prior to this agreement and nor have accepted any
consideration either in part or in full from any person for the schedule property.
10. That the company covenant with the Purchaser, they shall not do any act, deed or things
creating any charges, lien or encumbrance in respect of the schedule property during the
subsistence of this Agreement for Sale By Facilitator.
11. That any other relevant thing not specially written hereinabove, shall be mutually decided
by and between the parties amicably, and will be acted upon accordingly.
12. That in case of any dispute between the two parties, which shall be referred to arbitration.
The Courts of ___________ shall have exclusive authority to try and adjudicate any and
all disputes, if the same arise.
