This partnership is based on mutual respect, benefit, and understanding of both parties' vision,
so that we can utilize the strength of each party to make a meaningful, successful and win-win
partnership.

This agreement between the parties will start from DATE 01/07/2023 and is subject to review
yearly If both parties want, they can renew this contract after 1 year

It is hereby agreed by and between the parties here to as follows:

 1. The 1st party will make the product sample and submit it to the 2nd party and the 2nd
party will approve the sample
2. The 2nd party will send the product demand letter to the 1st party as per his
requirement. If the 1st party finally accepts the demand letter then it will be accepted as
order. After confirming the order, the 1st party will inform 2nd party at the time of receiving
the order how many days the product will be delivered
3. Orders will be accepted subject to advance payment of 25% of the total bill by the 2nd
party and up to 50% for some items at the time of placing the order and pay the balance
of the bill immediately upon delivery of the products of that order
4. Once the order is placed, 1st party or 2nd party cannot cancel the order after placing it
5. The 2nd party will send his representative to receive the products from the 1st party. The
2nd party will receive the products from the 1st party at its own expense
6. The 2nd party will check the product quantity and invoice amount at the time of receiving
the products and after signing the bill at the time of receiving the products, no complaint
will be accepted about the quantity of the products
7. Within 1 day after receiving the delivery, the 2nd party will check the product according
to the sample whether the product is correct If any defect in the products is found during
the inspection of the products, the 2nd party will inform the 1st party and the 1st party
will resend the correct products to the 2nd party at its own expense. No returns will be
accepted after delivery of the correct product.
8. 2nd party may not resell 1st party products to any other seller
9. During the contract period or even after the termination of the contract, the 2 nd party will
not be able to manufacture the hijab using the design or pattern supplied by the 1st party
and sell it on any online or offline platform.
10. After the contract expires, 2nd party cannot use the video content or images created
using products provided by the 1st party in any online platform and it should be deleted

11. Any party may terminate this agreement with/without cause upon thirty (90) days written
Notice to the other party.
12. The 2nd party cannot disclose any information about the product (design, pattern, price,
etc.) to any person or organization
13. All money transactions must be done through the bank, no cash transactions will be
accepted
14. Both parties can change any part of the contract or make any kind of amendment at any
time later

Either party may take any legal action against the other party for breach of any term of this
Agreement
