CHANNEL PARTNER AGREEMENT

This Channel Partner Agreement is made and executed this 9th day of September, 2022 by
and between:

SPEED CONSTRUC TECHNOLOGY CORP., a corporation duly organized and existing

under the laws of the Philippines, with principal office address at Unit 408 JOSE R.
MARTINEZ BLDG.OSMENA BLVD. CEBU CITY represented by ENGR. ROLANDO G.
JEMINO JR. -Chairman & CEO, (hereinafter referred to as FIRST PARTY”);

AND

Channel Partners
PROPONENT FACILITATORS FUNDER SIDE FACILITATORS

Elmor G. Cachumbo Jr. Ms. Maica D. Cordovilla

Engr. Severino F. Floresta IV Mr. Eduardo C. Buscato

All Channel Partners are of legal age, Filipinos, (hereinafter referred to as the
“SECOND PARTY”);

RECITALS

WHEREAS, The FIRST PARTY wishes to expand its marketing efforts by engaging
individuals who have expertise in the field of sales and marketing that will assist SPEED
CONSTRUC TECHNOLOGY CORP. in promoting services and assisting in securing funds
thru PROJECT FUNDERS;

WHEREAS, the “SECOND PARTY” is competent and willing to provide integrated and
outsourced marketing services and solutions required by SPEED CONSTRUC
TECHNOLOGY CORP.;

NOW, THEREFORE, in consideration of the foregoing premises and under such terms and
conditions hereinafter stipulated, the Parties agreed as follows:

1. SPEED CONSTRUC TECHNOLOGY CORP. engages the “SECOND PARTY”, and

the “SECOND PARTY” accepts this engagement, to coordinate, facilitate and provide a
means in securing Funds thru channeling PROJECT FUNDERS/ FINANCIERS for SPEED
CONSTRUC TECHNOLOGY CORP. in the 500 MW Hydropower Plant, Multi-Purpose
Dam and Irrigation System project to third parties on a non-exclusive basis during the term of
this Agreement;

2. The Channel Partner is only authorized to use marketing materials provided by and
approved by SPEED CONSTRUC TECHNOLOGY CORP.;

3. Any inquiry and/or order received by the “SECOND PARTY” from third
parties(FUNDER)must be communicated and transmitted promptly to SPEED CONSTRUC
TECHNOLOGY CORP.;

4. The channel services fee due to the “SECOND PARTY” (Proponent Facilitators- 1%
and Funder Facilitators is 2%) shall be limited to THREE PERCENT (3%) of the total
contracted price less Tax.

5. The marketing services fee shall be paid to the “SECOND PARTY” within Three (3) days
from receipt of the payment in the bank for the approved and accepted contract secured through
the Channel Partner’s efforts;

6. The “SECOND PARTY” shall not present itself as an employee, agent or representative of
SPEED CONSTRUC TECHNOLOGY CORP. and shall not make or promise to make any
representations on behalf of SPEED CONSTRUC TECHNOLOGY CORP., including
warranties, refunds and/or credits;
7. The “SECOND PARTY” shall protect SPEED CONSTRUC TECHNOLOGY CORP.
confidential and proprietary information and intellectual property (including, but not limited
to, its trade secrets, copyrights, trade names, service marks and trademarks, customers,
suppliers as well as logistical, financial, research and development information) with the same
level of protection it employs for its own confidential and proprietary information, during and
after the termination of this Agreement;
