SETTLEMENT AGREEMENT

The present settlement is entered on the day of 8 th of July 2021. Between R. K.

CRUSHER, Represented by Mr. Ravindra Sharma, R/at No.41/A, SHREE
VEERABHADRA SWAMY NILAYA, Tavarekere, Tavarekere Hobli, Magadi
Main Road, Bangalore South Taluk, Bengaluru – 562 130 (“Company”)
and Mr. KRUNAL DANIDHARIA, S/o Dwarakdas Danidharia, aged about –
years, R/at #482-2, Bellekallu Siddeshwara Nilaya, Kengeri Road, Tavarekere,
Bengaluru- 562 130 (“Employee”).

Whereas the Employee was working with the Company and there arose a
dispute with regard to the conduct of the Employee at R. K. Crusher.

Whereas the Employee was found to misguide the customers to deposit the
Company’s billed invoice amounts to the account bearing A/c No:
788225000100003901, of Karnataka Bank Ltd, Tavarekere Branch, i.e.,
the account managed by Mrs. Riya. D (who is none other than the wife of the
Employee) and further, deposited a portion of the same to the company’s
account from time to time, malafidely portraying the same as capitol to the
Company.

Whereas Mr. Krunal Danidharia admits the same was his misconduct and
further rests his claims to treat the same as capitol to R. K Crusher (i.e., the
Company herein).

Whereas amongst his various claims with R. K. Crusher, the claims of Mr.
Krunal Danidharia (i.e., the Employee herein) stands finally settled after due
negotiations between the parties and the present settlement is being entered
between the parties accordingly on following terms and conditions:

A. Mr. Krunal Danidharia will be paid an amount of Rs.5,00,000/-

(Rupees Five lakhs only) as full and final settlement of all his claims.

B. Mr. Krunal Danidharia has agreed forgo all his claims in all respects
after the present settlement and shall not claim any thing over and
above the amount being paid under the present settlement. All his
other claims are treated to be withdrawn and forgone.

 C. Mr. Krunal Danidharia will execute a separate receipt of the money
received by him from the company which shall be a part of the present
settlement.

D. NO ADMISSION OF LIABILITY: Neither this Settlement Agreement nor

anything contained within it shall be admissible in any proceeding as
evidence of liability or wrongdoing on the part of either party.
However, this Settlement Agreement may be introduced in any
proceeding instituted to enforce its terms.

E. PROMISE TO PAY: In full settlement of the Controversies, Sharmaji/

Company shall pay to Mr. Krunal the amount of Rs. 5,00,000/-
(Rupees Five lakhs only) vide cheque bearing No: 630667, dated
____, drawn on Karnataka Bank Ltd, Tavarekere Branch. Such
Settlement Amount includes all monetary remedies of any kind relating
to the Controversies, including but not limited to, equitable
adjustments, interest, unpaid portions of amounts in prior invoices
under the Contract, and other remedies.

F. MUTUAL RELEASE OF ALL CLAIMS: In consideration for their faithful

performance of the terms of this Settlement Agreement, the parties, for
themselves, their successors and assigns, do hereby relinquish, waive,
release, acquit and forever discharge each other of and from any and all
claims, disputes, actions, charges, contractual obligations, complaints,
causes of action, rights, demands, debts, damages, or accountings of
whatever nature, at law or in equity, known or unknown, asserted or
not asserted, which they have now or may have in the future against
one another, based on any actions or events which occurred prior to
the date of this Settlement Agreement, including without limitation the
aforesaid Controversies and those arising out of or related to the
parties any claims for delay, disruption and impact, any claims
(including statutorily based claims) for attorneys' fees and costs
incurred in connection with them and any claims for interest.

G. BINDING EFFECT: This Settlement Agreement shall be binding upon

and inure to the benefit of the parties' respective heirs, successors,
assigns and personal representatives.

 H. NEGOTIATED TRANSACTION: Each of the parties has participated in
the drafting and negotiation of this Settlement Agreement. Accordingly,
for all purposes, this Settlement Agreement shall be deemed to have
been drafted jointly by the parties.

I. CONFIDENTIALITY: The Parties agree to keep confidential and not

disclose to any third party the terms and conditions of this Agreement
or the existence thereof, except as is necessary to effectuate any term
or provision of this Agreement, including any subsequent litigation to
enforce this Agreement, or except as required by law or court order.
The nondisclosure provisions of this Agreement shall survive the
termination of this Agreement and Receiving Party's duty to hold
Confidential Information in confidence shall remain in effect until the
Confidential Information no longer qualifies as a trade secret or until
Disclosing Party sends Receiving Party written notice releasing
Receiving Party from this Agreement, whichever occurs first.

J. COUNTERPARTS: This Settlement Agreement may be executed in 2

(Two) parts, each of which shall be deemed to be a counterpart
original.

K. REPRESENTATION OF AUTHORITY: Each person signing this

Settlement Agreement hereby represents and warrants that he or she
has the authority to bind the entity on behalf of which he or she has
signed.

I, Mr. Krunal Danidharia (i.e., the Employee in the aforementioned Agreement

dated 08/07/2021) have received an amount of Rs.5,00,000/- (Rupees Five

Lakhs only) vide Cheque Bearing No: 630667, dated ____, drawn on

Karnataka Bank Ltd, Tavarekere Branch, as Full and Final Settlement

amount in terms of the settlement dated 08/07/2021 with R. K. CRUSHER.

This receipt is being issued as a part of the settlement being entered with

separately.
