 SALES AGREEMENT

Sales Agreement for the purchase/supply of Slop Oil at Indorama Eleme

Petrochemical Ltd, Eleme.
BETWEEN

EBENCO GLOBAL LINK LIMITED, a company organized and existing under the
Laws of Nigeria, has a registered Location at Ebenco close, off Atuwase 2 Road,
Koko beach, Warri North LGA. Delta State, Nigeria Nigeria (Hereinafter referred to
as “EBENCO GLOBAL”)
AND
BETTYCHRIS INTEGRATED SERVICES LIMITED a company organized and existing
under the Laws of Nigeria, having a registered office at Plot 280, Trans Amadi
Industrial Layout, Port Harcourt, Rivers State, Nigeria (hereinafter referred to as
“BETTYCHRIS INTEGRATED SERVICES LIMITED’

WHEREAS, Indorama Eleme Petrochemicals Company Ltd, hereinafter referred to

as the (‘’PRODUCER’’) has issued an offer of SALES OF SLOP OIL to BETTYCHRIS
INTEGRATED SERVICES LIMITED for the onward sales of Slop to the approved end
user.

WHEREAS, EBENCO GLOBAL LINK LIMITED wishes to enter a SALES AND SUPPLY
AGREEMENT with BETTYCHRIS INTEGRATED SERVICES LIMITED for the purpose
of carrying out THE SUPPLY OF SLOP OIL.

And WHEREAS, EBENCO GLOBAL LINK LIMITED and BETTYCHRIS

INTEGRATED SERVICES LIMITED desire by means of this agreement to
establish and define their respective rights and obligations.
Now, THEREFORE, in consideration of the premises and undertakings,
herein contained, it is HEREBY AGREED as follows:

1.0 Definitions
In the text of this Agreement, the meaning of the following words shall be
as herein below defined:
 End user - shall mean EBENCO GLOBAL LINK LIMITED
 Supplier - shall mean BETTYCHRIS INTEGRATED SERVICES LIMITED
 Producer - shall mean INDORAMA ELEME PETROCHEMICAL COMPANY LTD.
(IEPCL)

2.0. Objective

The objective of this Agreement is to define the rules, which shall govern
the relationship between both companies as regards Slop Oil Supply.

3.0. NATURE OF THE AGREEMENT AND GENERAL OBLIGATIONS.

 The Slop Oil to be supplied must be of quality and specifically

The product of Indorama Eleme Petrochemical Company Ltd (IEPCL)

 The specification and grade shall be as contained in the letter of

specification of slop oil as contained in the Indorama Eleme Petrochemical
Company Ltd offer letter.
 The weekly consumption quantity shall be 1(one) truck of 40,000 -45,000
liters per week.
 EBENCO GLOBAL shall observe all safety procedures and standards as
approved by Nigerian Upstream Petroleum Regulatory Commission
(NUPRC) and other Government Regulatory Agencies.
 And both parties undertake that Slop Oil shall be used strictly in accordance
with NUPRC directives
 The quality shall be determined based upon IEPCL lab analysis and shall
be final.
 That complete payment is to be made at the end of each
successful delivery and the waybill is stamped and accepted by
designated/ authorized company personnel.
 Confidentiality

Both parties agree not to disclose to any third party, the nature and
existence or the provision of the agreement without consent in writing of
the other.
This agreement shall be valid for a period of Three (3) years from the date
of the Signature of this Agreement.

Settlement of disputes

All disputes arising out of or in connection with this agreement which

parties failed to settle amicably shall be finally settled under the rules of
Law of the Federal Republic of Nigeria.
