CAREER ENGINEERING CENTRE AND MAINTENANCE
AGREEMENT

This Agreement is made and will effective on ____/____/____ between Ayam Penyet Sambalado,
whose address is Cafewalk, Spectrum Mall, Bandar Baru Ampang, 68000 Ampang Jaya,
Selangor (hereinafter referred to as the “Client”) and Career Engineering Centre, whose
address is G-Floor of 2 Store Shop No.22-G, Jalan SR 4/1D Saujana Rawang, Gombak
Rawang 48000, Selangor (hereinafter referred to as the “Contractor”).

I. STATEMENT OF WORK.

1.1. GENERAL. (a) Contractor shall provide chiller preventive maintenance and repair services for
various franchise located in the Kuala Lumpur/Selangor area as listed in Exhibit A - Franchise and
Equipment List, attached hereto and incorporated herein for all purposes. Contractor will provide
all labor, tools and transportation required to perform these services. All chiller, freezer and
refrigerator repair work and maintenance shall follow the manufacturer's recommendations.

(b) Prior to chiller maintenance or repairs, Contractor will contact the Client, to
have equipment taken out of service by shutting down, or being turned off, at the equipment
disconnect. Once services are complete, the equipment shall be put back into service.

(d) Contractor will not purchase and provide all manufacturers replacement parts
for each model of chiller unless approved by the Client.

I.2. PERFORMANCE REQUIREMENTS. Contractor's performance shall include, but not


limited to, the following when performing chiller maintenance:

I. Provide all major and minor chiller, freezer and refrigerator repairs, that include,
but are not limited to, the following: diagnostic, rebuilds, overalls, teardowns,
refrigerant reclamations, retrofits and re-tubes.

II. Remove and dispose of all trash and oil from floors when job is completed for the
day;

III. Provide appropriate off-site disposal of used parts and trash;

IV. Report any observed equipment deficiencies to the Client the same day they have
been observed;

1.3 MAINTENANCE. (a) Contractor will provide all required labours and tools, to complete
scheduled maintenance tasks as per manufacturer recommendation which if applicable shall include, but
not be limited to:
1. review of diagnostics;
2. review of purge report;
3. conduct refrigerant leak check;
4. oil level and temperature check;
5. oil analysis per circuit;
6. check oil heater;
7. lock out tag out units with potentially high or medium voltage starters;
8. purge plus expiration date check (high performance);
9. vane linkage and valve lubrication;
10. motor bearing lubrication;
11. condenser tube brushing including head removal;
12. open starter panel door(s);
13. compressor starter inspection;
14. control panel electrical inspection;
15. control panel calibration check;
16. low temperatures sensor calibration;
17. drain rupture disc vent line;
18. clean coils;
19. top off fluids;
20. pre-start chiller check;
21. start chiller; and
22. check chiller for unusual noise and vibration.

(b) Contractor shall record and report abnormal conditions and measurements
taken.
(c) The maintenance report shall be given to the Client.

1.4 ONE (1) YEAR MAINTENANCE. (a) Contractor shall provide all required labour and tools to
complete scheduled maintenance tasks as per manufacturer recommendation which if applicable.

1.5 Charge. Contractor shall carry out the general service to the Client’s equipment/product with
the rate as stated below:

Client shall pay to the Contractor before services and payment can be made by cash or
cheque and full payment is required upon the service work is completed

Contractor will charge the Client RM100 for every break down call for checking during the
business hour. Any additional service upon request will be charged with the rate listed as
follows:

1.6 Period The services shall commence on from ____/____/____to ____/____/____to carry out
the service to the Client’s equipment/product as stated above (Services). The Contractor shall
provide the service as per following services planning time table below:

In case there any changes on the time table, the Contractor shall give 14 days noticed to the Client.

1.7 Service Time Contractor shall provide the services between 9.00 am to 6.00 pm, Monday to
Sunday. For services or emergency call outside working business day or hour, Contractor will
charge depending on type of services and maintenances.

1.8 Termination and/or Suspension of Services
The Agreement will remain in effect until terminated in the following ways: -
a. The Client has the right to terminate this Agreement by giving 30 days noticed to the
Contractor in advance of the date of termination.
b. The Contractor has the right to terminate this Agreement by giving written notice of
intent to terminate this Agreement to the Client within 30 days noticed in advance of the
date of termination.

1. Validity of Agreement
This Agreement only valid where the Product is in the location mentioned and the Client is
still the owner and this agreement will be null and void if the Product has been registered
either to a new owner or transferred to a new location.

This Agreement shall commence on the day and year mentioned above. The Client and
Contractor shall have the option to renew this Agreement for a further period of one (1) year
subject to the Parties’ agreement on any revisions to the Fees, and provided that such option
is exercised at least one (1) month before the date of expiry of this Agreement and is
accepted by Career Engineering Centre.

IN WITNESS WHEREOF the Parties have caused this Agreement to be duly executed.
