BRB MODEL AND ARTIST MANAGEMENT

This Modeling AGENCY Contract ("Contract") is entered into on this ___________________ between:

BRB MODEL AND ARTIST MANAGEMENT with office address at Poblacion 1,

Calaca City Batangas as duly represented by JOHN ROY U. MARASIGAN, of
legal age, Filipino, Single, a resident of ___________________________,
hereinafter referred to as the “AGENCY.”

and

[Model Name], of legal age, Filipino, single, with residence at

__________________________, herein referred to as the “TALENT”

WHEREAS this Agreement ("Agreement") is entered into between the AGENCY and the TALENT,
hereinafter collectively referred to as the "PARTIES."

WHEREAS the TALENT agrees to engage the AGENCY as their exclusive modeling AGENCY for a
specified duration of ______________________, effective from ____________________ as the Effective
Date.

WHEREAS the PARTIES mutually commit themselves to abide by the subsequent terms and
conditions set forth herein.

TERMS AND CONDITIONS

1. Engagement and Services

1.1 The TALENT engages the AGENCY as their exclusive modeling AGENCY for the duration of this
Contract. The AGENCY agrees to provide the following services to the TALENT:

a. Representation and Promotion:

i. The TEAM BRB MODELING & TALENT MANAGEMENT ("AGENCY") shall represent
and promote the TALENT ("TALENT") in the modeling industry, adhering to the
laws and regulations of the Republic of the Philippines.
ii. The AGENCY shall seek modeling opportunities, including but not limited to
runway shows, fashion campaigns, advertisements, endorsements, beauty
pageants, and related activities, on behalf of TALENT.
iii. The AGENCY shall provide guidance and advice to the TALENT regarding their
professional development, career advancement, and overall image
enhancement.
 b. Booking and Negotiations:
I. The AGENCY shall negotiate and secure modeling assignments and contracts
for TALENT, ensuring fair and reasonable terms and conditions.
II. The AGENCY shall handle the scheduling of appointments, castings, and
bookings for the TALENT, while keeping the TALENT informed of all relevant
details.

c. Portfolio Development:
I. 3.1 The AGENCY shall assist the TALENT in building and enhancing their
modeling portfolio.
II. 3.2 The AGENCY shall organize and coordinate photo shoots, styling, and
collaborations with photographers, makeup artists, and designers, as
necessary for the TALENT's portfolio development.

d. Marketing and Networking:

I. The AGENCY shall promote the TALENT's image and brand through effective
marketing and networking efforts.
II. The AGENCY shall explore opportunities to enhance the TALENT's visibility
and exposure in the industry, while complying with applicable laws and
regulations.

e. Professional Training and Development:

I. The AGENCY shall facilitate TALENT development programs, workshops, and
training sessions to enhance TALENT’s modeling skills, such as runway
walking, posing, and public speaking.
II. The AGENCY shall offer personality development courses or coaching
sessions aimed at improving the TALENT's overall image, confidence, and
communication skills.
III. The AGENCY shall provide guidance on grooming, styling, and wardrobe
selection for modeling assignments.

1.2 The TALENT acknowledges and agrees to fulfill the following responsibilities during the term
of this Contract:

a. The TALENT shall conduct themselves in a professional and ethical manner, adhering
to the laws and regulations of the Republic of the Philippines and industry
standards.
b. The TALENT shall prioritize punctuality and reliability for all modeling assignments,
castings, fittings, and other professional obligations.

c. TALENT agrees to grant t TEAM BRB MODELING & TALENT MANAGEMENT
("Agency") exclusive representation rights during the term of the modeling contract.
other agencies or clients without the prior written consent of the Agency, except
for prior commitments disclosed to the Agency.

d. Availability and Commitment:

I. TALENT shall make themselves available for assignments and promotional
activities as scheduled by the Agency, unless unforeseen circumstances
prevent their attendance.
II. TALENT shall promptly inform the Agency of any scheduling conflicts or
unavailability, allowing sufficient time for the Agency to make necessary
adjustments.
e. Professional Development:
I. TALENT shall actively participate in training programs, workshops, and
coaching sessions recommended or organized by the Agency to enhance
their modeling skills, industry knowledge, and professional growth.
II. The TALENT shall strive to continuously improve their physical fitness,
appearance, and overall image to meet the demands of the fashion
industry.
f. Health and Well-being:
i. 5.1 The Model shall maintain a healthy lifestyle conducive to their
well-being and the requirements of their profession, including
proper nutrition, exercise, and sufficient rest.
ii. 5.2 The Model shall refrain from engaging in any activities that may
compromise their physical or mental health, such as substance
abuse or reckless behaviors.

g. Cooperation and Communication:

i. The Model shall cooperate with the Agency, providing accurate and
timely information related to their availability, contact details, and
any changes in their personal circumstances that may affect their
modeling career.
ii. The Model shall maintain open and regular communication with the
Agency, promptly responding to messages, inquiries, and requests
for information.

h. Professional Image and Branding:

i. The Model shall actively participate in the development and
maintenance of their professional image and personal brand,
 collaborating with the Agency on marketing strategies and
promotional efforts.
ii. 7.2 The Model shall adhere to any guidelines or restrictions
provided by the Agency regarding their appearance, grooming, and
styling for specific assignments or campaigns.

2. Exclusivity

2.1 The TALENT agrees to grant the AGENCY exclusive representation rights during the term of
this Contract. TALENT shall not engage in any modeling activities or contracts without the
AGENCY's prior written consent, except for prior commitments disclosed to the AGENCY.

2.2 The AGENCY agrees to use its best efforts to promote and advance the Model's career during
the term of this Contract.

3. Compensation

3.1 The Parties shall agree upon a specific compensation structure, which may include but is not
limited to:

a) Commission: The AGENCY shall be entitled to a THIRTY PERCENT (30%) of TALENT’s

total earnings from assignments secured by the AGENCY.

b) Fees: TALENT may be responsible for paying certain fees to the AGENCY for services
rendered, such as administrative costs or promotional expenses. The fees and payment
terms shall be agreed upon in writing.

3.2 The Parties acknowledge that any agreed-upon compensation shall be subject to applicable
laws, regulations, and withholding taxes.

4. Liability and Penalties

4.1 Liability: The AGENCY shall not be held liable for any damages, losses, injuries, or claims
arising from the TALENT's participation in modeling assignments, events, or activities secured by
the AGENCY, except in cases of willful misconduct or gross negligence by the AGENCY.

4.2 Breach of Contract: In the event of a material breach of this Contract by either Party, the
non-breaching Party shall be entitled to the following remedies:

a) Right to Terminate: The non-breaching Party may terminate this Contract immediately
upon written notice to the breaching Party.

b) Damages: The breaching Party shall be liable to the non-breaching Party for any
damages incurred as a direct result of the breach.

c) Specific Performance: The non-breaching Party may seek specific performance,

requiring the breaching Party to fulfill its obligations under this Contract.
 d.) Expense Reimbursement: The TALENT agrees to reimburse the AGENCY for
reasonable expenses incurred by the AGENCY on behalf of the TALENT, related to
TALENT development, personality training, and other beautification expenses
("Expenses"). These Expenses may include, but are not limited to:

I. Training programs or workshops to enhance the Model's skills, such as

runway walking, posing, and public speaking.
II. Personality development courses or coaching sessions aimed at improving
the Model's overall image, confidence, and communication skills.
III. Beautification expenses, including but not limited to hairstyling, makeup,
wardrobe, and grooming, are necessary for photo shoots, fashion shows, or
other modeling assignments.

The AGENCY shall maintain detailed records of the Expenses incurred on behalf of the
TALENT and provide the TALENT with a breakdown of such Expenses upon request.

The TALENT agrees to reimburse the AGENCY for the Expenses within thirty (30) days
from the date of receipt of an itemized invoice or expense report.

The reimbursement amount shall be mutually agreed upon between the Parties and
shall be reasonable and proportionate to the actual Expenses incurred.

Failure to reimburse the AGENCY for the Expenses within the stipulated timeframe may
result in deductions from TALENT’s future earnings or legal action for recovery of the
outstanding amounts.

The AGENCY shall provide reasonable documentation and receipts to support the
Expenses incurred, upon the Model's request.

The reimbursement of Expenses shall be separate from any commission or fees payable
to the AGENCY as outlined in other sections of this Contract.

The TALENT understands and agrees that the reimbursement of Expenses is essential for
their professional development and career advancement, and failure to reimburse the
AGENCY may hinder their progress in the fashion industry.

5. Period and Termination

5.1 This Contract shall commence on the Effective Date and remain in effect for a period of FIVE
(5) YEARS. It may be renewed upon mutual agreement in writing.

5.2 Either Party may terminate this Contract in the event of a material breach by the other Party.
Prior written notice of at least THIRTY (30) days must be provided, detailing the reasons for
termination.

5.3 Upon termination, all obligations and rights of the Parties under this Contract shall cease,
except for those obligations that, by their nature, are intended to survive termination.
6. Confidentiality

6.1 The Parties hereby mutually agree to uphold strict confidentiality regarding any confidential
information exchanged during the duration of their association.

7. Governing Law and Jurisdiction

7.1 This Contract shall be governed by and construed in accordance with the laws of the
Republic of the Philippines.

7.2 Any dispute arising out of or in connection with this Contract shall be subject to the exclusive
jurisdiction of the courts Balayan, Batangas of the Republic of the Philippines.

7. Entire Agreement

7.1 This Contract constitutes the entire understanding between the Parties and supersedes any
prior agreements or understandings, whether written or oral, relating to the subject matter
herein.

IN WITNESS WHEREOF, the Parties hereto have executed this Modeling AGENCY Contract as of the date
first above written.
