Terms & Conditions of Sale for Projects

Price Basis
The basic price as mentioned in our offer includes the design, complete engineering, and supply of the unit only.
The prices mentioned above are Ex-Works, Ahmedabad and exclude the following charges: Excise. Duty,
Central/State Sales Tax, Octroi, Service Tax, any other Levies & Duties etc. as applicable, Transit Insurance and Freight
from our Works to Site, Unloading at Site etc.
The above-mentioned Taxes and Levies shall be charged at the rate prevailing at the time of dispatch.
Submission and formalities related to Exemption Forms for Taxes/Duties is the responsibility & liability of the
purchaser.
We will forward Performa Invoice showing all taxes and incidental charges, around the time the
ordered materials are made ready for delivery in full or part.

Payment Terms
As Per mentioned in above offer.

materials are ready for delivery in full or part.
All bank charges towards payment / performance instruments will be borne by client fully. All such draft formats will
be as prescribed by AA&E.

Inspection:
Where the purchaser desires self-inspection or third-party inspection the same shall be as agreed by us and at our
Works before packing.
The purchaser will be intimated in advance regarding the readiness of ordered items for inspection.
In case the purchaser fails to carry out the inspection on the designated date, we can proceed with dispatch under no
obligation to the purchaser.

Bought-out Items:
The purchaser shall indemnify AA&E for any delay arising out of the delay in delivery of specific make/makes insisted
upon by the purchaser as AA&E has no control over the delivery of item.

Excess Material:
To ensure smooth and uninterrupted erection and commissioning, AA&E dispatches to the site several items in
excess and spare. Items which remain unused are AA&E property and will be removed by AA&E. Devices/Instruments
required for testing, calibration etc. may be brought to the site by AA&E and the same will be removed by AA&E as
and when AA&E deems appropriate.
General Lien:
AA&E is entitled to a general line on goods in possession or dispatched for all money due from the purchaser.
Both under this contract or on any other account AA&E shall also be entitled to adjust/utilize any money in hand for
any contract or contracts of the purchaser.

Warranty:

AA&E liability in respect of any defect in or failure of equipment supplied by AA&E or any loss, injury or damage
attributable thereto, is limited to making good by replacement or repairs, defects, which appear therein, provided
the equipment is operated and maintained in accordance with AA&E instructions, and arise totally from proved fault
in design, materials, or workmanship, within a period of 12 months from the date of commissioning of the
equipment or 18 months from the date of last invoiced dispatch, whichever is earlier, at the end of which period, all
liability on AA&E part will cease.

This warranty is applicable under the following conditions:


• Installation having been completed within three months of dispatch of the equipment and as per AA&E
installation instructions.
• Any replacements/repairs required under the provisions of the above warranty will be carried out as per
AA&E decision either at site or at AA&E works. In the latter case, purchaser will dispatch the defective parts to
AA&E works at purchaser’s cost & liability.
• After repairs/replacement, the warranty period for the entire equipment including replaced or repaired parts
will be limited to the balance portion of the total warranty period.
• In respect of equipment where dispatch after readiness is delayed due to specific instructions or lack of
instructions from purchaser, the warranty will be limited to 18 months from the date of readiness for dispatch
of equipment as notified by AA&E.
• No repairs or replacements can be carried out by any other party on AA&E equipment during the warranty
period, unless authorized by AA&E in writing.
• The warranty obligations will be honored by AA&E provided the purchaser has fulfilled his obligations as per
the mutually accepted terms of the order and the equipment is being operated and maintained as per our
operation and maintenance manual.
• The warranty period does not cover the following:
• Normal wear and tear
• Damages/defects arising out of wrong operation of the equipment by the Buyer and/or

In the event of AA&E supplying free of cost part/s as part of the warranty commitment as detailed above, purchaser
will reimburse the Excise duty as per the Excise invoice wherever CENVAT credit is availed by the purchaser. This
amount shall be paid to AA&E as soon as the replacement part is supplied and on submission of Excise invoice.
Warehousing Clause:
If payment is not cleared within 7 days from the date of Performa invoice, AA&E reserves the right to divert the
ordered material.
AA&E will give a fresh delivery period and price at the time of diversion which will be binding on the purchasers and
the contract cannot be rendered void on this account.
In the event, the goods are not diverted; warehousing charges will be applicable for storage of the goods at the rate
of 0.5% per week to a maximum of 5%. Insurance and interest will be charged at the rate of 1% of the invoice value
for each week or there of commencing 7 days from date of
Performa invoice. All these charges are to the account of the purchaser and payable on demand by purchaser prior to
dispatch of the goods.

Handing Over of the Unit:


The unit is deemed to have been delivered and commissioned as per AA&E scope and the purchaser shall issue a
certificate to that effect once the unit is installed, commissioned, and handed over after necessary tests by AA&E
service personnel. AA&E stands no guarantee if the unit is tampered with, installed, or misused by the purchaser.

Variation or Addition in Scope of Supply:


The scope of AA&E supply is restricted to as specified in the proposal. Any subsequent addition or alteration will be
acceptable to AA&E provided it is convenient to do so and the price and delivery period is suitably revised. Unless
such revision is authorized from the purchaser within 15 days of intimation by AA&E, AA&E shall be at liberty to
suspend further work and recommence it only after fresh negotiation on prices and delivery period. The same will be
the case if AA&E is forced to suspend work for more than 15 days at purchaser’s specific instructions or lack of
instructions.

Changes in Work or Law:


If there is any change in the scope and/or nature of work, during the execution of this project, because of change in
Indian Government’s ruling or regulations or order, an adjustment in terms including, but not limited to, prices,
deliveries, etc. shall be mutually agreed. AA&E is not obliged to proceed with the changes until AA&E has received
the purchaser's written approval of the proposed changes as well as adjustments, if any, in terms of the order.

Force Majeure:
The supply by BEPL is subject to force majeure conditions caused beyond AA&E reasonable control like riots, floods,
fire, earthquake, accident, breakdown of machinery, war, government order/restrictions, strikes, lock outs,
unavailability of labor, raw material, shipping space etc.

Secrecy:
All data, specifications and drawings submitted by AA&E as a part of the order are proprietary in nature and will not
be passed on by the purchaser to any third party, for whatever reason, without AA&E written consent.
Interruptions:
Should AA&E be subjected to interruption during the execution of the order on account of non-fulfillment of the
purchaser's obligations or due to reasons attributable to the purchaser, the
The terms and conditions of this order shall be re-negotiated and mutually agreed upon. AA&E is not obliged to
resume the work until AA&E has received the purchaser's written approval of the re- negotiated terms and
conditions.

Cancellation:
The purchaser will not unilaterally cancel the order once AA&E accepts it. In the event of the order being cancelled
by buyer with AA&E consent, Purchaser will be liable to pay cancellation, or the actual cost of work completed
whichever is higher, subject to the minimum of 30% of the value of order.

Jurisdiction:
All contracts between purchaser and AA&E are deemed to be entered into at Ahmedabad and are therefore subject
to the jurisdiction of the courts of Ahmedabad.

Arbitration:
In the event of any difference in the interpretation of these terms or dispute arising in executing the order, the same
will be resolved by reference to two arbitrators under provision of Indian. Arbitration Act, 1940.

General:
These terms specified in our offer are deemed to have been read and accepted by the purchaser during placement of
order unless a specific mention to a clause if mentioned in purchase order and accepted by AA&E in writing.
Any condition or other matters pertaining to this offer not expressly stipulated will be a matter of mutual discussion
and agreement at the time of accepting the order.
