DEED OF ABSOLUTE SALE OF A MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE (the “Agreement”) is made and

executed at Bustos, Bulacan, this day of 15th day of July 2023, by and
between:

MIRRIAM GONZALES GOMEZ, Filipino, of legal age, single, and

with address at 450 San Pedro, Bustos, Bulacan, hereinafter referred to as
the SELLER;
- and –
NAZARIO JULIAN MENDOZA BANAL, Filipino, of legal age,
married, and with address at 294 Daang Bakal St., Sto. Cristo, Baliwag,
Bulacan, hereinafter referred to as the BUYER;

WITNESSETH:

WHEREAS, SELLER is the owner and possessor of a motor vehicle (the

“Motor Vehicle”) specifically described as follows:

WHEREAS, the SELLER desires to sell the Motor Vehicle to the BUYER
and the BUYER desires to buy the same from the SELLER;
NOW THEREFORE, for and in consideration of the foregoing premises and
mutual covenants herein contained, the SELLER hereby absolutely and
unconditionally, sells, assigns, conveys and transfers upon the BUYER,
and its successors and assigns, the Motor Vehicles described above, as
follows:

1. No Warranty. The SELLER hereby sells, assigns, conveys and

transfers unto the BUYER the Motor Vehicle, and the BUYER
accepts the same, on an as-is-where-is basis;

2. Purchase Price. The purchase price for the Motor Vehicle shall be
PHILIPPINE PESO TEN THOUSAND (P10,000.00), the receipt of
which is duly acknowledged by the SELLER;
 3. Delivery. The SELLER shall deliver the Motor Vehicle, its registration
papers evidencing ownership, and other documents, to the BUYER at
the signing of this AGREEMENT;

4. Warranties. The SELLER hereby warrants and represents that:

a. The Motor Vehicles free from any liens and encumbrances;

b. The SELLER is the full and absolute owner of the Moto Vehicle;

c. The SELLER will defend that title and rights of the BUYER from
any claims of whatsoever kind and nature; and

d. The BUYER shall fully hold and have peaceful possession of the
Motor Vehicle upon delivery.

IN WITNESS WHEREOF, the parties hereto have hereunto set their
