ContractVAL-BIX 2023

Company Racing Oil Sl., represented by the Director Mr. Antoni Xifr6 Campillo, acting on the
basis of the Articles of Association, hereinafter referred to as the Seller, on the one hand, and
"VAL-BIX", represented by the Director Mr. Bazarbaev Marat, acting on the basis of the Articles
of Association, hereinafter referred to as the "Buyer", on the other hand (collectively hereinafter
referred to as the "Parties"), have concluded the present Contract on the following:

1. Subject ofthe Contract.

The Seller has sold and the Buyer has bought the Goods, according to the Specifications to the
present Contract.

Manufacture: Additive
Brand: TT lubricants

2. Prices and Total Value of the Contract

The prices for the Goods are agreed by both Parties for every lot.

EURO is the price and the payment curency under the Contract.

3. Time of Delivery and Validity of the Contract

List of the Goods, scope and delivery time of each lot are agreed by both Parties and shall be
stated in the moment that's accept the order.

The Contract is valid until December 31.2023.

5. Terms of Payment

All orders, that Buyer will negotiate with Racing Oil Sl., will be payable according invoice issued
be Racing Oil Sl.. Payment conditions: 100% pre-payment.

All payments are to be made in EURO by bank transfer onto the Seller's account.

6. Governing Law and Arbitration

This Contract shall be governed by and construed in accordance with the laws of the Spain.

All disputes connected with the present Contract as well as its execution or realization shall be
settled by negotiations and using the complaint procedure. Should a dispute fail to be settled by
negotiations and using the complaint procedure, it shall be finally settled by arbitration under the
Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators
appointed in accordance with the said Rules to be held at Spain.

7. Force Majeure
The Parties shall be released from their responsibility for partial or complete non-execution of

their liabilities under the Contract should this non-execution be cdused by force majeure

circumstances, namely: fire, flood, earthquake, breakdown in whole or in part of manufacturer's

machinery, plant, transportation or loading facility, loss of public utilities beyond the control of
the affected Party and should these circumstances have had a direct effect on the execution of .

the present Contract.

The above circumstances shall be confirmed by the Chamber of Commerce of the country where
the circumstances have occurred.

The Party which is unable to fulfill the obligations under this Conhact caused by force majeure
circumstances shall inform the other Party in writing within three days about the occurrence and
cessation of the above circumstances.

Should the duration of the above circumstances exceed 3 months, each Parly will have the right
to refuse further fulfillment of the obligations under the Contract, and in this case neither Party
will have the right to demand any compensation for eventual losses from the other Parfy.
8. General conditions

a) All changes and addenda to the present Contract shall have legal force if made in written form
and signed by both Parties.

b) All taxes and duties, as well as all kinds of mandatory payments and expenses incurred in
connection with the execution of the Contract are to be payed by the Buyer.

c) Within 3 days after shipment of the Goods the Seller shall send to the Buyer's by e-mail the
following documents for the dispatched Goods:

1) Invoice- 1 pcs (copy)

2) Packing list - 1 pcs (copy)

3) Certificate of Origin - 1 pce (copy)

4) The Bill of Lading to the Goods

(original or copy).

The present Contract is drawn up and signed in English one copy for each Party.

Facsimile copies of documents according to the present Contract have legal force for both Parties
with the following representation of originals.
