I. Company Description

PILIPINAS SHELL PETROLEUM CORPORATION

Business Overview

Pilipinas Shell Petroleum Corporation is one of the country's largest fuel retailers. More
Filipino motorists around the archipelago will benefit from the company's high-quality products
and reliable service. Shell V-Power Racing, Shell V-Power Gasoline, and Shell V-Power Diesel, as
well as their main grade offers of Shell FuelSave Gasoline and Shell FuelSave Diesel, are
available in mobility stations around the Philippines.

Shell continues to innovate, not just to deliver quality products to meet the evolving
demands of motorists, but also to change the experience of visiting a fuel retail station. The
emergence of mobility stations as one-stop community destinations also improves operations
by including sustainable features such as solar panels, eco-bricks, rainwater harvesting, and
other green features. Their key partners are their merchants, and they give them cutting-edge
technologies to help them unleash their entrepreneurial spirit and expand the business
together. Their everyday heroes, or forecourt attendants, deliver committed service to every
customer in more than a thousand mobility stations today. Every visit to the company's mobility
stations is an opportunity to provide a worthwhile pit stop for their customers.

CORPORATE HISTORY AND MILESTONES

Pilipinas Shell traces its roots to Asiatic Petroleum Company (Philippine Islands), Ltd.
which opened for business in the Philippines and began to import and sell motor gasoline and
kerosene in 1914. Asiatic Petroleum Company (Philippine Islands) Ltd. was renamed The Shell
Company of the Philippine Islands, Ltd. in the 1940s.

In 1959, Pilipinas Shell was incorporated under the name The Shell Refining Company
(Philippines), Inc. in compliance with the then-required percentage of Filipino ownership (25%)
in large industrial ventures. In 1970, Pilipinas Shell was renamed Shell Philippines, Inc. and was
later renamed Pilipinas Shell Petroleum Corporation in 1973.

In 1976, Meralco Securities Corporation acquired a 25% stake in the Company resulting
in the Company is 50% owned.

In February 1987, the Filipino ownership in the Company decreased to 33.33% after a
share buyback by the Company of Meralco Securities Corporation's stake in the Company. In
August 2015, the Filipino ownership in the Company decreased to 31.82% following the
issuance of additional shares under a stock rights offering.

The company’s existing corporate environmental initiatives/programs

Environmental protection is a shared duty. Shell protects the environment because it is


critical to its operations, and it promotes conservation as a way of life to its stakeholders.

1. Raising industry and community safety standards

Pilipinas Shell is committed to protecting the environment and respecting its neighbors.
It works hard to cause no harm to people. This is why Pilipinas Shell sets such high
environmental standards which meet all regulatory requirements and often exceed them.

The company's standards cover its environmental performance including managing


emissions of greenhouse gases, using less energy more efficiently, flaring and burning off less
gas during oil production, preventing spills and leaks of hazardous materials, using less
freshwater, and conserving biodiversity wherever we operate. Pilipinas Shell encourages
partners in joint ventures to apply Shell standards. Pilipinas Shell works in partnership with
many non-governmental organizations, local government units, academics, and local
communities to maintain and sustain its high standards.

2. Developing sustainable energy

Pilipinas Shell advocates for efficient use of energy as the simplest and most cost-
effective way to reduce emissions, and mitigate climate change—through driver education,
fuel-efficient driving behavior, smarter mobility collaboration, and strategic partnerships with
relevant organizations to fuel the country's progress. As Pilipinas Shell aims to meet the world’s
future energy needs with a diversified energy mix and cleaner energy, it enjoins consumers and
businesses to use energy better, to do more with less, and make energy conservation a way of
life.

Making consumers realize the benefits of sustainable mobility in their everyday living is
the goal of the Shell Eco-marathon Asian leg, an innovative fuel-efficiency program that gathers
engineering students from all over Asia to design and build vehicles of the future. Pilipinas Shell
hosted this innovative global initiative from 2014-2016 at the historic Rizal Park in Manila which
introduced thousands of students and the public to smarter mobility and the future of energy.
