Rain Reward Program – Terms and Conditions

By being eligible for spin the wheel rain reward program (“Reward Program”), you agree to be bound by
the following terms (“Terms”):

1. You acknowledge that except as specifically set out under these Terms, delivery partner terms and
conditions, located <https://rb.gy/n44h0> (“Terms of Service”) shall apply mutatis mutandis to these
Terms. The capitalized terms not defined under these Terms shall have the same meaning as assigned
under the Terms of Service. For the purposes of these Terms, wherever the context so requires, “You”
or “Your” shall mean a Delivery Partner who is eligible for the Reward Program.

2. The Reward Program will commence from June 26, 2023 and shall continue until August 25, 2023
(“Reward Program Period”).

3. Eligibility: In order to be eligible for the Reward Program, You need to fulfill the following eligibility
criteria’s (“Eligibility Criteria”):

(a) You should be an on-boarded Delivery Partner with Zomato during the Reward Program
Period; and

(b) You should have delivered the prescribed number of Rain Orders (provided below) for Your
respective city within a period of 2 (two) weeks from such day the Reward Program is reflected
on the Zomato DP Platform (“Eligibility Period”), post which You will be eligible for 1 (one)
spin:

*The prescribed number of Rain Orders have to be provided in the same city. For instance, if
You complete 8 (eight) Rain Orders in Hyderabad and then for any reason(s), relocate from
Hyderabad to Mumbai, then the 8 (eight) Rain Orders completed in Hyderabad shall not be
considered for Your eligibility in Mumbai. In this example, You will need to complete 10 (ten)
Rain Orders in Hyderabad or 15 (fifteen) Rain Orders in Mumbai to be eligible for the Reward
Program.

For the purposes of these Terms, “Rain Order(s)” shall mean any order that gets assigned to
a Delivery Partner when the rain surge mode is active on the Zomato DP Platform.
4. You hereby acknowledge that Zomato may review and modify the Eligibility Period and the number
of Rain Orders to become eligible for the Reward Program at its sole discretion from time to time.

5. You hereby agree that once You complete the required number of Rain Orders, You shall only have
the option to ‘spin the wheel’ for a maximum number of 7 (seven) days (“Prescribed Timeline”)
from such time the option is reflected for You on the Zomato DP Platform. In case You do not spin
the wheel or are unable to spin the wheel in the Prescribed Timeline for any reason whatsoever during
the said 7 (seven) days period, Your eligibility for the Reward Program shall lapse; the number of
spins that have been accumulated will be withdrawn and You will be required to undertake the
prescribed number of Rain Orders again to become eligible for the Rewards Program.

The number of Rain Orders delivered during the Eligibility Period may be considered as an eligibility
under the Subsequent Eligibility Period. For the purposes of these Terms, “Subsequent Eligibility
Period” shall mean such period as may be prescribed by Zomato after completion of the Eligibility
Period.

6. Based on the result of the spin, You will be eligible to receive such rewards details of which shall be
displayed after the spin is complete.

7. Under the Reward Program, You may receive either of the following: (i) Washing Machine,
Refrigerator, Iron, Television, Android Tab, Mobile Phone, Mixer Grinder or a Bluetooth Speaker;
(ii) gift vouchers such as discount on EV rentals, product discounts and restaurant discounts, having
a certain validity period as prescribed by third-party partner brands; and/or (iii) extra limit on cash
withdrawals, rain surge offers, discount on asset store, extra incentive offers and cancellation penalty
waive-off (collectively referred to as the “Reward(s)”). You hereby agree that the Rewards offered
under the Reward Program may be revised by Zomato in its sole discretion from time to time and
accordingly, the same shall reflect on the Zomato DP Platform.

8. You hereby acknowledge that the Rewards are offered by third-party partner brands and shall be
redeemed on the respective website and/or mobile application of the said partner brand. Accordingly,
You agree and acknowledge that the redemption and use of such Reward(s) will be subject to and
governed by, the applicable terms and conditions of the respective partner brand. You further agree
and acknowledge that Zomato shall not be held liable or responsible in case You are unable to redeem
the Reward and accordingly, You shall reach out to the respective partner brand directly for claiming
or resolving any issues pertaining to any such Reward(s).

9. Any graphics of the Rewards as depicted on the Zomato DP Platform are for representation only and
the actual Reward may differ in colour, size and appearance. Upon becoming entitled for a Reward,
an authorized representative of Zomato shall reach out to You for confirmation of delivery address
where such Reward requires to be physically delivered to You.

10. You agree that the Reward shall be delivered by an independent third-party logistics service provider
to such address as provided by You to the authorized representative of Zomato. You agree that
Zomato has no role in delivery of the Rewards to your specific location and accordingly, Zomato
shall not be held liable for any damage to the Rewards enroute.

11. You agree and acknowledge that in case You or any of Your representatives are not available at the
delivery address to receive the Reward or You or Your representative reject the order delivery, then
 such Reward shall be deemed rejected by You and You will not be able to claim the Reward in the
future.

12. You hereby agree and acknowledge that that any warranty/guarantee and other services and issues
post delivery of the Rewards (i.e., television, refrigerator, washing machine, etc.) will be as offered
by the manufacturer of such Rewards and that Zomato will have no role or responsibility in respect
thereof.

13. You hereby acknowledge that Zomato may deduct TDS from the Reward, if required as per
applicable law. Further, if required, the Delivery Partner agrees to provide their Permanent Account
Number (PAN) to Zomato for applicable TDS compliance.

14. You hereby acknowledge that the Reward(s) are non-exchangeable, non-transferable, non-assignable
and not redeemable for purposes other than in accordance with the redemption terms and conditions
of a particular Reward(s), and the Reward cannot be withdrawn in the form of money.

15. The Reward Program is valid only during the Reward Program Period.

16. You hereby agree that (i) any fraudulent conduct for the purposes of becoming eligible for the
Reward Program or receiving the Reward; and/or (ii) any form of impersonation to become entitled
to receive the Reward or become eligible for the Reward Program, is not acceptable and accordingly,
Zomato reserves the right to forfeit any benefits that You may be entitled under the Reward Program.
You hereby agree and acknowledge that Zomato’s decision with respect to fraudulent conduct or
impersonation shall be final and binding and You shall not have the right to challenge or object to
such decision for any reason whatsoever.

17. All information submitted in connection with this Reward Program will be treated in accordance with
these Terms and the Privacy Policy available at https://www.zomato.com/policies/privacy. You
agree that Zomato may share the information provided by You with the third-party partner brands
associated with the Reward Program.

18. The Delivery Partners who have qualified for the Reward Program shall be solely liable to comply
with the applicable laws and regulations to redeem and/or avail the benefits of the Reward.

19. By qualifying for the Reward Program, You give Zomato and/or its affiliates permission and consent
to use Your name, area/locality, image, voice, video interview as such may be embodied in any
pictures, photos, video recordings, audiotapes, digital images and the like, taken or made in relation
to the Reward Program and also any promotions, marketing, advertisements or events to follow.

20. Your involvement in the Reward Program is voluntary and by qualifying for the Reward Program,
You will be legally bound hereby, to release from liability, and hold harmless Zomato and any of its
affiliates, employees or agents representing or related to Zomato for any matters in relation to the
Reward Program.

21. Zomato reserves the right to modify these Terms from time to time or at any time, modify or
discontinue, temporarily or permanently, the Reward Program and/or these Terms, with or without
prior notice to You and the decision of Zomato shall be final and binding in this regard.

22. These Terms do not alter in any way the terms or conditions of any other program or arrangement
the Delivery Partner may have with Zomato. Termination of the Reward Program and these Terms
 shall have no effect on the Terms of Service governing the contractual relationship between the
Delivery Partners and Zomato.

23. The Reward Program is an incentive program offered by Zomato to the Delivery Partners for the
purposes of motivating and providing benefits to the Delivery Partners.

24. The Reward Program shall be governed by Indian laws and the courts of New Delhi shall have
exclusive jurisdiction to adjudicate any disputes arising out of or in relation to the Reward Program
and/or these Terms.
