(Matter regarding Deprivation of Profits and Incentives)
Dear Sir,
Under the instructions of my client, Mr. Md Shariful Islam (hereinafter referred to as "my
client"), who has provided me with all the necessary documentation related to the matter leading
to the deprivation of receiving profits and incentives, I, on behalf of my client, hereby serve this
legal notice upon you.
It has come to our attention that my client, Mr. Shariful Islam, who is a Bangladeshi part of
Nutric Group and ABNUTRIC INTERNATIONAL LTD, has been unjustly deprived of his
rightful share of profits and incentives owed to him as per the terms of the agreements and
Memorandum of Association & Article of Association. My client, being an active part of the
company, is entitled to receive 10% of the total profits as per the agreements, and also incentives
declared by the Chairman of the company.
The grounds for this legal notice are as follows:
1. Breach of Contract: My client alleges that there have been breaches of contractual
obligations on your part, resulting in the deprivation of his entitled profits and incentives.
2. Concealing Transactions: It has come to light that your company has been selling
products without the proper authorization to work with the Multi-Level Marketing system
within Bangladesh. There have been substantial transactions conducted without the
knowledge of my client, which has led to financial losses and damage to his interests.
3. Non-Payment of Profits and Incentives: Despite fulfilling all his obligations under the
agreements, my client has not received any payment of his entitled share of profits and
incentives. This has caused significant financial harm and emotional distress to my client.
Based on the calculations and provided documentation, my client's total claim for profits and
incentives amounts to BDT 172,550,000 (Seventeen Crore Twenty-Five Lac Fifty Thousand
Taka). This amount includes 10% of the total profits, incentives from product sales, and income-
derived incentives.
My client hereby demands that you make the necessary payment of BDT 172,550,000
(Seventeen Crore Twenty-Five Lac Fifty Thousand Taka) within 14 days from the receipt of this
legal notice. Failure to comply with this demand may result in my client initiating legal action in
the court of law as per the laws of Bangladesh to seek proper justice and recovery of the claimed
amount.
Please be informed that any legal action taken by my client will be at your risk and
responsibility, and all costs incurred shall be borne by you.
A copy of this Legal Notice is being retained in my office for future reference.
Your prompt attention to this matter is expected.
