In accordance with the School Board of Broward Countys response to the 19 th Statewide Grand Jury Report Recommendation No. 17, stating that: All bids should be opened in public, with Auditor there to certify bids met minimums, the Office of the Chief Auditor has performed an audit of the Facilities & Construction Management Divisions Bidding and Bid Opening Process. The objective of this audit was to: identify and document the bidding process and requirements for school boards for purposes of comparison to the processes designed and implemented with the F&CM Division for hard bid projects and, when necessary, for Cost Plus Fee delivery method bid openings; determine and document the current bidding process, including the bid opening process; review and analyze F&CM bidding related processes; take steps to certify bids met minimums as recommended by the 19 th Statewide Grand Jury; review, analyze and explain consistencies and variances in the bidding process for a sample of bid openings from the recent past, as well as those to be observed by the Facility Audit staff; and, report recommendations to the administration, Audit Committee and School Board, if needed.
In our opinion, the F&CM Division has areas of concern in the Bidding and Bid Opening Process which should be addressed immediately to ensure that the appropriate internal controls are enforced and adhered to in order to provide proper oversight and the associated compliance required in the administration of the same. We documented that processes for prequalifying contractors, communicating with prospective bidders in accordance with State Requirements for Educational Facilities (SREF), securing bid submittals and ensuring compliance with SREF during bid openings require strengthening in order to achieve the requisite compliance.
During our audit we documented: internal control weaknesses and policy and regulatory compliance deficiencies. The Office of the Chief Auditors review of the Bidding and Bid Opening Process yielded (7) findings with recommendations to strengthen internal controls and to achieve compliance with regulatory requirements, while safeguarding the Districts assets.
This report will be presented to the Audit Committee at its June 23, 2011 meeting and to the School Board at its August 2, 2011 Regular School Board Meeting.

" The Facilities &Construction Management (F&CM) Division broadcasts or causes publication of advertisements to solicit prequalified bidders for many different construction related activities. The focus of our audit is and continues to be, establishing an adequate understanding and evaluation of the bid process. Establishing a baseline understanding ofthe development of project scopes of work as advertised, the methods for broadcasting and advertising, the guiding policies; regulations, statutes and bidding specifications is the first and most important step in allowing an accurate and comprehensive assessment of the existing bid process. The objective of this review was to: Identify and document the bidding process and requirements for school boards for purposes of comparison to the processes designed and implemented with the F&CM Division for hard bid projects and, when necessary, for Cost Plus Fee delivery method bid openings. Our audit was conducted in accordance with generally accepted auditing standards and Government Auditing Standards issued by the Comptroller General of the United States. The aforementioned standards require that we plan and perfonn the audit to ensure a reasonable basis for our judgments and conclusions regarding the function under audit. An audit includes assessments of applicable controls and compliance with the requirements of laws, rules and regulations when necessary to satisfy the audit objectives. We believe that the evidence obtained provides a reasonable basis for our findings and conclusions based on our audit objectives. It is our responsibility to perfonn the review under generally accepted auditing standards and Government Auditing Standards, as well as provide recommendations to improve operations strengthen internal controls and ensure compliance with the requirements oflaws, rules and regulations in matters selected for review. It is the administration's responsibility to implement recommendations, to maintain an internal control environment conducive to the safeguarding of District assets and to preserve the District's resources, and to comply with applicable laws, regulations and School Board policies. The procedures used to satisfy our objectives in this audit included: Review the policies and processes which guide the bid and bid opening processes; Review existing conditions, as noted, in the bid and bid opening process for comparison to policies and procedures; Review applicable regulations and statutes to ensure that existing policies and procedures are in accordance with the same; Test current processes to ensure that the necessary internal controls are established and incorporated into the current bid and bid opening processes; Detennine, analyze and explain the differences between a technicality and a material deviation; Detennine, analyze and explain the process for establishing when a technicality or material deviation exists, and explain how those conditions affect the recommendation for award, as well as how they are documented and reported in the fmal recommendation for award to the winning bidder; Meet with F&CM staff as necessary to develop an understanding of their processes, as needed; Review School Board agenda items; including previously awarded bids to test for consistency in the identification and explanation of technicalities and material deviations in the bid and bid opening process; Perfonn other auditing procedures as deemed necessary. 1 Opinion and Summary of Results In order to evaluate bid openings, it is important to ftrst document the bidding process. Much of what is contained in a bid is a result ofwhat is requested when the bid is advertised and bidders are solicited. The difference between a bid being deemed responsive or not is related to whether or not the prospective bidders are pre-qualifted and followed the prescribed instructions and submitted a complete package for each bid. Bids vary from one project to the next and having clear information from the development ofthe bid package through bid submittal is critical. Based on what we observed and documented, the bid process is inconsistent in several instances and requires adherence to existing procedures, and in other cases requires development of procedures to improve the overall process. F&CM staff reported that they are currently rotating, monthly, between the Sun-Sentinel and Miami Herald for compliance with State Requirements for Educational Facilities (SREF) requirements. SREF states that H ... notice shall be published a minimum ofonce a weekfor three (3) consecutive weeks in a local newspaper with general circulation throughout the district. " Rotating monthly from one local newspaper to another during the bid process can cause prospective bidders to potentially lose out on published bidding opportunities, thereby narrowing the competition necessary to ensure the District is getting the best price for the projects awarded. SREF requires that the bids be published in a local newspaper but does not require that School Districts rotate with local newspapers. Using two newspaper publications for all bid advertisements could be cost prohibitive, but the consistency of selecting one specific publication and notifYing all prospective bidders ofwhich publication to monitor would be an initial improvement for purposes of consistency. When it is cost prohibitive to notifY bidders in two publications consistently, then a single point of information should be used for consistency. The current F&CM process, regarding hard bid (a.k.a. DesignlBid/Build), or sealed bid openings, does not make effective use of the ONVIAlDemandStar online bid management system, for which there is no cost to the District. The DemandStar online bid management system is available to the School Board of Broward County, as a result of an agreement which is in effect through December 31, 2013. During the ftrst review of the bid process, we determined that the DemandStar bidding functionality has been used to notifY prospective bidders regarding issuance of Addenda, but is not being used to post the fundamental Invitation to Bid or even the abbreviated Advertisement for Bidders documents. Addenda represents a change, deletion or an addition to the original bid notice, therefore it is unclear why supplemental information is being provided but not the primary information. All Advertisement for Bids and Invitations to Bid should be posted as an uploaded document for prospective bidders to access, primarily due to the fact that some ofthe District's pre-qualifted bidders are outside the general circulation area of both of the local newspapers currently being utilized. Although F&CM staff has expressed some concerns about the utility ofthe DemandStar broadcast and bid management system, it is currently an additional tool that can impact the number or prospective bidders and increase necessary and fair competition among prequalified vendors for hard bid projects. If, at some point in the future, the District decides to utilize another method of reaching the maximum number of prospective bidders in the solicitation process, only then should use of the DemandStar system be discontinued. We documented that the F&CM Division's website has been updated recently and that some of the bid documents required for broadcast to prospective bidders could also be accessed through the School Board's website. Ifall documents were made available on the F&CM Division's website, the advertisement for bids process, as required by SREF could direct prospective bidders to the F&CM Division's website for a single point of information regarding any and all ongoing or future bids. The F&CM Division has already begun using this method and it is unclear, at this time, how much would be required to maintain and manage all pertinent data in a timely manner to ensure the equity to all bidders, as is detailed with the various SREF requirements. Finally, we have documented that the master list of pre-qualifted bidders should be monitored from time to time to ensure that there are enough pre-qualified, prospective bidders available, to comply with SREF requirements, prior to publishing advertisements for bids. We documented a bid process in which an indeftnite postponement occurred in order for F&CM to solicit pre-qualiftcation candidates to expand the list of pre-qualifted bidders for a speciftc area of construction services. The bids were scheduled to be opened when it was discovered that there were not enough pre-qualifted bidders available for the procurement to meet the SREF requirement that invitation to bid be provided to "... nofewer than three (3) prospective bidders... 2 OBSERVATIONS 1. STRENGTHEN BIDDING PROCEDURES TO ENSURE COMPLIANCE WITH CONSTRUCTION PROCUREMENT LAWS AND REGULATIONS. 2. Wright 3 BACKGROUND On February 18,2011, the Final Report of the 19th Statewide Grand Jury in the Supreme Court of the State of Florida was released. The Final Report contained 20 recommendations, addressed to the Broward County School Board. For purposes of this review, Recommendation No. 17 - "All bids should be opened in public, with Auditor there to certifY bids met minimums. " The School Board of Broward County's response to Recommendation No. 17 stated: The District agrees with the GrandJury's observation that an audit presence during the bidprocess would be an improved internal control over the current process. We do not agree that this should include attending all bid and awardprocesses, as ensuring compliance with procurement policies andprocedures, and terms and conditions ofconstruction related contracts is the responsibility ofmanagement. Currently, the Facility Audit Department consists oftwo employees and is not adequately staffed to provide the services recommended by the Grand Jury; however, an auditor will immediately begin to attend construction bid openings on a random basis to review and document management's enforcement of compliance with the bid and awardprocess. If, and when, any discrepancies are identified in the bid and awardprocess, the auditor will prepare a written report withfindings and recommendations detailing any compliance deficienciesfor the Superintendent ofSchools, Audit Committee, andSchool Board The Management andFacilities' Audit Department has observed defiCiencies in the bid and awardprocess in the past, and has provided detailedfindings and recommendations as recently as April, 2010 in the Kitchen/Cafeteria Audit. A training program will be provided to District staffregarding their proper implementation ofthe bidding and awardprocess in accordance with applicable state law and rules, policies and bid documents. The District's existingpractices require all procurement bid openings be conducted as a public meeting. The date ofthe public bid opening is included within the procurement bid documents. On February 25, 2011, the Superintendent of Schools contacted the Office of the Chief Auditor (OCA) granting the authority for OCA to advertise to fill an open position within the Facility Audit Department for an Auditor III (Construction) position to assist in complying with Recommendation No. 17 of the 19 th Statewide Grand Jury's Final Report, to monitor the bid opening process. The OCA immediately advertised to fill the position through the Non-Instructional Staffing Department within the District's Human Resources Department on February 28, 2011. During a Parameters meeting at the F&CM Division's HORTT location, attended by the Facility Audit Department, on March 9, 2011, the OCA was notified of an upcoming bid opening and the appropriate Project Manager was identified for correspondence and point of contact bid opening information. Information was then shared with OCA regarding that upcoming bid opening, via email. Communication difficulties resulted in that bid opening and a subsequent bid opening not being attended by audit staff. The requested documentation regarding the F&CM process for bid openings, as well as the complete set of bid documents relating to those bids was not provided to the OCA with sufficient time to review the bid opening process, regulatory and statutory requirements or applicable School Board Policies to prepare for those bid openings. The competitive bidding process for School Boards is regulated by Florida Statutes (F.S.) and State Requirements for Educational Facilities (SREF). To have a sufficient understanding of the bidding and award process, it is important to first have knowledge ofthose guiding laws and regulations. Understanding those laws and regulations can then assist in the documentation and analysis process to determine whether the necessary internal controls are incorporated into F&CM bid opening processes. In order to determine requirements for competitive bidding of School Board projects, we reviewed the Florida Statutes and SREF. F.S. 1013.46(1) (a) which states: "... ifcompetitively bidding the project pursuant to s. 1013.45, after advertising the same in the manner prescribed by law or rule, shall award the contractfor the building or improvements to the lowest responsible bidder... "F.S. 1013.46 (2) states: "Boards shall prequalifY bidders for construction contracts. Boards shall require that all construction or capital improvement bids be accompanied by evidence that the bidder holds an appropriate certificate or license or that the prime contractor has a current valid license. " 4 SREF (2007) - Section 4.1(1) reiterates the requirements stated in the statutes listed above: "Prequalification of Contractors for Educational Facilities Construction. "A board shall prequalifY contractorsfor a one- (1) year period orfor a specific project. This sectionprescribes uniform and consistent requirements for prequalification of all construction services contractors. This section is applicable to bids, construction management, design-build and other construction services application." SREF - Section 4.2(2) Advertising, Bidding and Awarding Contracts states: "Construction projects estimated to cost $300,000 or more and electrical projects that are estimated to cost $75,000 or more shall be advertised in conformance with the procedures outlined in this section. Projects estimated to cost less than $300,000 that the boardwill complete using contractedservices shall be advertisedfor a minimum ofone week... " SREF (2007) - Section 4.2(2) (a) Legal Notice states: "The board shall publish legal notice in accordance with Chapter 50, F.S., providing at least the following information: 1. Project name and name of board. 2. Location of the project. 3. Brief statement describing the work. 4. Date, time and place ofbid opening. 5. From whom and when the contract documents are available, including deposit or charge. 6. Other information for bidders: prequalification of bidders, notice of pre-bid conference, bid security, insurance, plan deposit, and board's intention to waive technicalities." F.S. Chapter 50 - Legal and Official Advertisements is noted in SREF - Section 4.2(2) (a). F.S. 50.051 Proof of pUblication; form of uniform affidavit states: "The printed form upon which all such affidavits establishing proof of publication are to be executed shall be substantially as follows:" NAME OF NEWSPAPER Published (Weekly or Daily) (Town or City) (County) FLORIDA STATE OF FLORIDA COUNTY OF -- Before the undersigned authority personally appeared ----' who on oath says that he or she is __of the __, a __newspaper published at __in __County, Florida; that the attached copy of advertisement, being a __in the matter of__in the __Court, was published in said newspaper in the issues of__. The last notice shall appear at least (7) days prior to the date ofthe bid opening. 1. Any correction or change in the advertisement shall be made at least seven (7) days prior to the date set for bid opening. 2. The original date set for bid opening can be changed and extended at any time within the fmal seven- (7) day period provided the notice to bidders is published again for one (1) time at least seven (7) days prior to the new bid date, and each known prospective bidder is notified in writing of the change. 3. Complete drawings and project manual shall be available to contractors on the date of the first legal advertisement." SREF (2007) - Section 4.2(2) (c) Invitation to Bid states: "In addition to publication ofthe notice, the boardshall require that the invitation be mailed or delivered to nofewer than three (3) prospective bidders or shall be distributed to area plan rooms. " School Board Policy 7004 - Opening Construction Bids Other thanat a Board Meeting authorizes the opening of construction project bids other than at a Board Meeting. School Board Policy 7004 further specifies: "Bids for building or improvements to school property shall be received, publically opened and tabulated at a designated time andplace, as indicated on the "ADVERTISEMENT FOR BIDS" which is placed by the school board and appears in local newspapers." School Board Policy 7004 also identifies the staff designees to open and tabulate bids. The list appears as follows: Deputy Superintendent, Facilities and Construction Management Division, or Executive Director of Compliance, or Executive Director, Project Management, or Senior Project Manager, or Coordinator, Design and Construction Contracts Director of Purchasing Department, or Purchasing Agents or Buyers of the Purchasing Department School Board Policy 7004 also requires at least two School Board employees at the bid opening to act as witnesses. School Board Purchasing Policy 3320 III A. states: "All additions, modifications and alterations to School Board properties shall coriform with State Requirementsfor Educational Facilities (SREF), Florida Building Code (FBC) and the laws ofthe State ofFlorida. School Board administrators shall obtain assistance in preparing bid specifications and applicable buildingpermit(s) from the Facilities and Construction Management divisionfor these items. " Also included in Purchasing Policies 3320 are defmitions applicable to the bid opening process. The definitions are as follows: 1. The term "competitive solicitation" shall be definedfor the purposes ofthis rule to include purchasing made through the issuance ofan invitation to bid, request for proposals and invitation to negotiate. Competitive solicitations are not requiredfor purchases made through the pool purchase provisions of Section 1006.27, Florida Statutes. 2. "Invitation to bid" shall be defined/or the purposes ofthis rule as a written solicitationfor competitive sealed bids. The invitation to bid is used when the district school board is capable ofspecifically defining the scope ofworkfor which a contractual service is required or when the district school board is capable ofestablishingprecise specifications defining the actual commodity or group ofcommodities required A written solicitation includes a solicitation that is publicly posted During the Regular School Board Meeting on December 11,2007, Agenda Item E-4 recommended that the School Board enter into an Agreement with ONVIA.COM, Inc. That agreement was approved by the School Board and the AGREEMENT noted an expiration date of December 31, 2013, unless terminated earlier, per contract terms. The Summary Explanation and Background of Agenda Item E-4 included the following language: 6 "ONVIA.eOM, Inc., provides internet, fax and vendor database management services to governmental agencies for managing the procurement opportunities at no cost to the District. ONVIA provides a multi- faceted approach to automating the biddingprocess by using a combination oftechnologies includingfax- on-demand, fax and email broadcasting, and the internet to manage vendor and bid information. This approach allows the School Board to reach the maximum number ofpotential bidders who already have internet access, as well as potential bidders who are less technologically advanced. Also, this approach maximizes the exposure ofthe School Board's bids and RFPs in the marketplace, and includes all potential bidders, regardless oftheir technological maturity. Potential bidders have instant access to time-sensitive bid documents allowing them more time to prepare their bid. Using ONVIA 's web-enabled database, bids are available either from the Internet, viafax, or via conventional mail/overnight delivery. Approval ofthis Agreement will allow SBBe to continue receiving ONVIA 's services for a bid management systemfor the School District until December 3I, 2013, or as renewed by SBBe. " The resulting, executed Agreement included the following language highlighted from the agreement with ONVIA. The clauses highlighted do not represent all clauses in Article 2 - Special Conditions of the contract, but give a brief overview of the agreed upon responsibilities ofboth parties, in accordance with the terms of the agreement. Article 2.01 Obligations of ONVIA. "During the term ofthis AGREEMENT, ONVIA agrees to: 2.01.1 Promote SBBC's membership in ONVIA's network to ONVIA's current future vendor community. 2.01.2 Post information such as Invitation to Bid, Request for Proposals, Request for Letters ofInterest (hereinafter collectively referred to as "BIDS"), Tabulation/Recommendation Forms and other procurement information, as entered or as provided by SBBC's Supply Management and Logistics Department, on the Internet. ONVIA to provide complimentary subscriber account to SBBC Supply Management and Logistics Department that can be used by government agencies to download SBBC's bids, RFPs and other procurement information at no charge. 2.01.3 Automatically notifY, via e-mail, fax any other technological distribution system as may be updated by ONVIA, vendors subscribing to ONVIA's services of BIDS released by SBBC. 2.01.4 Automatically notifY, via email, fax or any other technological distribution system as may be updated by ONVIA, prospective bidders of Addenda to BIDS, Tabulation/Recommendation Form and any other procurement information. The resulting, executed Agreement included the following language in Article 2.02 Obligations of SBBC. "During the term of this AGREEMENT, SBBC agrees to: 2.02.1 Provide electronically to ONVIA all BIDS and Addenda to BIDS in an accurate and timely manner. 2.02.2 Notwithstanding any other provision of this AGREEMENT to the contrary, make payment to ONVIA for duplication, shipping and handling costs associated with the distribution of BIDS when requested to do so by SBBC. In accordance with the School Board ofBroward County's response to the 19 th Statewide Grand Jury Report, the Office of the Chief Auditor began gathering information on the bid opening process, as well as an understanding of what bid openings were scheduled in the immediate future. On about March 14, 20II, we were made aware of a bid opening for a Total Program Management (TPM) Roofmg project. The bids were to be opened at the place of business of the TPM, National Roofmg for Hallandale High School. Front end specifications and process related documents were not provided in time for the Office of the Chief Auditor to review, attend and evaluate the process. Requests were made for information on the F&CM Division's bid opening procedures to develop an understanding for review and evaluation purposes. Upon receiving cursory information from F&CM staff, our office began gathering information on an Invitation to Bid (ITB) for bid number ITB-2011-02-FC for Various Locations-Concrete Walkway & Aluminum Canopy System. Our first attempt to gather information was to visit the ONVIA (a.k.a. DemandStar) website to obtain the Invitation 7 to Bid documents and any associated Addenda. When we accessed the bid on DemandStar, we documented that there was only a single Addendum posted, but no ITB or Advertisement for Bids. We obtained Document 00101 for ITB-20II-02-FC and discovered that additional information was available at the Printing Company specified on that document. Our office visited Reprographia, Division of Thomas Reprographics to ascertain the documentation being distributed upon request by prospective bidders. We met with the store manager, who walked us through the process. We determined that some services were important, but were stated as being offered as a courtesy, as those services were requested after their contract was awarded. A specific example of a courtesy service provided is an automatic e-mail verification notice which is provided to Reprographia when the requesting vendor opens an e-mail attachment, such as an Addendum. However, we documented in the ITB, later awarded to Reprographia, included language requiring that they "... must provide documentation that addendum was delivered to all plan holders; for example, fax confirmation pagefrom fax machine, copy ofFedEx receipt, or a signature ofa plan holder on a copy ofthefirst page ofthe addendum indicating that the addendum was picked up by the plan holder. " It is important for SBBC to ensure that at least three (3) prospective bidders have received all bidding information to meet SREF requirements. A similar observation occurred in the Audit of the Kitchen Cafeteria Program regarding documentation of at least three (3) prospective bidders having received all bidding information. Advertisement for Bids is an abbreviated version ofthe ITB. The Advertisement for Bids is known as Document 00101. That document clearly stated that "... SEALED BIDS will be received by THE SCHOOL BOARD OF BROWARD COUNTY, FLORIDA, at the Facilities and Construction Management Division, Sawgrass Technology Park 1643 North Harrison Parkway (also known as 136 1h Avenue), Building H, Sunrise Florida, up to 2:00 P.M the i h day ofApril, 2011 ... "Other information included in the Advertisement for Bids was: Project Title; Project Number; School/Facility Name; Scope and the specific location and physical address of the Reprographia from which related documents, such as the ITB, could be obtained. Also included were details regarding Bid Bond, Perfonhance Bond, and Payment Bond requirements and Minority/Women Business Enterprise (M/WBE) Contract Goal for the program. Finally, the document provided notice to prospective bidders regarding prequalification requirements, Background Screening requirements and language pertaining to indemnification and hold harmless notice from the Owner. A cover sheet memo addressed to Prospective Bidders, SUBJECT: Instructions to Bidders Invitation to Bid 2011- 02-FC was also reviewed. The memo was dated March 15,2011 and was prepared by the F&CM Purchasing Agent. The document outlined Prequalification requirements, bid submittal requirements, completion of bid instructions; pricing correction requirements and a due date which was all included in the memo. The information on the Instruction to Bidders memo detailed that: "Bids are due in the 'Facilities & Construction Management Department Building #4 on the date and time stated on Page 1 ofthe ITB. "Note: Building #4 is widely known within the SBBC and local construction and architecture/engineering community as the main records building at the HORTT (F&CM) complex and not consistent with the other documents instructing bidders to submit bids to the Sawgrass Technology Park address. In addition, there is a distance of approximately 15 miles between those locations, which could have caused prospective bidders to miss the bid submittal deadline, due to the conflicting submittal locations provided. The Invitation to Bid (ITB) document details the Instructions to Bidders for the project or program advertised. For ITB-2011-02-FC, the ITB document was 22 pages worth of program and process related information. The ITB included General Conditions and Special Conditions for prospective bidders to review and, in some cases, acknowledge receipt of the same for consideration as a responsive bidder. The first page of the ITB included the address ofF&CM, which had recently changed from the HaRTT location to the Sawgrass Technology Park location. A due date for bid submittals was also found on the first page of the ITB. The submittal requirement stated: "Bids must be submitted to the Facilities & Construction Management Department and received on or before 2:00 p. m. ET on the date due." A due date of April 7, 2011 was clearly posted just above the submittal requirement. The Office of the Chief Auditor notified F&CM of the conflicting bid submittal location issue and the bid opening was postponed. An addendum was issued and prospective bidders were reportedly notified by phone, thereby initiating the bid postponement procedures. 8 During a meeting on April 25, 2011 including select F&CM staff and the Office of the Chief Auditor, the bidding process was discussed. During the discussion, F&CM staff, most familiar with the bid process, stated that the School Board currently rotates advertisements in the Sun-Sentinel and the Miami Herald to notify prospective bidders in accordance with SREF requirements. They also stated that it is not their practice to upload the Advertisementfor Bids or the ITB to the DemandStar website. The process, as outlined by F&CM staff, included information that was published in the local newspapers, which would provide prospective bidders with instructions to contact the printer Reprographia, for access to the Advertisement for Bids and the ITB; also any Addenda, if applicable. Bid Openings occur routinely and we prepared a Bid Opening Analysis Table, from the documentation gathered from F&CM records, representing a period spanning approximately four (4) months, going back to January, 2011. Two (2) contractors submitted bids. F&CM recommended: "Reject all bids received on the basis that the amounts bid do not reflect the current market conditions as determined by review of prior bids and data provided by R.S. Means. The Facilities & Construction Management Division intends to revise the basis ofaward as specified in Section 5, BidSummary Sheet, and make other clarifYing revisions to the bid documents. " AprilS, 12 and 19,2011 Fire Sprinkler & Fire April 26, 2011 Bid postponed indefinitely, on April 25, Suppression 2011, due to the fact that only one prequalified vendor existed at the time of the bid opening. F&CM intended to seek SBBC approval of an "All Call" to solicit additional pre-qualified contractors for Fire Sprinkler and Fire Suppression projects. The F&CM Division maintains a master list of pre-qualified contractors for various construction related disciplines. We will reference that list, on a sample basis, to identify whether the District had at least three (3) pre-qualified contractors available to meet the SREF regulations. For example, if a bid advertisement was broadcast during a time period when only two contractors were pre-qualified in a specific discipline being broadcast to solicit pre-qualified contractors for specified construction services, then a situation would be identified in which the SREF requirement that "... the invitation be mailed or delivered to nofewer than three (3) prospective bidders... " could not have been complied with, as prospective bidders must be pre-qualified with the District. 9 We will also utilize the summary information contained in the Bid Opening Analysis Table above and the applicable laws and regulations in the findings and recommendations to identifY any weaknesses, compliance issues and other observations in support ofrecommendations to improve the Bid Opening process as needed. 10 SECTION I DETAILED OBSERVATIONS 1. STRENGTHEN BIDDING PROCEDURES TO ENSURE COMPLIANCE WITH CONSTRUCTION PROCUREMENT LAWS AND REGULATIONS. OBSERVATION Bidding laws and regulations require a greater level of diligence to ensure compliance during the Facilities & Construction Management Division's execution of the Bidding and Bid Opening process. Bids were advertised in ways which were not conducive to reaching the maximum number of prospective bidders or producing the minimum number of bidders required for various procurements. Also, bid advertisements did not make effective use of the District's internet-based bid management technology system to solicit prospective bidders. Improvements in the bid advertisement and bid opening process are needed to improve the consistency of the process, while meeting the intent of the laws and regulations. BACKGROUND We documented the Facilities & Construction Management (F&CM) Division's procedures associated with the bidding and bid opening functions. We also interviewed F&CM staff responsible for key components ofthe bidding and bid opening process. A review of the bidding and bid opening process, School Board policies, State Requirements for Educational Facilities (SREF) and the Florida Statutes (F.S.) provided compliance details for comparison to the current F&CM process. Some procedural requirements were met, some were not met and others could be improved with additional knowledge and execution. We analyzed four (4) hard bid procurementslbid openings. Ofthose four bid openings, only one (I) yielded the minimum number of pre-qualified bidders, pursuant to SREF provisions and produced a recommended awardee. The other three (3) procurements resulted in documented lists of plan-holders, indicating that the minimum SREF requirements had not been met, regarding the minimum number of necessary bidders. One of those three bid openings yielded only one bidder and that bidder was not on the District's list of pre-qualified contractors. Those three procurements were all either postponed or a recommendation to reject all bidders was made after bids were opened. Important objectives must meet the requirements of the laws and regulations. One objective includes maintaining a sufficient list ofpre-qualified contractors to allow compliance with SREF Section 4.1(1), "Prequalification of Contractors for Educational Facilities Construction, which states: "A board shall prequalifY contractors for a one- (1) year period or for a specific project. This section prescribes uniform and consistent requirements for prequalification Ofall construction services contractors. This section is applicable to bids, construction management, design-build and other construction services application. " Additionally, SREF Section 4.2(2) (c) Invitation to Bid, states: "In addition to publication ofthe notice, the board shall require that the invitation be mailed or delivered to nofewer than three (3) prospective bidders or shall be distributed to area plan rooms. " A second objective is issuance of an Advertisement for Bidders, which gives basic information while pointing prospective bidders to the actual instructions for bidders in the Invitation to Bid (ITB). The intent is to send out the advertisement to all prospective bidders, but more specifically to pre-qualified bidders, as bid submitted by contractors not pre-qualified will be rejected. The F&CM Division utilizes at least four (4) separate methods of notifying prospective bidders offuture procurements. The first, in no particular order, is known as a "Blast E-mail." A blast e-mail is sent to a list of bidders maintained by the F&CM Division, however all addressees on the blast e-mail list are not pre-qualified. The second method is to place an advertisement in a local newspaper in the Legal Notices section of the classifieds. SREF Section 4.2(2) (a) Legal Notice clearly details the information needed in the advertisement. SREF Section 4.2(2) (a) Legal Notice references F.S. Chapter 50 - Legal and Official Advertisements, which, in tum, references a legal affidavit form when notices are placed. Currently, the F&CM Division is utilizing a rotating formula between the Sun-Sentinel and Miami Herald to meet these legal and regulatory advertising compliance requirements. A third method includes the printing company/plan room sending out information to prospective bidders, but that requires that prospective bidders receive notification of the future procurement first and request the 11 ITB information from the printing company/plan room. Finally, the District has a contract with ONVIA.com and F&CM routinely posts addenda, as uploaded attachments, to ONVIA's DemandStar website. On hard bids, however, F&CM does not post the original Advertisement for Bids or the ITB. Instead, an incomplete legal ad was documented on the DemandStar website; thus, rendering any addenda disjointed and confusing to any prospective bidder which did not receive the ITB containing the original terms and instructions. The next objective in the process is F&CM receiving and responding to questions from the prospective bidders, in the event that information contained in the ITB is deemed vague or ambiguous by prospective bidders. Those questions are known as Requests for Information (RFI). As those questions are received, the F&CM staff or the Architect/Engineer of Record, as applicable, will respond to those RFI inquiries and post the responses to all prospective bidders in the form of Addenda. An addendum is then issued a reference number (beginning with 0I), uploaded to DemandStar and simultaneously sent to the printing company/plan room for distribution. Currently, the plan room (Reprographia) sends out a notification to known plan-holders (bidders who have signed up for and paid for the printer's services) and has begun documenting receipt of all addenda by use of an automatic reply function in the "Outlook" e-mail program. The printing company then provides that proof of receipt information to F&CM from time to time during the advertising period. Note: An addendum can also include information regarding a change in the Bid Due Date or other project specifications. Reprographia's contract requires that they provide, via fax or e- mail, documentation of addenda issued and copies of School Board Document 00215 (indicating which plan holders have purchased bid documents), every Monday. Their contract does not specifY that they must provide evidence that each plan holder has specifically received each addendum. A final objective includes the contractors' submittal of their respective bids. Bids are to be sealed and stamped in by the clearly specified and unambiguous due date noted on the ITB. The bids should be stamped by a time-clock known to have the "official" time, and once stamped the bids should be inserted into a locked bid box. Ifthe ITB states that bids are to be received "up to 2:00 PM" then the last possible acceptable bid submittal should be stamped no later than 2:00:59 PM. Any bids received later than that should be considered non-responsive, per the ITB instructions. The sealed bids are then opened immediately following the expiration of the Bid Due Date. School Board Policy 7004 specifies: "Bids for building or improvements to school property shall be received, publically opened and tabulated at a designated time andplace, as indicated on the "ADVERTISEMENTFOR BIDS" which is placed by the school board and appears in local newspapers. " Upon completion of opening sealed bids, the bids are tabulated to determine the lowest responsive bidder. A responsive bidder is defined as meeting all specified bid requirements contained in the ITB. To be responsive, a bidder must also be pre-qualified per SREF and Florida Statutes. Another aspect of a contractor being deemed responsive is to determine that a contractor has the appropriate bonding capacity (insurance limits). Bonding capacity is the limit of which a bonding (insurance) company will insure a contractor, as well as a spending authority limit recommended by staff and the Qualification Selection Evaluation Committee (QSEC) and approved by the SBBC at a Regular School Board Meeting (RSBM). If a bidder is deemed non-responsive prior to the bid opening, the bid, per procedure should not be opened. A Bid Tabulation form is then provided including the bid amounts, identifYing the recommended bidder for award of a contract for the project or group of sufficiently similar projects. The Bid Tabulation form also contains documented reasons for waiving technicalities or rejecting bids due to material deviations contained in the submitted bids. The Bid Tabulation form is then posted conspicuously at a time determined in the ITB or in subsequent Addenda for review by any interested parties. A bid protest opportunity follows the public posting of the Bid Tabulation form, effectively completing the bid opening process. RECOMMENDATION A. We recommend that the Pre-Qualification list of contractors certified to do business with the SBBC, as maintained by F&CM, be frequently monitored by trade discipline to ensure that at any given time, the list includes the necessary number of general or specialty contractors to meet SREF requirements that".. .no fewer than three (3) prospective bidders... "are solicited for each procurement. Documentation of the same should be maintained evidencing compliance with SREF requirements while ensuring that the District 12 facilitates a fair, competitive and compliant bidding process. This will assist in SBBC consistently achieving compliance with applicable procurement laws and regulations. B. We recommend that the F&CM Division either conspicuously publish on the SBBC website which newspaper bids will be advertised in from month to month, or discontinue the practice of rotating publications in order to achieve maximum consistency in the Advertisement for Bids and the Invitation to Bidders notification process. The current process could impact the number of prospective pre-qualified bidders which receive notification. C. We recommend that Invitation to Bidders instructions include language that written (i.e. e-mail) documentation verifying receipt of all applicable Addenda is required prior to the Bid Opening due date. It is critical to the District's compliance with SREF requirements that".. .nofewer than three (3) prospective bidders... "be solicited prior to opening bids. Completion ofthe solicitation process includes broadcasting the original Invitation to Bidder and all Addenda. This will assist in documenting the required number of SREF and F.S. compliant bidders before their respective bids are opened. ADMINISTRATIVE RESPONSE: Staff has followed all applicable statutes, regulations, and policies. Bids received from bidders that are not pre- qualified by the Board were not opened. Staff currently reviews the prequalification list within a week prior to the bid date to ensure sufficient numbers of pre-qualified bidders have been solicited and have obtained bidding documents. Staff postponed bids recently due to there being only one pre-qualified bidder. Staff agrees that additional reviews of the contractor prequalification list will enhance the bidding process. The statement in the audit regarding the Bid Document Fulfillment and Printing Services contract indicating that "Their contract does not specify that they must provide evidence that each planholder has specifically received each addendum" is incorrect. Finding 4, page 18, at if) clearly indicates that the printer is required to "provide documentation that the addendum was delivered to all planholders." We agree that the language can be strengthened to specify how and when. Currently the printer provides the verification immediately upon receipt via email. Staff agrees that the process can be further enhanced as follows: lA. Staff has implemented a process to 1) verify sufficient pre-qualified bidders exist prior to issuing a bid, 2) continue to verify sufficient pre-qualified bidders exist prior to opening bids, and 3) review the contractor prequalification list every 90 days or less to ensure sufficient pre-qualified bidders exist for planned future bids. Staff shall continue to halt the bidding process and issue"All Calls" as necessanJ to maintain a sufficient pool of pre-qualified contractors. lB. Staff agrees and has already taken steps to advertise solely in the Sun-Sentinel. Staffhas determined that the cost ofadvertising in the Sun-Sentinel is about half the cost ofadvertising in the Miami Herald. lC. Staff agrees and has already taken steps to revise the contract for Bid Document Fulfillment and Printing Services, the Instructions to Bidders, and the addendum form. The current bid expires in one year and a new bid will be in place prior to its expiration. Staff has been in constant contact with the current vendor, has demanded and received compliant service, and will continue to monitor performance and take appropriate actions. OCA - FOLLOW-UP RESPONSE We documented that applicable statutes, regulations and policies were not followed. As indicated in the Background section of this Observation, we documented that in three (3) of four (4) procurements, the documented number of planholders and prospective bidders did not meet SREF requirements that "In addition to publication ofthe notice, the boardshall require that the invitation be mailed or delivered to nofewer than three (3) prospective bidders or shall be distributed to area plan rooms. " SREF requires that bidders be pre-qualified "... by a board on the basis of thefollowing criteria andsuch criteria as the local board adopts: ... 2. Evidence that the applicant has thefinancial resources to start andfollow through on projects and to respond to damages in the case ofdefault as shown by 13 written verification ofbonding capacity equal to or exceeding the amount ofany project for which the contractor seeks prequalification... " Additionally, bids were postponed or rejected for reasons described above by OCA. Regarding managements statement that "... (j) clearly indicates that the printer is required to "provide documentation that the addendum was delivered to all planholders," DCA's statement is not incorrect. The printing company/plan room is not required to provide the proof of receipt of addenda to F&CM based on language included in the current contract, only that they receive the information. We simply pointed out an opportunity to strengthen the District's ability to provide evidence of compliance with SREF requirement that no fewer than three prospective bidders receive all pertinent Invitation to Bid documentation before the bids are opened. 14 2. IMPROVE MONITORING OF APPROVED VENDOR LIST TO ENSURE THAT THERE ARE NO FEWER THAN THREE PRE-QUALIFIED VENDORS CERTIFIED WITH SBBC PRIOR TO ADVERTISING BIDS IN ACCORDANCE WITH SREF. OBSERVATION The Facilities & Construction Management (F&CM) Division did not adequately monitor the list of plan holders who officially requested bid related documents, nor did they adequately monitor the Contractor Prequalification Review Committee Tracking Report to ensure that "... nofewer than three bidders... " submitted bids for three hard bid procurements. Additionally, on one of the three hard bid procurements, the requisite series ofthree consecutive newspaper bid notifications were not advertised in accordance with SREF bid notice requirements. BACKGROUND According to SREF 4.1(1) - Prequalification of Contractors for Educational Facilities Construction; "A board shall prequalifY contractors for a one- (1) year period orfor a specific project. This section prescribes uniform and consistent requirements for prequalification ofall construction services contractors. This section is applicable to bids, construction management, design-build and other construction services application. " Gulfstream Middle School Project Bid On January 26, 2011, an advertisement was published in the Miami Herald to notify prospective bidders of a project to "Supply & Install a new unenclosed vertical wheelchair lift" at Gulfstream Middle School. The executed affidavit for that advertisement transaction indicates that the advertisement was only published in the January 26, 2011 edition of the Miami Herald. The Bid Tabulation document indicated a Fixed Limit Construction Cost (FLCC) in the amount of$96,850, which falls below the $300,000 threshold identified in SREF 4.2(2). SREF (2007) - Section 4.2(2) states: "Construction projects estimated to cost $300,000 or more and electrical projects that are estimated to cost $75,000 or more shall be advertised in conformance with the procedures outlined in this section. Projects estimated to cost less than $300,000 that the board will complete using contractedservices shall be advertised for a minimum orone week. "Based on the dollar value ofthe advertised project and the SREF rule, the project was in compliance with SREF "Minimum Notice" requirements. SREF (2007) - Section 4.2(2) (b) Minimum Notice states: "This notice shall be published a minimum ofonce a weekfor three (3) consecutive weeks in a local newspaper with general circulation throughout the district. The last notice shall appear at least (7) days prior to the date ofthe bid opening. 1. Any correction or change in the advertisement shall be made at least seven (7) days prior to the date set for bid opening. 2. The original date set for bid opening can be changed and extended at any time within thefinal seven- (7) day periodprovided the notice to bidders is published againfor one (1) time at least seven (7) days prior to the new bid date, and each known prospective bidder is notified in writing ofthe change. 3. Complete drawings andproject manual shall be available to contractors on the date ofthefirst legal advertisement. " After only one bid notification, a bid opening occurred on the advertised bid opening date of February 22,2011 for the Gulfstream Middle School project. The result of that bid opening was a recommendation to reject the sole bidder, as the contractor was not pre-qualified in accordance with SREF and the Florida Statutes. Upon review ofthe list ofplan holders forwarded to F&CM by the printing company/plan room, Reprographia, it is known that, as of February 11,2011, F&CM staff was aware that two plan holders were identified, as the list of plan holders was time stamped by F&CM on February 11, 2011. Our office reviewed the Contractor Prequalification Review Committee Tracking Report and determined that neither company was on the approved list of pre-qualified contractors with the SBBC. Therefore, the bid was not properly advertised and the bid opening was facilitated, despite the known regulatory and legal requirements not being met. 15 Concrete Walkway & Aluminum Canopy System Bid On March 17,24 and 31, 2011, an advertisement for bids was published in the Miami Herald. The advertisement was intended to notify prospective bidders of a program for "CONSTRUCTION SERVICES FOR Concrete Walkway & Aluminum Canopy System" for various locations. The executed affidavit for that series of advertisements indicates that the Advertisement for Bids was published for three consecutive weeks in a local newspaper, in accordance with SREF - Section 4.2 (2) (b). After the required bid notification, a bid opening occurred on April 20, 2011, pursuant to issuance of an Addendum changing the bid due date from April 4, 2011. The result ofthat bid opening was a recommendation to reject the two bids received "... on the basis that the amounts bid do not reflect the current market conditions as determined by review ofprior bids and data provided by R.S. Means ... " Upon review of the list of plan holders forwarded to F&CM by the printing company/plan room, Reprographia, it is known that, as of April 18, 2011, F&CM staff was aware that twelve plan holders were identified according to a dated (but unstamped) plan holder list documented in the bid file at F&CM. Our office reviewed the Contractor Prequalification Review Committee Tracking Report and compared it to the list of bidders documented on the plan holders list provided to F&CM by Reprographia. Of the twelve documented plan holders, five ofthem were identified as being prequalified per the Contractor Prequalification Review Committee Tracking Report. One of the prequalified contractors, Royal Concrete Concepts (RCC), provided a "Section 8, Statement of "No Bid" which was stamped as received by F&CM on March 28,2011. Royal Concrete Concepts' statement of"no bid" identified the reason for "no bid" as "Other (Specify below)" but there was no specification regarding their rationale, as required by the executed document. There were still four prequalified plan holders as of April 18, 2011. As only two of the contractors submitted bids and those bids were rejected, it is not clear why the other two contractors did not submit bids, nor was it documented on Section 8, Statement of "No Bid" forms as to why they did not intend to bid. Fire Sprinkler & Fire Suppression Bid On AprilS, 12 and 19,2011, an advertisement for bids was published in the Miami Herald. The advertisement was intended to notify prospective bidder of a program for "CONSTRUCTION SERVICES FOR FIRE SPRINKLER & FIRE SUPPRESSION" for various locations. The executed affidavit for that series of advertisements indicates that the Advertisement for Bids was published for three consecutive weeks in a local newspaper, in accordance with SREF - Section 4.2 (2) (b). The bids were scheduled, per the advertisement for bids, to be opened on April 26, 2011. On Apri12S, 2011, an Addendum (No. 02) was issued to notify prospective bidders that the bid had been postponed indefinitely. An e-mail from the F&CM Division clarified that "... only one pre-qualified vender exists for this bid" The sole pre-qualified contractor, as also identified in the plan holder list from Reprographia, was Sprinklermatic Fire Sprinklers and Fire Alarms, Inc. It was F&CM's intention to ask the SBBC for approval of an "All Call" to solicit pre-qualification applications from Certified Sprinkler and Suppression contractors in order to meet SREF requirements and to solicit more competition. The similarities in the three advertisements for bid and bid openings indicate that a fundamental weakness exists in the monitoring and maintenance ofthe Contractor Prequalification Review Committee Tracking Report. Proper maintenance and reference to that report can detect instances in which an insufficient number of pre-qualified and prospective bidders exist prior to issuance of advertisements to bid. Also, monitoring the plan holder information from the printing company/plan room is another way in which to gauge SREF compliance by discerning the number of plan holders prior to facilitating a bid opening. RECOMMENDAnON A. We recommend that the F&CM Division routinely review their Contractor Prequalification Review Committee Tracking Report to ensure that an adequate number of pre-qualified contractors exist in general and specialty contractor categories prior to advertising bids. This will help F&CM to maximize the use of District advertising dollars while reducing the use of valuable human resources for bidding and bid opening processes that do not comply with SREF requirements and result in rejection of all bidders. B. We recommend that the F&CM Division discontinue facilitating bid openings when it is reasonably understood that the required number of prequalified contractors have not be documented as having obtained the necessary bid documents to ensure compliance with SREF requirements, stating: "... the boardshall require that the invitation be mailed or delivered to nofewer than three (3) prospective bidders or shall be distributed to area plan rooms. " 16 ADMINISTRATIVE RESPONSE: The observation that the requisite number of advertisements was not in accordance with SREF is incorrect. SREF indicates in Chapter 4.2 for a "Project estimated to cost less than $300,000 that the board will complete using contracted services shall be advertised for a minimum of one week." The referenced project was estimated to cost $96,850. Staff chose to advertise for only the required one week to save advertising costs and reduce the time for receiving bids. Staff disagrees that the regulatory and legal requirements were not met. At least three potential pre-qualified bidders (check-marked) were provided with the ITB and solicited for bids as documented by Demandstar in Exhibit 1. The bids were advertised the required one week or more. The bid received from a contractor that was not pre-qualified at the time was not opened in compliance with the regulation, policy, and bidding requirements, and was subsequently rejected for that reason. 2A. We agree, see response 1a. 2B. We agree, see response to 1a. Regarding the second part of the recommendation, SREF does not address cases where less than three bids are received. Board Policy 3320, subpart ILK indicates "Ifless than two responsive proposals for a commodity or contractual services are received, the school district may negotiate on the best terms and conditions or decide to reject all proposals." Staff currently reviews such situations on a case by case basis with the General Counsel's office. OCA - FOLLOW-UP RESPONSE: OCA did not state that the requisite number of advertisements was not in accordance with SREF. OCA very clearly stated that the project identified in an amount of less than $300,000 was in compliance with SREF requirements, as it was advertised for a period of one (I) week, in accordance with SREF "Minimum Notice" requirements. F&CM documented to OCA, in writing, that DemandStar is not the official source of documenting the number of planholders for any given procurement. Specifically documented is the fact that DemandStar did not include an upload ofthe official Advertisement to Bidders or an Invitation to Bid, therefore a list of planholders on DemandStar would represent a list ofplanholders who did not receive all applicable bid documents unless also documented by Reprographia, which did not occur for each of the listed procurements. The only documented exception is the Fort Lauderdale High School Phase Replacement project. Therefore, OCA maintains that SREF requirements were not met. 17 3. UTILIZE ALL AVAILABLE BID BROADCAST TOOLS TO ENSURE THAT THE MAXIMUMNUMBER OF PROSPECTIVE BIDDERS IS REACHED WHEN BIDS ARE ADVERTISED. OBSERVATION The F&CM Division is not maximizing the ONVIA.COMIDemandStar internet bid management system, for which a contract is in effect with SBBC through December 31, 2013, in order to reach prospective bidders in the hard bid process. DemandStar has the capacity to broadcast Advertisement for Bids and Invitation to Bidders documentation, but currently the F&CM Division is only utilizing the internet bid management system to broadcast the content of addenda. Broadcasting Addenda (supplemental information to bidders) without broadcasting the Advertisement for Bids (primary information to bidders) is counterintuitive and prevents the District from achieving maximum effectiveness and efficiency in notifying all prospective bidders for all hard bid procurements. BACKGROUND During the Regular School Board Meeting on December 11,2007, Agenda Item E-4 recommended that the School Board enter into an Agreement with ONVIA.COM, Inc. That agreement was approved by the School Board and the AGREEMENT noted an expiration date of December 31,2013, unless terminated earlier, per contract terms. The Summary Explanation and Background of Agenda Item E-4 included the following language: "ONVIA. COAt, Inc., provides internet, fax and vendor database management services to governmental agencies for managing the procurement opportunities at no cost to the District. ONVIA provides a multi- faceted approach to automating the bidding process by using a combination oftechnologies includingfax- on-demand, fax and email broadcasting, and the internet to manage vendor and bid information. This approach allows the School Board to reach the maximum number ofpotential bidders who already have internet access, as well as potential bidders who are less technologically advanced. Also, this approach maximizes the exposure ofthe School Board's bids and RFPs in the marketplace, and includes all potential bidders, regardless oftheir technological maturity. Potential bidders have instant access to time-sensitive bid documents allowing them more time to prepare their bid. Using ONVIA 's web-enabled database, bids are available eitherfrom the Internet, viafax, or via conventional mail/overnight delivery. Approval ofthis Agreement will allow SBBC to continue receiving ONVIA 's services for a bid management systemfor the School District until December 31,2013, or as renewed by SBBC." We documented that the F&CM Division is currently utilizing the Sun-Sentinel and the Miami Herald on a rotating basis (rotating monthly) to disseminate Advertisement for Bid information in accordance with legal and regulatory requirements. We also documented that the F&CM Division is currently utilizing the DemandStar internet bid management system for hard bids, but only to post addenda and some Bid Tabulation results. The F&CM Division has placed a greater reliance on the printing company/plan room, which is in this case Reprographia, to field requests for documentation from contractors after the Advertisement for Bids has been placed in one ofthe two noted newspaper publications. Therefore, there is potential to deliver the information contained in the Advertisement for Bids by utilizing the DemandStar internet bid management system to broadcast bid information to a greater portion ofthe construction population while utilizing the local newspapers for legal notice, as required by SREF. As previously stated, during our review of the sampled bids, we noted that F&CM is primarily utilizing DemandStar to broadcast addenda. We have monitored the functionality of DemandStar on many occasions in the past and have determined that many contractors doing business with the District are also DemandStar plan holders and/or subscribers. The District essentially has two accounts with ONVIA.COM; one for the Supply Management and Logistics Department and one for the F&CM Division. During an interview with F&CM staff who is involved with the bidding and bid opening process, we heard discussion of some ofthe limitations of DemandStar, such as; the summary page contains some fields with a limited amount of characters; inability to delete some uploaded documentation; and, the inconvenience of fields designed to use alpha or numeric characters. We have reviewed and considered the limitations discussed and determined that the 18 overall functionality far outweighs the limitations discussed. For example, in other delivery methods, Request for Proposals (RFP) are uploaded onto the DemandStar server and, although specifications contained in the RFP may change at some point in the future, uploading Addenda with critical information to update the requirements is a routine occurrence. Therefore, the inability to delete documentation is offset by the ability to amend what may have otherwise been deleted. Also, we have documented in the past that the limitations in fields on the summary page and the alpha/numeric fields have been successfully maneuvered by abbreviating on the summary page and providing greater detail in the uploaded (and otherwise official) documents. The most important issues to consider in effectively and efficiently executing a bidding process and bid opening is communication with the prospective bidders to ensure an unambiguous, inclusive, transparent and fair opportunity for all prospective bidders to provide competitive bids and to ensure adherence to the laws and regulations and policies governing the bidding and bid opening processes. Utilizing all available methods ofcommunicating with prospective bidders is the first step in effectively and efficiently executing the bidding and bid opening process. An additional functionality provided by the DemandStar internet bidding management system is that the posted documents are another source oftime stamped documentation and tracking of plan holders. Until December 31, 2013, the F&CM Division has use ofa tool that can facilitate an improved bidding and bid opening process in ONVIA.COM/DemandStar. RECOMMENDATION We recommend that F&CM utilize the internet bid management system, DemandStar, as an additional means of publishing Advertisement for Bids and Invitation to Bidders in order to maximize the District's resources for reaching prospective bidders while also maximizing market competition. ADMINISTRATIVE RESPONSE: Staff posts all bid tabulations and recommended actions on Demandstar upon determination of the recommended Board action. Staff agrees and will continue to seek ways to maximize the use of Demandstar and other internet and email technologies. Staff has recently created a means for including the entire Advertisement for Bid in the Invitation for Bids broadcast by Demandstar to pre-qualified contractors, other contractors, subcontractors, and suppliers. 19 4. STRENGTHEN CONTRACT LANGUAGE WITH PRINTING COMPANIES AND AREA PLAN ROOMS TO ENSURE THAT STATE REQUIREMENTS FOR EDUCATIONAL FACILITIES MINIMUMS FOR BIDDER NOTIFICATIONS ARE MET. OBSERVATION The terms and conditions specified in the Invitation to Bid (ITB) 29-034B did not include requirements of the printing company/area plan room to ensure that the District is properly and adequately documenting requirements detailed in State Requirements for Educational Facilities (SREF) and the Florida Statutes. Laws and regulations require that the District document that no fewer than three (3) prospective bidders receive the ITB, which would reasonably include proof of receipt of all addenda, as any addenda would amend the original ITB. BACKGROUND On April 26, 2008 an ITB was published for "BID DOCUMENT FULFILLMENT AND PRINTING SERVICES- TERM CONTRACT. On May 19, 2008, the bids were opened for that procurement. On May 28, 2008, the Bid Tabulation with a recommendation to award Reprographia a contract for the Bid Document Fulfillment and Printing Services - Term Contract was posted on DemandStar. On July 22,2008, the School Board approved the recommended award ofthe Reprographia agreement on Agenda Item E- I. The requested action was to "Approve the BidlRFP recommendations as stated on the attached award recommendationfor each BidlRFP listed below. " Listed below was an attachment identifYing ITB 29-034B. The information included in the attachment included a cover page summarizing the bid process and the intended awardee; Reprographia. Additionally, the attachment included a spreadsheet summarizing the unit cost bids for each ofthe five (5) bidders. The ITB was awarded but not reduced to an agreement, nor did the Agenda Item specify that the award was specific to the terms and conditions contained in ITB 29-034B. We obtained a full copy ofITB 29-034B and reviewed the terms and conditions. The initial term of the award was stated in Section 4.5 of the SPECIAL CONDITIONS as "... approximately three (3) years, and may be , by mutual agreement between SBBC and the awardee, uponfinal School Board approval, be extendedforfive additional one year periods... " The primary responsibilities and duties for Reprographia were enumerated in Section 6, Bid Specifications. To summarize those responsibilities, Reprographia is responsible for issuing the copied bid documents and addenda. Section 6 states: D. The awardee(s) will keep track ofall bid documents and addendums issued and will be able to provide a plan holder's list to Facilities and Construction Management Division via email orfacsimile. Awardee(s) must provide an updated list ofplan holders every Monday via email or facsimile. The plan holders list shall contain the name, address, phone number andfax numberfor all parties who have purchased the bid documents. E. Awardee(s) to collect School Board Document 00215 Applicationfor Bidding Documents from the persons purchasing the bid documents andforward the Applications to the Facilities and Construction Management Division every Monday. Awardee(s) to review the Application when receivedfrom persons purchasing bidding documents and ensure that all fields ofinformation are provided F. Awardee(s) must provide documentation that the addendum was delivered to all plan holders; for example, fax confirmation pagefrom fax machine, copy ofFedEx receipt, or a signature ofplan holder on a copy of thefirst page ofthe addendum indicating that the addendum was picked up by the plan holder. The above clauses from Section 6 are important, as subsections 'D' and 'E' clearly state that the information gathered by the Awardee (i.e. Reprographia) is to be provided to F&CM every Monday, but the proof of delivery of addendum in subsection 'F' does not specify the same requirement. If the District is to comply with laws and regulations requiring that no fewer than three (3) prospective bidders receive the ITB, then it is important that subsection 'F' includes the same language, as lack of documentation that no fewer than three prospective bidders have received the total ITB information, prior to the bid opening, would not allow documented compliance with those procurement requirements. 20 RECOMMENDATION A. We recommend that when Awardees (i.e. Reprographia) are identified upon opening and evaluation of bids for services provided to the District, that the terms and conditions contained in Invitations to Bid (ITB) be reduced to a written agreement including a Right to Audit Provision when recommended for the School Board approval. B. In general, we recommend that F&CM define and strengthen the responsibilities and duties of the printing companies/ area plan rooms in contract specifications to ensure that the fundamental requirements of SREF and the Florida Statutes are complied with when printing companies/area planrooms are collecting bid related documentation on behalf of the District as part ofthe overall procurement process. Specifically, we recommend that contract language with printing companies/area plan rooms include a specification that any distributed Addenda require written (i.e. e-mail) confrrrnation ofreceipt of all addenda from plan holders. The contract should specify that it is the responsibility of the printing company/area plan room to maintain and forward all verification of receipt of addenda by contractors which are plan holders of that printing company/area plan room. The Invitation to Bidders should specify that it is the responsibility of the contractor to provide the written (i.e. e-mail) confrrrnation of receipt of all addenda to the printing company/area plan room and/or directly to the F&CM Division to document SREF and F.S. requirements. ADMINISTRATIVE RESPONSE: 4A. Staffagrees and has taken steps to strengthen the BidDocument Fulfillment and Printing Services bid documents and will collaborate with the Office ofthe ChiefAuditor to include a Right to Audit provision in those future bid documents. 4B StcifJagrees and has taken steps to strengthen the BidDocument Fulfillment and PrintingServices bid documents to clearly and comprehensively define the responsibilities ofthe vendor and the procedures pertaining to providing documentation during the various phases ofthe biddingprocess. 21 5. ESTABLISH A PROCEDURE FOR DETERMINING WHEN PROPOSERS' BIDS SHOULD NOT BE OPENED AS A RESULT OF CONTRACTORS' PER PROJECT BONDING LIMITS NOT BEING SUFFICIENTAS REQUIRED BY SREF. OBSERVATION The F&CM Division opened bids from pre-qualified contractors for projects for which they were not sufficiently bonded in accordance with SREF and per project limits as determined by the SBBC - Qualification Selection Evaluation Committee (QSEC). The Invitation to Bid (ITB) expressly states that bids submitted which are not in compliance with State Requirements for Educational Facilities (SREF) will not be opened. SREF requirements were not adhered to, as contractor bids from companies which were not sufficiently bonded were opened and tabulated. BACKGROUND SREF Section 4.1(l)(a) states: "Contractors shall be prequalified by a board on the basis ofthefollowing criteria andsuch other criteria as the local board adopts: 2. Evidence that the applicant hasfinancial resources to start up andfollow through on projects and to respond to damages in case ofdefault as shown by written verification ofbonding capacity equal to or exceeding the amount ofany project for which the contractor seeks prequalification... The SBBC Contractor Pre-Qualification Application Form includes language regarding issuance of contractor pre- qualification certificates in accordance with SREF requirements. The applicable language states: The Board shall issue to all pre-qualified contractors a certificate validfor one (1) year from the date ofapproval orfor specific project(s). That certificate shall include thefollowing: 3. A statement establishing the maximum dollar value ofeach individual project the contractor will be permitted to have under contract with the Board at anyone time. The maximum value ofeach project may be up to twice the value ofthe largest similar project preViously completed but shall not exceed the contractor's bonding capacity or ten (10) times the quick net assets. On January 25,2011, the School Board of Broward County approved Authorization to Advertisement for Bids- Fort Lauderdale High School- Phased Replacement project on Agenda Item J-20. Attached to that agenda item was an Opinion ofProbable Construction Cost, as provided by the architect (A/E) Manuel Synalovski Associates, LLC, in the amount of$17,440,290. We reviewed other documented estimates performed and which identified large variances in the probable construction costs depending on the source of the estimate. Also, the table indicates that the architect of record, Manuel Synalovski Associates, LLC, performed a probable construction cost estimate six (6) days prior to the School Board reviewing Agenda Item J-20 for Authorization for Bids on the Fort Lauderdale High School Phased Replacement project. However, that more recent probable construction cost estimate was not attached to the agenda item. Instead, an outdated cost estimate from August 19, 2009 was attached. The Cost Estimating Analysis table above also identifies that the SBBC cost estimator provided an estimate dated one day before Agenda Item J-20 was approved by the School Board and another one day after Agenda Item J-20 22 was approved by the School Board. Additionally, CMS provided yet another cost estimate for the project, as an independent third party cost estimator, in the amount of $24,057,295. By comparison, there is a variance of approximately $11,000,000 from the lowest to highest cost estimate in the table above, with the SBBC cost estimator's more recent estimate nearly $10,000,000 less than that of CMS. It is unclear why there was such a large variance, as the documents showed the SBBC cost estimate was based on unit pricing and square footage, whereas the CMS cost estimate was expressed in costs per CSI Divisions in an estimated schedule of values. A Letter of Recommendation for Permit was signed by the Chief Building Official on January 28, 2011, identifying that the plans were sufficiently complete and code compliant. The letter stated that:. "Documents have been 'Reviewed'for permit and are awaiting contractor's information to issue the construction permit. These documents have been released as a 'bid Set - Not for Construction. '" On March 1,201 I, Document 00101 - ADVERTISEMENT FOR BIDS for the Fort Lauderdale Phase Replacement was published for the fIrst ofthree consecutive weeks in the Sun-Sentinel. The Advertisement for Bids documents states: "Be advised that in orderfor bidsfor this project to be accepted by the School Board ofBroward County, Florida the bidder must be Pre-Qualified in accordance with 1013.46 F.s., State Requirementsfor Educational Facilities Ch. 4.1 (8) and School BoardPolicy 7003 at the time ofthe bid opening. Bids submittedfromfirms not in compliance with these requirements will not be opened" On March 31,20II, the bids for the Fort Lauderdale Phase Replacement project were opened as scheduled. Two of the three lowest bidders were not pre-qualifIed in accordance with SREF Ch. 4.1 for the Fort Lauderdale Phased Replacement project, as evidenced by each fIrm's bonding capacity which did not meet the SREF requirement that: "... the applicant hasfinancial resources to start up andfollow through on projects and to respond to damages in case ofdefault as shown by written verification ofbonding capacity equal to or exceeding the amount ofa ~ project for which the contractor seeks prequalification... " The two bidders were pre-qualifIed by the School Board, but did not possess the bonding capacity equal to or exceeding the amount of the project being bid. Two bidders were noted as not having the required bonding capacity and submitted bids which were opened during the March 31, 2011 bid opening. One of those fIrms had a, per project, limit of$2.5 million and the other fmn had a per project limit of$7.5 million. As stated in SREF Section 4.l(l)(a) and published in Document 00101 - ADVERTISEMENT FOR BIDS, the bids should not have been opened, as they were submitted by the fIrms with insufficient bonding capacity. In view of the multiple cost estimates performed by in-house staff, the architect ofrecord and an independent third party cost estimator, it is clear that the two (2) contractors with insufficient per project bonding limits should not have been considered as responsive bidders, due to those per project bonding limits, as well as staff's knowledge of the project's probable construction cost. On April I, 2011, award of the Fort Lauderdale High School- Phase Replacement project was recommended by the project architect for award to Kaufman Lynn Construction, Inc, based on a bid in the amount of$15,998,000 and Alternate #1 proposal of$1,935,000. The bid tabulation, cross-referenced to the prequalifIcation data clearly documented that two of the lowest bidders could not conceivably have won the bid. RECOMMENDATION We recommend that F&CM discontinue opening bids which are submitted by bidders with insuffIcient bonding capacities. We also recommend that F&CM establish a threshold range or percentage of the Probable Cost of Construction estimate to defIne for all prospective bidders a published range by which responsive bids can be determined. Apublished range should be included in the original Invitation to Bid. For example, if average bid awards are within a plus/minus range of 10 percent of the Probable Cost of Construction estimate, a 90 percent rule could be established to defIne when a bid shall or shall not be opened. More specifIcally, if a Probable Cost of Construction estimate is $10,000,000, any bidder with a bonding capacity equal to or exceeding $9,000,000 could be opened. Conversely, if a bid is submitted by a fIrm with a bonding capacity less than 90 percent of the Probable Cost of Construction estimate, they would be deemed non-responsive. This example is intended to defIne when a bid should or should not be opened, while providing a reasonable range for prospective bidders who may be able to execute a project for less than the Probable Cost of Construction estimate. 23 ADMINISTRATIVE RESPONSE: Staffcurrently reviews such situations on a case by case basis with the General Counsel's office. OCA- FOLLOW-UP RESPONSE: OCA maintains that a clearly established rule should be developed and promulgated to all prospective bidders to clearly define when a bid will or will not be opened, based on per project bonding limits as established by the School Board, in accordance with SREF. This will help to ensure that all procurements are consistent, fair and transparent. 24 6. UTILIZE A BID LOCK BOX TO SECURE ALL BIDS REQUIRING THAT TWO STAFF MEMBERS BE PRESENT TO ACCESS SECURED BIDS. OBSERVATION During our review and documentation ofthe bidding and bid opening process, we determined that the F&CM Division does not have a lock box for all bids received. During one bid opening, the bid due date was canceled and rescheduled on a last minute notice to bidders, as there was conflicting information regarding the location for bid delivery. F&CM staff stated that no bidders delivered bids, but also identified that they did not have a formal means of securing bids. BACKGROUND During a meeting on April 25, 201 1 including select F&CM staff and the Office ofthe Chief Auditor, a discussion was facilitated regarding the many steps included in the bidding and bid opening process. During that discussion, it was disclosed that F&CM does not have or utilize a lock box to secure bids during the submittal process or for securing bids prior to bid openings or returning them to proposers. Also discussed was the fact that the F&CM Division had very recently relocated to the Sawgrass Technology Park offices; and that a new process was being developed to provide a bid submittal delivery location and staffing logistics for receiving and time stamping the bids upon delivery by prospective bidders. F&CM stated two items of concern. First, they discussed utilizing the resources of another department in the chain of custody ofthe bid submittals, as there is a SBBC internal mail delivery staff stationed at the Sawgrass Technology Park offices that provides delivery of internal (Pony) mail and distribution of external mail delivered to that building. The second item of concern involves a process by which bids are time stamped. A process was detailed indicating that some bid packages are submitted with more pages than others; making the packages too thick to fit into the time stamping clock. Therefore, a process has been implemented for a long period of time involving the time stamp being applied to a "Post-It" note, and the note being adhered to the submittal package as proof oftimely delivery. From an accountability standpoint, utilizing staff from another department, with incongruous job duties not directly involved in the procurement process or document chain of command, represents a control weakness in the security ofthe bids submitted. For example, a staff member from the internal/external SBBC mail delivery group could have a primary job-related priority issue or an absence at a critical bid delivery time that could cause submittals not to be documented as received, and perhaps not delivered to F&CM staff prior to the formal bid opening process. From an internal control standpoint, a "Post-It" note could be time stamped minutes before a bid delivery and adhered to a submittal after the expiration of the posted due date and time. Therefore, the current control has a weakness which should be addressed. RECOMMENDATION In order to strengthen internal controls over the bid opening process, we recommend that the F&CM Division establish a written process documenting the action plan to receive, time stamp and secure all bid submittals in their new office location. We recommend that the process include utilization ofa lock box to secure all bids, requiring two staff members to open the lock box when accessing bids prior to the actual bid opening; one person acting as a witness. We recommend that F&CM discontinue the practice oftime stamping "Post-It" notes for packages too large to fit into the time clock. Instead, Invitation to Bid (ITB) documented instruction should clearly identifY what should be included in the bid submittal to ensure that the packages include only the most necessary documentation, to allow for sealed envelopes to be stamped for consistency in the process. ADMINISTRATIVE RESPONSE: Staffshall update the procedure pertaining to the receipt ofbids and recommend the mailroom obtain a lock boxfor bids. Staffis updating the bidding requirements to emphasize the requirements pertaining to the physical size and contents ofthe sealed bid envelope to ensure that it can be time stamped and inserted in a lock box. 25 7. PROVIDE THE 'INVITATION TO BIDDERS' aTB) DOCUMENT AS AN INITIAL STEP IN ALL DESIGNIBIDIBUILD (HARD BID) PROCUREMENTS IN ACCORDANCE WITH SREF. OBSERVATION We documented that the F&CM Division did not prepare, execute and publish an Invitation to Bid (ITB) in three (3) out offour (4) procurements reviewed in our sample. We were informed that execution of an ITB has a direct impact on the speed of the bidding and bid opening process. State Requirements for Educational Facilities (SREF) requires that an ITB be issued in addition to publication ofthe notice ofthe bid. BACKGROUND During our review of the bidding and bid opening process, we selected a sample offour (4) recent bid advertisements to document, review and analyze the bid opening process for compliance with applicable School Board Policies, laws and regulations. The four (4) bid advertisements included a wheelchair lift project at Gulfstream Middle School, a Concrete Walkway & Aluminum Canopy System program, the Phase Replacement project at Fort Lauderdale High School and a Fire Sprinkler & Fire Suppression program. Invitation to Bid documents include important information to prospective bidders, such as the fundamental scope components being bid. For example, in the Fire Sprinkler & Fire Suppression bid, contract document 00200 - Instructions to Bidders Section 1.01 (B)(8) Specifications (Divisions 1 through 17) states: "A CD-Rom with all Technical Specification (Div 1-17) reference in the Bid will be attached to the executed contract. " Without an ITB, including a scope of which Divisions would be included in the bid, it would be difficult for a prospective bidder to provide a complete and responsive bid. As noted in the Project Manual, the specifications divisions noted were generic and pointed the prospective bidders to all specifications without identifYing which specifications were applicable for the Fire Sprinkler & Fire Suppression bid. Specific divisions and applicable line items were not detailed in the available and published bidding documents. We reviewed documentation associated with the bid advertisement and overall bidding process and facilitated discussions with F&CM staff associated with the applicable procedures. We determined that SREF Section 4.2(2)(a) Legal Notice was complied with as the School Board provided a published legal notice in accordance with SREF and Chapter 50, Florida Statutes (F.S.). Legal Notice requires that: ''The boardshall publish legal notice in accordance with Chapter 50, F.s., prOViding at least the following information: 1. Project name and name ofboard. 2. Location ofthe project. 3. Briefstatement describing the work. 4. Date, time andplace ofbid opening. 5. From whom and when contract documents are available, including deposit or charge. 6. Other informationfor bidders: prequalification ofbidders, notice ofpre-bid conference, bid security, insurance, plan deposit and board's intention to waive technicalities. SREF Section 4.2(2)(c) Invitation to Bid states: "In addition to publication ofnotice, the board shall require that the invitation to bid be mailed or delivered to nofewer than three (3) prospective bidders or shall be distributed to area plan rooms. " As the Invitation to Bid documents were not prepared, executed and published in addition to publishing legal notice, a failure to comply with SREF requirements indicates a procedural deviation, as SREF states that "... the board shall require that invitation to bid... " be distributed, and that did not occur in three out of four bids reviewed. RECOMMENDATION We recommend that the F&CM Division prepare, execute and publish the Invitation to Bid documentation in accordance with SREF requirements in order to achieve compliance with those regulations, while strengthening the bid advertisement process to improve market competition for all future procurements related to hard bid projects and programs. 26 ADMINISTRATIVE RESPONSE: SREF Chapter 4.2 and Board Policy 3320 subpart I.A.2 define the Invitation to Bid, Exhibit 2, and Advertisement for Bids interchangeably. Staffhas considered the terms synonymous as it relates to legal notice. Staffagrees the recommendation will improve the process and has drafted a template "Blast Email" revised to be entitled "Invitation to Bid, " Exhibit 3. Staffshall continue to issue the Blast Email to all pre-qualified contractors to meet the requirementsfor solicitation ofthree or more bids. Aboard that undertakes construction, remodeling, renovation, lease, or lease- purchase of any educational plant or ancillary facility, or day labor project. regardless of cost or fund source, shall use contracts that comply with laws governing public facilities contract and construction requirements, SREF, Chapters 50 and 1013, F.S., and Sections 255.05, 255.20, 255.551 through 255.565, 287.0935, 287.133, 489.113(4)(c), and 553.60 through 553.64. F.5. Finance and facilities construction reports, as required by Chapter 1013, F.S., shall be provided to the Department for legislative information. (1) Bonds and Insurance. (a) Bonds. Bonds are reqUired on projects costing $300,000 or more. The board shall establish criteria for qualifying surety companies; however, when abond is reqUired on projects costing $500,000 or less. surety companies meeting the criteria of Section 287.0935, F.S., shall be accepted by the board. The amount of the bonds shall equal the contract price except as provided in Section 255.05, F.S. (b) Proof of Insurance. The board shall verify that the contractor has avalid license, as required by Chapter 489, F.S., and, through aLetter of Insurability or Certificate of Insurance, is maintaining the insurance coverages and limits as required by law. The board can deny contract approval on this basis, as permitted by Section 489.113(4)(c), F.S. (2) Advertising, Bidding, and Awarding Contracts. Construction projects estimated to cost $300,000 or more and electrical projects that are estimated to cost $75,000 or more shall be advertised in conformance with the procedures outlined in this section. Projects estimated to cost less than $300,000 that the board will complete using contracted services shall be advertised for aminimum of one week. Projects estimated to cost $300,00 or more that the board will complete using day labor or their own labor or equipment shall follow the requirements of Section 4.1. Unless other authorized contract processes are used, the bidding process shall be used to award all construction projects of $300,000 or more and electrical projects of $75,000 or more, as required by Section 255.20, F.S. (a) Legal Notice. The board shall pUblish legal notice in accordance with Chapter 50, F.S., providing at least the follOWing information: 1. Project name and name of board. 2.
