AGREEMENT TO SELL

THIS AGREEMENT is made at 16/1, Alkapuri Colony, Ujjain on this 16 th day of February 2023.

BETWEEN

Mr. Archit Saxena aged 20 s/o Mr. Prakhar Bhargava r/o Lucknow, Uttar Pradesh. (hereinafter referred
to as the “Seller” which expression shall, unless repugnant to the context or meaning thereof shall
mean and include his heirs, executors, administrators and assigns of the FIRST PART).

AND

Mr. Ashutosh Bansal aged 20 s/o Mr. Atharv Vyas r/o Mhow, Madhya Pradesh (hereinafter referred to
as the “Buyer” which expression shall, unless repugnant to the context or meaning thereof shall
mean and include his heirs, executors, administrators and assigns of the SECOND PART).

WHEREAS:

The Seller is the sole and absolute owner of a flat located at 16/3, Alkapuri Colony, Udayan Marg,
Ujjain (hereinafter referred to as the "Flat").

The Buyer has approached the Seller for purchasing the Flat and has paid a sum of Rs. 10,00,000
(Rupees Ten Lakhs only) as earnest money to the Seller.

The Seller has agreed to sell the Flat to the Buyer for a total consideration of Rs. 50,00,000 (Rupees
Fifty Lakhs only).

The parties have agreed that the registry of the Flat shall be done on 16 June 2023.

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the
parties hereto agree as follows:

The Seller hereby agrees to sell and the Buyer agrees to purchase the Flat for a total consideration of
Rs. 50,00,000 (Rupees Fifty Lakhs only).

The Buyer has already paid Rs. 10,00,000 (Rupees Ten Lakhs only) as earnest money to the Seller via
cheque number 11011 drawn on Bank of India, Ujjain Branch, which shall be adjusted towards the
total consideration payable by the Buyer to the Seller and takes its acknowledgement.

The Buyer shall pay the balance amount of Rs. 40,00,000 (Rupees Forty Lakhs only) to the Seller on
or before 16 June 2023, on which date the registry of the Flat shall be done.

In case of the failure of the Buyer to pay the balance amount of Rs. 40,00,000 (Rupees Forty Lakhs
only) on or before 16 June 2023, the Seller shall have the right to forfeit the earnest money of Rs.
10,00,000 (Rupees Ten Lakhs only) paid by the Buyer. However, the Seller shall return Rs. 9,00,000
(Rupees Nine Lakhs only) to the Buyer and keep Rs. 1,00,000 (Rupees One Lakh only) as
compensation after giving a written notice atleast 15 days before taking the compensation.

The buyer shall make out a marketable title to the said property free from encumbrances and
reasonable doubts.

The Seller shall deliver to the Vendee the title deeds relating to the said property in his possession
and power on execution of these presents for inspection and investigation of the title by the Vendee
or his advocate.
The Seller agrees to apply for, obtain and furnish unto the Buyer all such permissions as may be
necessary under the laws for registration of Sale Deed.

The Buyer shall bear all the expenses related to the transfer of the Flat, including but not limited to
stamp duty, registration charges, and any other taxes or fees.

This Agreement to Sell shall be binding upon and inure to the benefit of the parties hereto, their
respective heirs, executors, administrators, legal representatives, successors, and assigns.

This Agreement to Sell constitutes the entire agreement between the parties hereto and supersedes
all prior negotiations, representations, and agreements between the parties hereto.

This Agreement to Sell shall be governed by and construed in accordance with the laws of India.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement for Sell on the day and year
first above written.
