DEAL OR NO DEAL ENTRY TO PARTICIPATE TERMS AND CONDITIONS

1. THE PRODUCER
The producer is HBC Broadcast Solutions Proprietary Limited (Registration Number: 2016/522794/07)
whose office is located at 7 Montague Drive, Montague Gardens (the "Producer").

2. THE PROGRAM
2.1 These are the terms and conditions (the "Terms and Conditions") for the submission an entry to
participate on the quiz show program entitled "Deal or No Deal" to be produced in South Africa in
2023 (the "Program") and which may be broadcast or otherwise made available to viewers in
such manner, at such times, and in such territories as the rights holder may determine from time
to time.
2.2 Only persons who submit a valid entry in terms of clause 3 and comply with the provisions of clause 4 are
eligible to participate in the Program.
2.3 By submitting an entry to participate in the Program, each entrant ("Entrant") agrees to be bound by these
Terms and Conditions.

3. HOW TO ENTER
3.1 The call for entry will run from [00:00] on [10 February 2023] to [00:00] on 31 December 2023 ("Entrance
Period"). Any entry received after expiry of the Entrance Period will be automatically disqualified
and will not be considered. No late entries will be accepted.
3.2 To enter, each Entrant will be required to fully complete and submit the entrance form on the website at
www.dealornodeal.co.za during the Entrance Period: All information, documents and materials
submitted by an Entrant for purposes of this clause 3.2 shall constitute such Entrant's "entry" for
purposes of these Terms and Conditions.
3.3 As far as the law allows, the Producer will not accept any other submission of entry, and the Producer will
not accept proof of submission or transmission as proof of receipt of entry to participate in the
Programme.
3.4 To enable submission of the entry in the manner required in these Terms and Conditions, the Entrant may
need to have necessary hardware, software and/or Internet access, and/or an active account with
one or more specified social media platforms (for example, Facebook, Twitter and/or Instagram)
("Platform").
3.5 There is no fee or charge for submitting an entry, other than the cost of your accessing, using, and
uploading the entry via the Internet.
3.6 An entry will only be accepted if it complies with all entry requirements. The Producer is entitled to reject
entries which are (i) made on behalf of another person or constitute joint submissions; (ii)
automatically generated by computer; (iii) completed by third parties or in bulk; (iv) illegible or
have been altered, reconstructed, forged, or tampered with; and/or (v) incomplete.
3.7 Each Entrant must comply with all applicable laws in submitting their entry. Also, if participation (or any
other step in the administration of the entry to participate in the Program as contemplated in these
Terms and Conditions) occurs directly or indirectly by means of any Platform, then the Entrant:
3.7.1 undertakes to comply, and warrants compliance with, all terms of use and rules of such Platform, as
amended from time to time; and

3.7.2 the Entrant acknowledges that the Program is not sponsored, endorsed, administered by, or associated
in any way with the Platform, nor does the Platform have any responsibility relating to the
lawful operation of the Program.

4. ELIGIBILITY
4.1 Entry to participate in the Program is valid only in South Africa, and is open to any South African resident
who is 18 years of age or older, but not those persons listed in clause 4.2. Each Entrant must also
be in possession of valid South African ID book, which will need to be provided as certified proof
of identification.
4.2 Participation in the Program is not open to employees of the Producer, its agencies, sales agents,
merchandisers, packaging suppliers and their immediate families, or any person who is (i) a
director, member, partner, employee or agent of, or consultant to the Producer or any other person
who directly or indirectly controls or is controlled by, the Producer; or (ii) a supplier of goods or
services in connection with the Program; or (iii) any spouse, life partner, business partner or
immediate family member of any of the foregoing.
4.3 By submitting an entry to participate in the Program, each Entrant confirms eligibility to
participate under these Terms and Conditions. The Producer may require an Entrant to provide
proof of such eligibility.
4.4 As far as the law allows, only Entrants who comply with these Terms and Conditions will be eligible to
participate in the Program but submission of an entry in accordance with these Terms and
Conditions does not guarantee selection to participate in the Program.
4.5 As a further condition to participation in the Program, the Producer may require each Entrant that is
selected to participate to complete and sign a contestant agreement, a confidentiality agreement
and such other documentation as may be reasonably required by the Producer and/or other
supplier in connection with the Program.

5. DETERMINATION OF PARTICIPATION AND NOTIFICATION


5.1 Participants in the Program will be selected from the among the Entrants by the Producer in its sole
discretion.
5.2 The Entrants selected to participate shall be informed of their selection by the Producer via the contact
details supplied within a reasonable period after the end of the Entrance Period. The Producer
shall not be required to inform unsuccessful Entrants.
5.3 The Producer's selection and/or determination of the participants shall be final and no correspondence
will be entered into in this regard.
5.4 The Producer reserves the right to require participants to provide additional information reasonably
required to confirm the identity of the participant and/or to process and/or facilitate the participant's
involvement with the Program.
5.5 The Producer also reserves the right to name the participants publicly on Facebook, Instagram, any other
Platform, and any other medium which the Producer considers appropriate as soon as reasonably
possible after the selection ("Announcement Date"). By submitting an entry, Entrants agree to
the publication of their name by the Producer in this manner.
5.6 The Producer reserves the right to disqualify a selected participant and determine a replacement
participant in accordance with clause 5.7 if:
5.6.1 the Producer reasonably believes, in its sole discretion, that the selected participant has contravened
any of these Terms and Conditions or is suspected of any irregularities or fraudulent
activities;
5.6.2 a selected participant is ineligible to participate in terms of these Terms and Conditions, and/or if it is
unlawful for such person to participate; or
5.6.3 a selected participant cannot be reached after at least reasonable attempts (but in any event no more
than four attempts) have been made during business hours (08h30 – 17h00), or is unable
or fails to comply with the requirements of these Terms and Conditions for any

reason whatsoever, despite the Producer having used reasonable efforts to contact the
participant on the contact details provided in the entry form.
5.7 If a replacement participant is required to be selected and/or determined in terms of these Terms and
Conditions, then the Producer shall select the new participant from the entries submitted by the
remaining qualifying Entrants in accordance with clause 5.1.
5.8 As far as the law allows, the Producer will not be held responsible for the inability or failure of an
Entrant to claim or accept their participation in the Program (whether in whole or part).
5.9 Neither submitting an entry nor being selected to participate in the Program entitle an Entrant to any prize
of any nature. Being selected to participate merely gives the participant an opportunity to win a
prize in accordance with the rules of the Program and subject to the terms and conditions of the
Contestant Agreement.

6. INTELLECTUAL PROPERTY RIGHTS


By submitting an entry (including any accompanying material such as sound clips, videos, and/or
photographs), the Entrant:
6.1 warrants that he or she owns all intellectual property rights (including copyright) and moral rights in and
to such entry and all materials comprising such entry, wherever arising anywhere in the world, or
that he or she has the right to use them as contemplated in these Terms and Conditions and to
grant the rights contemplated in these Terms and Conditions; and
6.2 hereby grants to the Producer a non-exclusive, worldwide, irrevocable, and perpetual right and licence to
do the following (which the Producer may in its discretion elect to exercise) in respect of the
Entrant's entry (in whole or in part):
6.2.1 to incorporate it into the Program.
6.2.2 to make it available on its website and any Platform or other medium or social media platform, whether
now known or invented in the future, for purposes of administering, producing, promoting,
marketing, and running the Program, for statistical purposes, and any other purposes
whatsoever (collectively "Purpose"); and
6.2.3 to use, copy, modify, adapt, collate, display, publish, distribute, transmit, store, archive, and/or re-format
such entry for the Purpose; and
6.2.4 to grant any other person a sub-licence to do any act contemplated in this clause 6.2.
You are granting rights for the Producer to use your entry (including accompanying material).
You also acknowledge and promise that you own or are duly licensed to grant such rights. If
this is incorrect, you will be held liable for all claims and loss, and thus assume risk and liability
for such claims and loss.

7. DATA PROTECTION AND PUBLICITY


By submitting an entry (including accompanying material) and/or communicating with the Producer, the
Entrant irrevocably consents and agrees that:
7.1 the Producer, its agents and suppliers may collect, store, distribute and use all personal information
(including personal information) in or arising from such entry and/or communication (including the
Entrant's name and image of the Entrant which may be reflected in any photograph or other
material accompanying the entry) for purposes of administering and/or promoting the Program,
communicating with the Entrant, announcing the participants and/or otherwise for the Purpose;
7.2 the Producer may process the information contained in the entry in accordance with its privacy policy as
made available on its website or otherwise notified to the Entrants; and
7.3 to the extent that the entry (including accompanying material) contains or reflects the image or the
personal information of any other person, the Entrant hereby warrants that it has obtained the
consent and permission of such person for submission of the entry in accordance with these
Terms and Conditions.

You are granting rights for the Producer and others to use your personal information contained
in your entry (including accompanying material) and communications with the Producer. You
also acknowledge and promise that you have obtained similar consent and permission from any
other person whose image or personal information you share. If this is incorrect, you will be
held liable for all claims and loss, and thus assume risk and liability for such claims and loss.

8. LIMITATION OF LIABILITY
8.1 As far as the law allows (and subject to clause 10.4), the Producer, its associated and/or affiliated
companies, the other suppliers and/or sponsors in respect of the Program and their respective
directors, officers, employees and agents ("Production Parties"):
8.1.1 will not be responsible or liable for any lost, damaged, delayed, incorrect, incomplete or disqualified
entries for any reason whatsoever or for an Entrant's failure to submit an entry for any
reason whatsoever including by way of example only as a consequence of technical
malfunction, error or failure of or in any communications infrastructure or any system,
satellite, network, server, hardware or software of any kind, or for any interception of or
unauthorised access to any entry during the course of submission of an entry; and
8.1.2 will not in any circumstances be responsible or liable to compensate an Entrant or accept any liability
for any loss, damage, personal injury, or death occurring because of submitting an entry
except where it is caused by the gross negligence, wilful misconduct, or fraud of the
Production Parties.
This limits and excludes obligations, liabilities, and legal responsibilities which the Production
Parties may have towards you and limits and excludes your rights and remedies against such
persons.

9. INDEMNITY
As far as the law allows (and subject to clause 10.4), the Entrant hereby irrevocably indemnifies the
Production Parties, and holds them harmless, from and against any and all loss, liability, harm, costs,
damages, claims, injury and death which may be suffered or incurred as a result of any breach of any
warranty given by the Entrant under these Terms and Conditions, including those set out in clause 6.1
(intellectual property rights) and clause 7.3 (data protection).
The Production Parties may be faced with claims caused by you, for example, when you infringe
the intellectual property rights of others or have failed to obtain lawful permission for
submission of an entry. You agree to take on responsibility and liability for the losses and
damages the Production Parties may suffer, as far as the law allows for this responsibility and
liability to be passed on to you.

10. GENERAL
10.1 The Producer also reserves the right to terminate the Program at any time and without notice if
circumstances beyond its reasonable control prevent the Producer from continuing to produce
the Program. In the event of such termination, as far as the law allows, all Entrants acknowledge
that they will have no recourse or claims against the Production Parties.
10.2 These Terms and Conditions shall be governed by the laws of South Africa. The Entrant consents to the
non-exclusive jurisdiction of the High Court of South Africa, Gauteng Local Division,
Johannesburg, in respect of all matters arising out of or in connection with these Terms and
Conditions.
10.3 If any provision of these Terms and Conditions is found to be invalid or unenforceable by any court of
competent jurisdiction, then that provision shall be severed from these Terms and Conditions and
shall not affect the validity or enforceability of any remaining provisions.
10.4 It is not intended that any provision of these Terms and Conditions contravenes any provision of the
Consumer Protection Act, 68 of 2008, or any regulations issued under such Act, and therefore all
provisions of these Terms and Conditions must be treated as being qualified, if necessary, to
ensure that the provisions of the Consumer Protection Act and its regulations are complied with.

10.5 A copy of these Terms and Conditions will be available from the Producer on request.
