LOAN AGREEMENT
This Loan Agreement ("Agreement") is made and entered into on this ____ day of

Collectively referred to as the "Parties."

RECITALS
WHEREAS, the Lender agrees to lend a certain amount of money to the Borrower, and
the Borrower agrees to borrow the said amount under the terms and conditions set forth
herein.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained

herein, the Parties agree as follows:

1. LOAN AMOUNT
1.1 Principal Amount: The Lender agrees to lend the Borrower the sum of [Loan

2. INTEREST RATE
2.1 Interest Rate: The Borrower shall repay the loan with an interest rate of [Interest

4. REPAYMENT

4.2 Prepayment: The Borrower has the right to prepay the outstanding loan amount at
any time without incurring any penalties.

5. DEFAULT
5.1 Default: If the Borrower fails to make a repayment as specified in Section 4, the
Borrower shall be in default, and the full outstanding balance of the loan, including
accrued interest, shall become immediately due and payable.

6. GOVERNING LAW
6.1 Governing Law: This Agreement shall be governed by and construed in
accordance with the laws of the Republic of the Philippines.

7. ENTIRE AGREEMENT
7.1 Entire Agreement: This Agreement contains the entire agreement between the
Parties and supersedes all previous agreements and understandings between the
Parties.

8. AMENDMENTS
8.1 Amendments: Any amendments or modifications to this Agreement must be made
in writing and signed by both Parties.
