SALES AGREEMENT

This sales agreement (referred to as the “Agreement”) is entered into as of the date

Each Seller and Buyer may be referred to in this Agreement individually as a “Party”

and collectively as “Parties”.

1. Sales of Goods

Seller agrees to sell, and Buyer agrees to purchase the following items in the

following quantities and at the prices listed below (referred to as the “Goods”):

2. Purchase Price

Buyer has paid to Seller for the Goods and for all obligations specified in this

Agreement, if any, as the full and complete Purchase Price, the total sum of

………….. on the Effective Date.

The Seller agrees to have received the full and complete Purchase Price of

…………………… on the Effective Date and waives the Buyer from any other

additional fees under this Agreement.

3. Delivery of Goods

The delivery of the Goods (hereinafter referred to as the “Delivery”) shall be effected

at the Seller’s residential address on the Effective Date.

4. Warranties

Except as expressly set forth in this Agreement, the Parties acknowledge and agree

that the Goods are provided as is.

5. Inspection

Hereby, the Buyer acknowledges that it has relied solely on the investigations,

examinations, and inspections that the Buyer has chosen to make, and that the

Seller has afforded the Buyer the opportunity for full and complete investigations,

examinations, and inspections.

6. Risk of Loss and Title

The risk of loss or damage for the Goods shall be on the Buyer upon Delivery.

The Title of the Goods shall pass on the Buyer upon Delivery.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of

the Republic of Mauritius and any dispute arising out of this Agreement shall be

resolved firstly through negotiations and if the dispute remain unresolved, before a

Court of Law of Mauritius.

8. Amendments

The Parties agree that any amendment made to this Agreement must be in writing,

where they must be signed by both Parties to this Agreement.

9. Severability

In the event that any provision of this Agreement is found to be void and

unenforceable by a court of competent jurisdiction, then the remaining provisions will

remain in force in accordance with the Parties’ intention.

10. Entire Agreement

This Agreement contains the entire agreement and understanding among the Parties

hereto with respect to the subject matter hereof, and supersedes all prior

agreements, understandings, inducements, and conditions, express or implied, oral,

or written, of any nature whatsoever with respect to the subject matter hereof. The

express terms hereof control and supersede any course of performance and/or

usage of the trade inconsistent with any of the terms hereof.
