DEED OF CONVEYANCE

BETWEEN

IN RESPECT OF

MR. NNAM CHUKWUEMEKA of Odigene Ndiagu Akpugo in Nkanu


West Local Government Area, Enugu State, Nigeria(Hereinafter
called“THE VENDOR” which expression shall where the context admits
include and binds his Heirs, Administrators, Executors, Successors-in-
Title and Assigns) OF THE ONE PART

AND

MR. OGBU DANIEL ONYEKA of Ogologoeji Ndiuno Akpugo in Nkanu


West Local Government Area, Enugu State, Nigeria(Hereinafter called
the “THE PURCHASER” which expression shall where the context
admits include his Heirs, Administrators, Executors, Successors-in-
Title and Assigns) OF THE OTHER PART.

WHEREAS

1. Title and interest in the piece of land subject matter of this


Deed of Customary Conveyance became vested in Vendor free
from any encumbrance by virtue of Customary inheritance
dating back from his ancestral forefathers and devolving
directly to him, by inheritance from his father
Nnambewodokeani.

2. By virtue of customary inheritance, the Vendor became vested


with the right, interest, estate and title over all that Three and
half Plots of land situate at Agbede, Ogologoeji Ndiuno Akpugo,
Nkanu West Local Government Area of Enugu State, Nigeria.

3. The Purchaser has offered a valuable consideration to the


Vendor to secure the transfer and conveyance of the Vendor’s
interest thereof on the Property to the Purchaser and the
Vendor has accepted the said offer on unequivocal terms.
4. The parties have agreed to enter into this agreement in order to
set forth the terms and conditions under which the Vendor
shall convey in perpetuity his interest on the property to the
Purchaser.

NOW THIS DEED WITNESSETH AS FOLLOWS:


1. Following this agreement and in considerationof the sum of N5,
500, 000.00 (Five Million, Five Hundred Thousand Naira) paid
by the Purchaser to the Vendor (the RECEIPT of which the
Vendor hereby acknowledges). The Vendor as beneficial owner
hereby assign, convey, transfer and grant to the Purchaser free
from any encumbrance all his rights, interests and title over
THREE AND HALF PLOTS OF LAND SITUATE AT AGBEDE,
OGOLOGOEJI NDIUNO AKPUGO, NKANU WEST measuring
approximately_________________Squaremetres and bounded by

with all rights, easements and things appurtenant to it TO
HOLDto the Purchaser free from any encumbrance.

THE VENDOR HEREBY COVENANTS AS FOLLOWS:


2. That the Purchaser shall have vacant possession of the property
with effect from the date of execution of this agreement.

3. That the Purchaser shall peaceably hold and enjoy the property
without any interruption by the Vendor or any other person
claiming through, under or in trust for him.

4. To indemnify the Purchaser against all losses, claims and


damages arising or connected with any defect in the Vendor’s
title.

THE PURCHASER COVENANTS AS FOLLOWS:

5. To pay all and observe all rates, rents, covenants, conditions or


stipulations imposed or to be imposed on the property by the
appropriate authority or contained in the document of title
which the Vendor would ordinarily pay or observe if still in
occupation.

I, NNAM CHUKWUEMEKA of Odigene Ndiagu Akpugo in Nkanu


West Local Government Area, Enugu State, Nigeria(Hereinafter called
“THE DONOR” which expression shall where the context admits include
my heirs, assigns, successors-in-title, executors and administrators)
DO HEREBY APPOINT AND CONSTITUTE OGBU DANIEL ONYEKA of
Ogologoeji Ndiuno Akpugo in Nkanu West Local Government Area,
Enugu State, Nigeria(Hereinafter called “THE DONEE” which expression
shall where the context admits include his heirs, assigns, successors-
in-title, executors and administrators) my TRUE AND LAWFUL
ATTORNEYin my name and on my behalf TO DO ALL OR ANY OF THE
ACTS AND THINGS FOLLOWING:

1. To take possession of my THREE AND HALF PLOTS OF LAND


SITUATE AT AGBEDE, OGOLOGOEJI NDIUNO AKPUGO,
NKANU measuring

to administer, manage and superintend the management of the
said property.

2. To develop the property for building purposes and build a house


on it in accordance with his own approval, style and design
subject to overriding approval of the relevant government
authorities.

3. To sublet, mortgage, charge, sell or assign the said property


either to himself or to any other person or persons subject to
the terms and conditions of the Deed of Customary Conveyance.

4. To let lease or let on tenancy to a third party the buildings


already erected or to be erected on the said property.
5. To apply in his name to the appropriate State Government
Ministry for the renewal of any sub-lease, mortgage, assignment
or any other type of instrument in respect of the property.

6. To execute all instruments and sign any documents or deeds in


respect of the property and to enter into acknowledgements,
perfect and do all such deeds or agreements, instruments and
things as shall be required or may be deemed proper in relation
to all or any of the purpose or matters aforesaid.

7. To demand, collect, receive or accept at all times and on my


behalf but without giving account to me, payments by way of
rents, fees or dues from any tenant or persons who may occupy
the said property or building thereof.

8. To sign and give notices to tenants and occupiers of the said


property to quit or to repair, to abate nuisance or to remedy a
breach or to warn off, prohibit or deal with trespassers or for
any other purposes whatsoever and to delegate such powers
and to enforce all remedies open to me in respect thereof and to
enter upon the said property whether for the purpose of viewing
the state of repair thereof or in exercise of any right of re-entry
or other rights of entry vested in me and to commence,
prosecute, enforce, defend and execute all legal proceedings in
respect thereof in pursuance and in accordance with the
Recovery of Premises Law with respect to the said property.

9. To pay to appropriate authorities rents, rates, taxes,


assessments and out goings in respect of the said property.

10. To appoint any person or re-delegate the power given to him in


respect of all or any of the matters aforesaid so that the
principle of delegatus non potestdelegare shall not apply.

11. Generally and without any limitation by reference to or


inference from any other provisions of these presents to manage
all my fees affecting the said property and on my behalf to
execute and act in all things fully and effectually in all respect
as I could do.

12. I HEREBY RATIFY AND CONFIRM AND AGREE TO RATIFY


AND CONFIRM whatsoever my said Attorney shall do or cause
to be done in respect of the said property and/or buildings
thereof by virtue of this power attorney.

13. This Power of Attorney is given for valuable consideration which


I acknowledge the receipt from the Donee and is therefore
irrevocable.
