TERMS AND CONDITIONS OF OFFER 1 Responsibility Matrix 1.1 The responsibilities of both the Client and Alga are listed on the attached Responsibility Matrix. 1.2 Items indicated as the Client's responsibilities shall be provided free of charge (FOC) by the Client to Alga. 13 Items indicated as Alga’s responsibilities shall have been included in the quoted prices and rates. 2 Delivery 2.1 Delivery period shall be 14 to 16 weeks from approval and instruction to proceed with ‘manufacturing, We ask that this period be updated at the time of order placing. 22 The delivery period does not include forthe time associated with the testing of bearings. 3 Testing 3.1 Our offer does not include forthe testing of bearings. However, provisional rates for testing of bearings are stated on the attached BQ page(s). 4 Terms of Payment 4.1 Monthly payments shall be made within 30 days from the date of Alga’s invoices. 42 A 30% payment of the Sub-Contract Sum shall be required upon approval of submission by the Engineer. 43. Material-on-site shall be claimed and paid at the supply rates. 44 Installations shall be claimed and paid as monthly progress payments. 4.5. Payment terms shall be independent from any terms from the Main Contract. 5 Retention and Liquidated Damages 5.1 Retention of 10% to the maximum of 5% of Sub-Contract Sum shall be held 52 50% of retention shall be released upon substantial completion of Sub-Contract Work. 53 Remaining 50% of retention shall be released 12 months after the substantial completion of Sub- Contract Work. 54 Liquidated damages shall be capped to @ maximum of 5% of Sub-Contract Sum. 6 Performance Bonds, Levies. Warranties and Guarantees 6.1 Our offer does not include for any performance bond, levy, warranty or Guarantee, 7 ality 7.1 Our offer shall be valid for a period of 14 days from the date of this offer and subject 10 Qn thereafter. 8 Riseand Fall 8.1 Our offer is fixed for deliveries and installations before end of June 2024 and subject to ‘escalation thereafter. 9 Working Hours and Installation Conditions 9.1 Our working hours are 08:00 to 18:00 (with one hour lunch break) from Mondays to Saturdays (except Public Holidays). Working outside these hours shall be charged at over-time rates. 92 We have assumed that the installation shall be completed in 27 visits.
