THIS FACILITATION AGREEMENT is made this.....23rd..........day of
August 2022

BETWEEN

FABELO NIGERIA LIMITED, a company incorporated under the laws

of The Federal Republic of Nigeria, with its registered office at Plot 18
Doxa Street, Off Peter Odili Road, Port Harcourt, Rivers State
(hereinafter referred to as the ‘’THE COMPANY’’ which expression
shall where the context so admits include its legal representatives,
successors in title and assigns) of the one part.

AND

MAHAUYA INVESTMENT LIMITED, a company registered under the

laws of the Federal Republic of Nigeria, whose registered office is at
No12, Abidjan Crescent Unguwar Rimi, Kaduna, Nigeria(Hereinafter
referred to as "FACILITATOR" which expression shall where the
context so admits include his successor-in-title and assigns) of the
other part;

WHEREAS:

1. FABELO NIGERIA LIMITED is into the business of contracts

and procurement, sand filling, land reclamation and erosion
control;

2. The FACILITATOR offers various services to clients including
but not limited to Facilitation and brokering of deals related to
contracts and procurement services, petroleum product
marketing, haulage services & project management;
3. FABELO NIGERIA LIMITED retains the services of the
(MAHAUYA INVESTMENT LIMITED) to broker a deal with ALH
HABU IBRAHIM FAGGE to influence the award of a contract
from the ecological fund office, Abuja
4. The Company and Facilitator have agreed to enter into this
Agreement to set out the terms and conditions upon which it will
be consummated.

NOW IT IS HEREBY AGREED by the parties as follows:

1. Subject to the terms and conditions hereinafter set-forth, the

FABELO NIGERIA LIMITED hereby releases its relevant
company’s documents to the FACILITATOR to broker a deal with
the ALH HABU IBRAHIM FAGGE; who will use his political
connection & influence to ensure that FABELO NIGERIA
LIMITED wins a contract from the ECOLOGICAL FUND
OFFICE FOR THE RECLAMATION AND EMBARKMENT OF
NEWTOWNN COMMUNITY WATER-FRONT
The Facilitator hereby agrees to use his reasonable efforts, skills
and expertise to broker the deal

FACILITATORS COMMISION

1. THE COMPANY (FABELO NIGERIA LIMITED) HAS AGREED
TO GIVE THE FACILITATOR A COMMISSION OF 5% OF THE
TOTAL CONTRACT SUM AFTER ALL STATUTORY
DEDUCTIONS HAS BEEN MADE
2. THE PAYMENT FOR FACILITATORS COMMISIION OF 5%
WILL BE ONE-OFF ATER THE COMPANY FABELO NIGERIA
LIMITED HAS RECEIVED MOBLISATION FOR THE
CONTRACT

COMMENCEMENT AND DURATION

1. The effective date of commencement of this agreement shall be

the date of signing this agreement
2. This agreement shall remain valid until all conditions set out
herein are met.

REPRESENTATION AND WARRANTY

1. Each party hereto represents and warrants to each other that

it has the power and authority to execute and deliver this
Agreement and obligations and shall remain in force and
binding on it.

2. Each party hereto further represents and warrants that its

respective obligations under the provisions of the Agreement
shall remain in force and binding on it.
