That for and in consideration of the sum of ONE MILLION FIVE HUNDRED
THOUSAND PESOS (P1,500,000.00), payable in INSTALLMENTS, the manner of
payments of which is hereinbelow provided, the VENDOR hereby SELLS, TRANSFERS
and CONVEYS to the VENDEE, his heirs, successors and assigns, aforedescribed
property, subject to the following conditions:

1. The first payment as downpayment in the sum of P1,000,000.00 to be paid

2. The balance of P500,000.00 shall be paid within six (6) months to begin on

WHEREAS, the aforesaid property is subject to a Contract to Sell from Bayan Muna
Realty, under the terms and conditions stated therein.
That upon the execution of this contract, the VENDEE shall pay ONE
HUNDRED THOUSAND PESOS (P100,000.00) duly acknowledged by the
VENDORS. The balance of ONE HUNDRED EIGHTY THOUSAND PESOS
(P180,000.00) will be paid within ONE(1) year from the execution of the
contract on/or before March 31, 2006;
All duties and obligations of the VENDORS with respect to or in connection with the
subject property shall be assumed fully by the VENDEE in the aforementioned deed of mortgage,
as if the present VENDEE were the mortgagor in said mortgage deed.
All expenses necessary to perfect the title of the VENDEE in the said lot shall be for the
account of the VENDEE.
That by virtue of this agreement, the VENDORS, name, constitute and appoint the
VENDEES, to be our true and lawful attorney-in-fact for us and in our name,place and stead to
perform acts , necessary and requisite under the premises by virtue hereof;
HEREBY GIVING and GRANTING, unto said Attorney-in-Fact full powers and
authority to do and perform all and every act requisite and necessary to carry into effect the
foregoing Deed of Sale with Assumption of Mortgage as fully to all intents and purposes as we

aforesaid period of six months;
That the condition of this chattel Mortgage is such that the Mortgagor

Considering that the vehicle had suffered engine trouble , the Mortgagee
spent almost Thirteen Thousand (P13,000.00) Pesos necessary for the repair
thereof, for which the Mortgagor has yet to refund, thus, should the Mortgagor
failed to refund the same after Six(6) months the same shall bear interest of
One Thousand(P1,000.00) Pesos every month until fully paid;
That this Chattel Mortgage shall have force and effect until such time
that all the mortgagors obligation shall have been complied and satisfied as
stated in the conditions thereof.

1. That upon the execution of this contract, the VENDEE shall pay TWENTY FIVE
THOUSAND PESOS (P25,000.00) duly acknowledged by the VENDORS and another
TWENTY FIVE THOUSAND PESOS (P25,000.00) to be paid on August 12, 2005. The
balance of SEVEN HUNDRED FIFTY THOUSAND PESOS (P750,000.00) will be paid
within THREE (3) YEARS from the execution of the contract.
All duties and obligations of the VENDORS with respect to or in connection with the
monthly amortization of subject property to the P.S. Bank of which will start on August, 7, 2005
shall be assumed fully by the VENDEE in the aforementioned deed of mortgage, as if the present
VENDEE were the mortgagor in said mortgage deed.
All expenses necessary to perfect the title of the VENDEE in the said lot shall be for the
account of the VENDEE.
That by virtue of this agreement, the VENDORS, name, constitute and appoint the
VENDEE, to be my true and lawful attorney-in-fact for my and in my name, place and stead to
perform acts , necessary and requisite under the premises by virtue hereof.
HEREBY GIVING and GRANTING, unto said Attorney-in-Fact full powers and
authority to do and perform all and every act requisite and necessary to carry into effect the
foregoing Deed of Conditional Sale with Assumption of Mortgage as fully to all intents and

ACKNOWLEDGMENT
BEFORE ME, a Notary Public and in Las Piñas City, Metro Manila, this
__th day of December, 2005, personally appeared:
This instrument consisting of three (3) pages including this page wherein
the Acknowledgement is written, refers to a DEED OF CONDITIONAL SALE of a
parcel of registered land situated at Dasmariñas, Cavite, the same having been
signed by the parties together with their two instrumental witnesses, on each
and every page thereof.
WITNESS MY HAND AND NOTARIAL SEAL on the date and place first
above-written.

WITNESSETH:
1. That the VENDOR is the registered and absolute owner of a parcel of land covered by
TCT No. T-932568 situated in Bacoor, Cavite, free from all liens and encumbrances and more
particularly described as follows:
2. That the VENDOR has offered to sale, and the VENDEE has agreed to buy the above-
stated parcel of land conditionally, as follows:
a. That the VENDEE had already paid the initial sum of FOUR
HUNDRED TEN THOUSAND PESOS (P410,000.00),
Philippine currency as downpayment and the balance of ONE
HUNDRED THIRTY THOUSAND PESOS (P130,000.00),
Philippine currency, shall be paid in monthly installment of
P3,900.00 or 3% of P130,000.00 starting January 30, 2006 until
the total amount of P130,000.00 is fully paid by the VENDEE to
the VENDOR and thereafter final DEED OF ABSOLUTE SALE
shall be executed upon full payment. Failure on the part of the
VENDEE to pay the balance of P130,000.00, the initial payment
of P410,000.00 shall be forfeited in favor of the VENDOR;

b. All expenses necessary to perfect the title of the VENDEE in the said lot shall be
for the account of the VENDEE.
IN WITNESS WHEREOF, the parties have signed these presents this ____th day of
December, 2005 in Las Piñas City, Metro-Manila.
