DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

That I, MARIA ELIZABETH M. PUZON, of legal age, married, Filipino citizens,

and with residence address at No. 245 Pablo Ocampo St., La Paz, Makati City, hereinafter
referred to as the SELLER/TRANSFEROR;

-and-

ROSARIO D. MANALO married to NARDITO MANALO JR. , both of legal

age, Filipino citizens and with residence address at Rizal St., Sitio Caldera Maluid,
Vitoria, Tarlac City, hereinafter referred to as the BUYER/TRANSFERREE.

W I T N E S S E T H:

WHEREAS, the VENDOR is the registered/ lawful owner and operates of a

Business named AQUALINO PURE WATER, situated in the No. 245 Pablo Ocampo
Cor. Flordeliz St., Barangay La Paz, Makati City with Business Title
No. 9702352.

MOREOVER, the VENDOR has offered to sell the said Business and the
VENDEE has agreed to buy the above-described Business, the VENDEE accepts the
transfer and assignment in accordance with terms herein set forth;

NOW THERFORE, the parties hereby agree as follows:

That for and in consideration of the sum of ONE MILLION ONE HUNDRED
THOUSAND PESOS (Php.1,100,000.00) Philippine Currency, hereby acknowledged
by the VENDOR.

For terms and conditions described below;

First Payment April 29, 2023

(Php 100,000) Bank transfer.
Second Payment May 02, 2023
(Php 150,000) Check deposit.
Third Payment May 31, 2023
(Php 520,000) Dated Check
Fourth Payment June 30, 2023
(Php 110,000) Post Dated
Check
Fifth Payment July 30, 2023 (Php 110,000) Post Dated
Check
Last Payment August 30, 2023 (Php 110,000) Post Dated Check

NOTES:
 The quality of the water is well maintained.
 Should accommodate and sustain all existing customers.
 Renovating doors, window etc. of the water station
 Damages due to acts of nature not my liability
 To use their own company name
 1 year of contract starting June 1, 2023 up to June 1, 2024
 Used machines.

That, upon full payment of the agreed price, the VENDOR shall execute in favor
of the VENDEE, and transfer upon completion.
IN WITNESS WHEREOF the Parties have hereunto set their hands this 31th day of
May, 2023 at Quezon City, Philippines.
