Party A is the exclusive distributor in the Pakistan market authorized by Bull Group Co.,
Ltd, Party B is one of direct agency of Party A in the Pakistan, distributing ‘BULL’,
‘GONGNIU’ Brand extension products, adaptors, wall switches, wall sockets, and etc.,
to regulate the market development, the above parties reached the Agency Agreement
based on the principles of equality and mutual benefit, win-win cooperation.

1. Validity period: The agreement is valid from 01/09 /2021 to 01 /09 /2023.

2. Territory
The territory covered under this agreement shall be expressly confined to Lahore

3. Sale terms:
A. Price：Part A established a uniform market price, supply for the wholesaler
B. Part B sales products according to the uniform market price established by Part A.( see
the uniform market price list in appendix）
C. Discount : Part B must follow the uniform market price established by Part A; Party A
shall liquidate the rebates base on quarterly sales amount of Part B；Once the price
policy is violated, Party A has the right to cancel the rebates of Part B, even the
wholesaler sales agreement.

 1. Achieve numbers of stores goals will get additional rewards 200RS per shops for one
time, this amount will be adjusted in the new order.
2, Additional rewards for completing Monthly sales targets

≥600K 13%+1 %

≥800K 13%+1.5 %

E. When purchase amount above 1 million Ruppes within a month can get 3% further
discount
F. Annual Sales Target No less than 12 Million Ruppes
G. Year-end rebate for meeting annual sales target will get 1.5% purchase amount, then
will give the equal valuable goods in new order.
4. Additional notes：
A、In order to support Party B's sales expansion and channels construction, Party A shall
actively carry out corresponding promotion and other marketing support in Party B's
sales territory, including sales training, store Advertising Materials, display racks, net
hanging and other promotional materials.
5. Payment method （purchase and sale follow the uniform market price policy）
A. Payment term： 30 days with valid cheque（ Execute the above terms established
each other）
B. Payment COD whole year, less 1 % after regular discount.
6. Transportation cost bear by distributor
7. The agreement is in triplicate, Party A holds two copies, Party B holds one copy. （this
agreement not including promotion）
