Via a merchant centre, business owners can opt to settle instantly in fiat currencies (eg AUD, USD, EUR, GBP, plus 20 more) reducing the risk of price volatility for them.

Operations

There are 2 owners in the company with an equal split of shares. 100 common shares issued and
outstanding. We are incorporated as a private company (Pty Ltd) in Australia.

We have 3 full time employees and 5 part-time employees who were involved in the development of all
technologies.
The 3 full-time employees are available to work for the company post-sale should the buyer be willing to
support wages, and the developers are available for contract work should they be needed.
Of the 3 full-time employees we have an Admin Manager, Marketing Expert, and Blockchain Developer. We
cover all bases for running the business.

A typical day starts with checking the transactions processed via the merchant gateway for the running 24
hour period. We then check emails, reply to existing customers for support queries, or check the
applications inbox (those wishing to accept Crypto in their business). If there are settlement requests from
merchants we will process those via the 3rd party liquidity providers and issue a report. Now that all
development is complete, we continue outreach to prospective clients both on and offline, and partake in
general bookkeeping.

Methods of generating revenue:

Merchant Payment Gateway (currently earning revenue)

The merchant gateway allows businesses to accept cryptocurrency as a form of payment with immediate conversion into a fiat currency of their choice. We charge a 1% transaction fee on each
transaction processed via our gateway. We support more than 20 popular cryptocurrencies as a form of payment, including Bitcoin, Ethereum, Ripple, Dogecoin, Litecoin, and our in-house token.

Marketplace (not currently generating revenue, ready to accept orders)

Marketplace is an online shopping portal allowing customers to purchase items with cryptocurrencies for payment. Revenue can be generated with product sales via partnerships with Amazon etc &
drops hipping, or by on boarding merchants are charging a sale fee.

Wallet App (launched recently and generating small revenue)

The Wallet is a non-custodial cryptocurrency wallet (iOS & Android) that allows users to store, send, receive, buy, sell, and exchange a variety of popular cryptocurrencies. We generate revenue
whenever a user buys/sells/exchanges cryptocurrencies. Currently active on the Google Play store, we are pending approval on Apple.

Token
We created the SRO token that is currently trading on a leading EU exchange. Currently averaging $15,000 USD in daily transaction volume. 750,000,000 total supply, we can deliver 90% of the
token upon sale. Binance Smart Chain Token. Revenue can be generated by selling the token to the public via the licensed exchange.

Customers

Visitors are generated at the moment via organic and word of mouth (eg Linkedin, socials, email campaigns). We have yet to spend any money on marketing, however, we believe once this is
undertaken, the response rate will be quite high.

Financials

Traffic is not seasonal. We have only recently begun boarding merchants and have not noticed a period of poor performance.
With more than 30 applications from merchants waiting for on boarding, we believe steady (aggressive) growth will be easily achieved.

All deliverables of the company including domain names, payment gateway source code, mobile applications, clients, AU Company & Bank Account (if required), social media accounts (5000+
organic followers), Google/Apple Developer Accounts, Liquidity Provider/Settlement contracts, Cryptocurrency Token & Listing on Euro Exchange, 90 days ongoing support, and any other material
pertinent to the business.

Reason for Sale

Due to personal circumstances we are reluctantly selling this business. Over a 1.5 year period, we spent more than $450,000 building the technology and preparing the business for quick growth. We
would like to see the company go to a buyer who could either plug in the tech to their existing businesses, or market the products we have on offer.

Business History
The company was initially launched in 2021/22 as a place where crypto holders could spend their balances on everyday items. We allowed merchants to onboard their products and sell them using
our third-party produced payment gateway.

We began developing our merchant gateway tech and non-custodial wallet apps in early 2022. We have recently launched the merchant gateway, allowing businesses to accept dozens of
cryptocurrencies in-store or online, and instantly convert the sale to a fiat currency of their choice (eg USD, AUD, NZD, EUR…).

Our non-custodial wallet apps are finished and have been uploaded to the Apple & Google Play stores. This has become Australia’s first non-custodial crypto wallet.

Growth Potential

The growth potential for this business is truly astronomical. We have developed products that solve giant problems in the crypto space:

Spending crypto on everyday items (Marketplace)


Accepting crypto in businesses and reducing price volatility risk (Merchant Platform)
Keeping crypto safe (Wallet - your keys, your crypto: crypto is stored on a user's individual device and not on any server

We have a very good (young) reputation and with the right buyer, or continuing with our team, can grow on that very well. There are not many crypto companies with an actual office location or
offering completed products.

The best move forward would be to promote all services in conjunction with one another. Or pick your strength (ie ecommerce and promote the marketplace). Targeted advertising to the 300m+
global crypto holder community would quickly grow usage of all products.

Promotion of the SRO Token would generate a higher market cap, sales, and adoption of the coin. Offer cashback for using SRO across the network, and reward the public for using the native token.

Potential Concerns

As of July 14 2022 we are yet to experience any technological issues with this product. We have however suggested that the following issues could potentially pose a risk:

Security risks; including phishing, password corruption, data breaches. We engage in annual security audits from leading third parties.
Architecture risk; we have built our platform using latest technologies that at this stage have not revealed any flaws
Availability; we use the servers at Amazon AWS using a standard SLA. We have redundancy in place with hourly snapshots to ensure zero downtime of the platform
Capacity; we have auto scaling built in to handle/mitigate any unexpected load increases
Physical risks; none of our core databases are stored locally. Everything is remote at the AWS data center in Sydney, Australia.
Single point of failure; we have no one single point of failure that will bring the entire platform to a halt. Each part of the platform (exchange>conversion>settlement are all segmented to
reduce this risk.arkets & Kraken Pro) to ensure all liquidity events occur safely, utilizing a co-signing certificate that changes every 24 hours.
Transaction processing risk; extremely low likelihood of this event. Our webhooks and implementations via plugins have been thoroughly tested and have yet to fail.
Exchange hijacking; we have an encrypted direct API connection to liquidity partners (Finery Markets & Kraken Pro) to ensure all liquidity events occur safely, utilizing a co-signing
certificate that changes every 24 hours.

Many of the potential risks listed above are external risks rather than risk at-fault-of our development team. We utilize current/updated SSL on each server, fully encrypt all levelsof code, and use 2-
factor authentication where we deemed it necessary. We remain ever vigilant in protecting our products & services.

We do not store any cryptocurrency on our platforms. All crypto is store in non-custodial wallets (merchants control their own wallets, and we control our fee wallets).
