MEMORANDUM OF UNDERSTANDING

This is to record the MEMORANDUM OF UNDERSTANDING (MOU) made on this day of 18th September 2010 between the
below mentioned signatories to this Memorandum (hereinafter collectively referred to as “the Members”):

Yongma Engineering Co., Ltd., Korea (hereinafter referred to as “YONGMA”), a Company duly incorporated in accordance
with the Laws of Korea and having its Registered Office at 12 F, Woolim Lions Valley 3rd 5445 Sangdeawon-Dong
Joongweon-Gu Seongnam-Si Gyeonggi-Do 462-815, Korea and

Feedback Ventures Pvt. Ltd., New Delhi (FVPL), (hereinafter referred to as “FVPL”), a Company duly incorporated in
accordance with the Laws of India and having its Registered Office at Feedback House, 6, Local Shopping Center, Panchsheel
Park, New Delhi-110 017, India

For purpose of joining forces for submission of the Proposal to Directorate General Border Roads (hereinafter referred to as
“the Client”), for providing “CONSULTANCY SERVICES FOR DETAILED FEASIBILITY STUDY AND FRAMING UP OF
PHASE WISE PROPOSALS, DETAILED PROJECT REPORT (DPR) FOR CONSTRUCTION OF A 0.900 KM LONG TUNNEL
AT RUDRAPRAYAG BYPASS (PHASE-III) IN 21 BRTF SECTOR (P) SHIVALIK IN UTTARAKHAND STATE IN INDIA) ”
(hereinafter referred to collectively as “the Project”), as Members.

Whereas Members will carryout the services in accordance with accepted engineering practices for the best interest of the
Client in the event the Project is awarded to the Members.
Whereas the members agree that YONGMA shall be the lead firm in this arrangement and individual responsibilities shall be
stated in agreement to be executed when the job is awarded to the Members.

Detailed Joint Venture Agreement may be submitted at the time of signing of agreement with the Client as and when required.
The percentage share of YONGMA is 70% and FVPL is 30% for this project. The BG for submission of this tender (EMD) shall
be given by Feedback Ventures Pvt. Ltd. On behalf of the Joint Venture.
