SALE AGREEMENT

THIS AGREEMENT FOR SALE is made and executed on this the ____Day of June Two
Thousand Twenty Two (____.06.2022) at Bengaluru by and between:

MR. DEIGUVAPICHULA VISWANATHA REDDY, Aged about 62 years,


S/o. Sri. Yarram Reddy Diguvapinchula,
Pan: AEPPV6301Q.
Residing at #4-75, Matlivaripalli, Mudivedu, Chittoor, Andhra Pradesh-517350.

(Hereinafter referred to as the "VENDOR" which term wherever the context so requires
or admits shall mean and include all their respective heirs, successors, legal
representatives administrators, executors, attorneys, receivers assigns, etc.,) of the ONE
PART:

AND
1. MRS. MANASA K, Aged about 37 years
W/o. Mr. Omshidhar Somashekara Reddy
Pan: AUNPM1177F
2. MR. OMSHIDHAR SOMASHEKARA REDDY, Aged about 37 years,
S/o. Somashekar Venkatarama Reddy,
Pan: ALXPR7620R.

Both residing at Flat No.215, Adis North Lake,


Next to Vidhanasoudha Layout, Agrahara V,
Yelahanka, Bengaluru-560064.

(Hereinafter referred to as the "PURCHASER/S" which term wherever the context so


requires or admits shall mean and include all his respective heirs, successors, legal
representatives administrators, executors, attorneys, receivers assigns, etc.,) of the OTHER
PART.

Now this Agreement for Sale Witnesseth as follows:

Whereas originally -Sri. Deiguvapichula Vishwanatha Reddy, S/o Diguvapinchula Yarram


Reddy the absolute owner of the Residential Apartment No.S-2, Second Floor measuring
Carpet area of 850 sq.ft (Derived out of super built up area of 1150 sq.ft) along with
324 sq. Feet of UDS, the residential building known as "SAMVEDA" constructed on the
property bearing site bearing No. 80, carved out of Sy. No 6/3A measuring East to West
100 ft. and North to South (50 +54)/2 ft., totally measuring an extent of 5,200 Sq.ft.,
situated at Sai Sereniti Gated Community , Seegehalli Village, K.R.Puram Hobli,
Bengaluru East Talluk, which is more fully described in the schedule written hereunder

and hereinafter referred to as the as the 'SCHEDULE B and C PROPERTY', having
purchased the same from the Sri.R.V.Praveen Gowda and Smt. Anupama Reddy represented
by their GPA holders Sri.G.K.Giribabu and U.Nagaraju vide registered sale deed bearing
document No:BNS-1-04015-2021-22,Book-I, Stored in C.D.NO:BNSD1307,dated
27.07.2021, registered in the office of the Sub-Registrar, Banasavadi, Bangalore.

Whereas, the schedule B and C property now coming under the administration and
jurisdiction of Bruhath Bangalore MahanagaraPalike(BBMP) and as such, the Vendor-
Sri. Deiguvapichula Vishwanatha Reddy

As such, there are no liabilities or prior encumbrances whatsoever nature on the


schedule B and C property and Vendor have got good, valid, clear and marketable title
to sell the schedule B and C property. Thus, the Vendor is the absolute owner in
possession of schedule B and C property, having absolute right/title/interest to sell the
schedule B and C property to the purchaser, which is free from all kinds of
encumbrances.

AND WHEREAS in order to meet the family necessities and commitments and also in
view of the fact that the schedule B and C property is not yielding appropriate income,
the Vendor have offered to sell the schedule B and C property to the purchaser by
assuring the purchaser he is the absolutes owner and title holder of the schedule B
and C property and apart from them there are no other person/s who have any
manner of right, title or interest over the same.

Whereas, the Purchaser/s totally relying upon the assurances made to him by the
Vendor, has agreed to purchase the schedule B and C property free from all and any
sort of encumbrances for the total agreed sale consideration of sum of
Rs:38,00,000/- (Rupees Thirty Eight Lakhs only) and the Vendor have agreed to
sell the Schedule Property free from all and any sort of encumbrances to the
purchaser for the said total sale consideration of sum of Rs:38,00,000/- (Rupees
Thirty Eight Lakhs only) on the following mutually agreed terms and conditions.

NOW MEMORANDUM OF THIS INDENTURE WITNESSETH:


1. It is hereby mutually agreed between the parties herein that the said sale
consideration is paid by the Purchaser/s to the Vendor in the following manner.
2. Total advance of Rs.5,00,000/- (Rupees Five Lakhs only) is paid by the
purchaser/s to Vendor.

3. A sum of Rs.50,000/- (Rupees Fifty Thousand only) vide UPI Transaction ID


214225434007, dated on 22.05.2022, drawn on HDFC Bank has been paid by the
purchaser/s to the Vendor.

4. A sum of Rs.40,000/- (Rupees Forty Thousand only) vide UPI transaction ID
214225438437, dated on 22.05.2022, drawn on HDFC Bank has been paid by the
purchaser/s to the Vendor.

5. A sum of Rs.4,10,000/- (Rupees Four Lakhs Ten Thousand only) vide RTGS
reference No.RRR1532230445130, dated on 02.06.2022, drawn on SBI has been
paid by the purchaser/s to the Vendor.

6. Balance sum of Rs.33,00,000/- (Rupees Thirty Three Lakhs only) shall be


payable by the purchaser/s to the Vendor on or before the date of registration of
the Absolute Sale Deed.

7. It is hereby mutually agreed between the parties hereto that the time shall be the
essence of this contract and this sale transaction shall be completed within 2
(Two) months from the date of execution of this Agreement for Sale and can't be
extended further period without the mutual consent of the vendor and the
purchaser/s herein.

8. The Vendor hereby agree and undertake to prove her marketable title to the
schedule B and C property whenever the purchaser/s intend and also at the time
of registration of a regular sale deed/s before the Sub Registrar.

9. The Vendor hereby agree and undertake to furnish all the documents and
clearances that may be called for by the Sub Registrar while registering this Sale
transaction at her cost and risk. However, the Purchaser/s shall pay the required
stamp duty for registration of a regular sale deed and shall pay the registration
fee.

10. The Vendor hereby agree and undertake to execute the sale deed/s conveying the
title to the schedule B and C property either in total or in parts in favour of the
Purchaser/s or his nominee/s as per the instructions of the Purchaser/s.

11. The Vendor has agreed to hand over all the original documents pertaining to the
schedule B and C property on the date of registration of the sale deed in favour of
the purchaser/s by the Vendor.

12. If the Vendor fail to perform her part to complete the sale transaction as per the
Sale Agreement, then the Vendor shall return the full advance amount received
from purchaser/s without deducting any amount i.e., based on the payment made
by the purchaser/s. Upon payment of the penalty, this agreement will be
terminated / stands invalid with immediate effect.

13. If the purchaser/s fails to perform his part to complete the sale transaction as per
the Sale Agreement, then the Vendor shall forfeit a sum of 10% out of the advance
amount received from the purchaser/s and shall return only the remaining
advance amount received to the purchaser/s, i.e., based on the payment made by
the purchaser/s. Upon payment of the penalty, this agreement will be
terminated / stands invalid with immediate effect.

14. It is hereby mutually agreed between the parties that in the event of any party
committing breach of any of the aforesaid terms and conditions the aggrieved
party shall sue the defaulting party for specific performance of this indenture
rendering the defaulting party liable for the costs and consequences thereof.

SCHEDULE A PROPERTY

All that piece and parcel of the vacant residential site bearing No. 80, carved out
of Sy. No 6/3A measuring East to West 100 ft. and North to South (50 +54)/2 ft.,
totally measuring an extent of 5,200 Sq.ft., situated at Sai Sereniti Gated
Community , Seegehalli Village, K.R.Puram Hobli, Bengaluru East Talluk,
Presently within the limit of BBMP and bounded on the: -

East by : Site No.91


West by : 30 feet road
North by : Site No.79
South by : Site No.81

SCHEDULE'B' PROPERTY

324 sq. Feet undivided share, right, title and interest in the Schedule A Property.

SCHEDULE'C' PROPERTY

All that piece and parcel of the Residential Apartment No. S-2, Second Floor,
measuring Carpet area of 850 sq.ft (Derived out of super built up area of
1150 sq.ft) with One Car Parking space bearing No.S-2, the residential building
known as "SAMVEDA" constructed on the schedule A property, with floors,
ceiling and wall between units jointly belongings to such Apartment Owners
equally, including share of common area which is bounded on.

East by : Setback
West by : Corridor
North by : Flat No.S-1
South by : Setback.

The construction is on RCC Roof, Vitrified Flooring with the amenities of water,
Electricity and sanitization

IN WITNESS WHEREOF, the above mentioned parties have set and subscribed their
respective hands on signatures to this Agreement for Sale on the day, month and year
first above written in the presence of the following witnesses:
