DEED OF ABSOLUTE SALE

WITH ASSUMPTION OF MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE WITH ASSUMPTION OF MORTGAGE made


and executed in Butuan City, Philippines, by and between:

JUSTINO IV M. ESTRELLA, of legal age, Filipino, married to


JOVELYN G. ESTRELLA, and with residence at Purok 1, Doongan, Butuan
City, Agusan Del Norte, (VENDOR, for brevity);

- and -

RHUNNAH LEAH A. NAYANETRA, of legal age, Filipino, married to


IVAN PRAPAS S. NAYANETRA, and with residence at Purok 1, Poblacion 9,
Buenavista, Agusan Del Norte, (VENDEE, for brevity);

WITNESSETH:

WHEREAS, the VENDOR is the registered owner of a parcel of land located at Lot
19, Block 5, Sherwood Subdivision, Barangay Ambago, Butuan City with a housing unit
constructed thereon in accordance with the drawings, plans, and specification approved by
the Housing and Land Use Regulatory Board (HLURB), and other regulatory bodies,
covered by Transfer Certificate Title No. 157-2020003483 and Tax Declaration of Real
Property No. 20-04-0001-04466, consisting an area of NINETY EIGHT (98) square
meters and more or less, particularly described as follows;

WHEREAS, the above-described property is presently mortgaged to secure the payment
of a housing loan;

WHEREAS, the VENDOR have offered to sell and the VENDEE have agreed to buy the
above-described subject property for the total price of SIX HUNDRED FIFTY THOUSAND
PESOS (PHP650, 000.00);

NOW, THEREFORE, FOR AND IN CONSIDERATION of the foregoing premises and


of the following mutual covenants, undertaking, obligations, terms and conditions, the parties
hereto have agreed, as follows:

1. PURCHASE PRICE. The VENDOR sells to the VENDEE the above-


described subject property for SIX HUNDRED FIFTY THOUSAND PESOS
(PHP650, 000.00) payable upon execution of this Agreement.

2. The VENDEE do hereby accept this sale and bind to assume as they
hereby assume the payment of the unpaid balance of the mortgage in indebtedness
of the VENDOR as of this date in favor of the aforenamed mortgagee and does
hereby further agree to be bound by the precise terms and conditions therein
contained.

3. The VENDEE will pay the TEN THOUSAND ONE HUNDRED


SIXTY AND SEVENTY EIGHT CENTS (Php10, 160.78) Pag-IBIG Monthly
Amortization every 4th day of the month.

4. The VENDOR shall secure the approval of the Mortgagee to the


assumption by the VENDEE of the mortgage over the subject property.

5. The VENDEES shall hold the VENDOR free and harmless from any
claims or liability which may arise from the sale of the said subject property.

6. All actions, remedies, equities, as well as any other rights of recourse


enforceable by the Pag-IBIG Fund against the VENDOR and his co-borrowers
shall now and hereafter be enforceable against the VENDEE.

SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, EZEKIEL B. ESCOL, of legal age, Filipino, single, and with residence at Block 7,
Lot 21, Ira Housing, Baan Km3, Butuan City, Agusan Del Norte, do hereby name, constitute and
appoint SARAH JANE SAAVEDRA SILOR, of legal age, Filipino, married to ALAN A.
SILOR, and with residence at Mercedes Village, Montilla Boulevard, Butuan City, Agusan Del
Norte, to be my true and lawful attorney-in-fact for me in my name, place and stead to do any or
all of the following acts and deeds, to wit:

1. To represent, negotiate, transact, and process all papers on my behalf


before Pag-ibig and all other government agencies, offices and instrumentalities
in connection with my property designated as Lot 9, Block 9, Bridgetown 2
Subdivision, Villa Kananga, Butuan City.
2. To secure and/or receive the copies of all documents regarding my
property;
3. To sell, assign and dispose of the said property including the
improvements thereon under such terms and conditions acceptable to my
Attorney-in-Fact; To sign, execute and deliver the necessary Deed of Sale
covering such sale including any and all documents that may be necessary or
required thereto and to deliver possession of the property to said vendee; To
receive the proceeds of the sale, either in cash or in check and to pay expenses for
capital gains, real property tax and any and all such expenses that may be agreed
upon between the vendee;
4. To comply with all the requirements relative to water and electricity
involving the said single attached unit;
5. To cause the transfer of title/register the said sale;
6. To pay and settle the estate tax, capital gains tax, documentary stamps
taxes, transfer, registration and other fees necessary for the transfer of ownership
in the name of the buyer.
7. To register the sale/purchase of the said property.
8. To claim and receive the Certificate Authorizing Registration from the
Bureau of Internal Revenue (BIR);
9. To transact business with the Bureau of Internal Revenue (BIR),
Assessor’s Office, Registry of Deeds, Land Registration Authority, and other
government offices in all matters relating to the sale/transfer/registration of said
property in the name of the buyer.
10. To make, sign and execute, for and in my behalf, any documents which
may be necessary for the release of the certificate of title in the name of the buyer.
11. To sign, execute, receive and/or deliver contracts and agreements, other
papers and/or money to effect with his power stated in this authorization pertinent
to the above described authority.
12. To do such any other act or thing that may be required necessary or
incidental to carry out effectively any and all of the purposes for which this
authority is hereby given;

HEREBY GIVING AND GRANTING unto my/our said attorney-in-fact full power and
authority to do and perform any and all acts as may requisite or necessary to carry into effect the
foregoing authority as fully to all intents and purposes as I/we might or could lawfully do as if I
was personally present.
