In the past years, SETA has helped many seminarians through financial assistance and spiritual
support. Some of the scholars of SETA are now priests serving the Church in their own diocese. SETA has
also been a way to come together and journey with their son by carrying out their duty to strengthen
their son’s vocation through prayer and other ways. Likewise, they also give their unwavering support to
the vision of the organization facing many challenges along the way and fulfilling the tasks they are
given.
At present, SETA continues to hold on to its mission of enlightening parents of their sacred duty
and of helping their fellow parents fulfill their obligation. Guided by its vision, the organization seeks to
reach out all the more to parents and seminarians. Let us place our trust in the Lord God as we journey
with sincere hearts praying for the fulfillment of what we strive for.
CONSTITUTION
PREAMBLE
We, the parents/guardians, seminary administrators, faculty members and seminarians of San Carlos
Seminary, guided by our desire to promote and foster priestly vocations and inspired by the hope of
establishing a closer link among us and encourage participation of everybody towards the achievement
of our objectives, have decided to form an association with the following Constitution and by-laws:
ARTICLE I
Name and Office
This association shall be known as the SEMINARYO TAHANAN NG SAN CARLOS: it shall be referred to as
the SETA of San Carlos. And its office is at San Carlos Seminary, Guadalupe Viejo, Makati City,
Philippines.
ARTICLE II
Objectives
Section 2. – To develop a strong sense of commitment among the Parents/ Guardians and the habit of
working together in close union with the Seminary Administration and Faculty in the formulation and
implementation of external policies and projects.
Section 3. – To find ways and means to provide financial assistance to needy and deserving seminarians.
Section 4. – To establish criteria for Seminarians who will be extended financial aid.
Section 5. – To foster priestly vocations in their respective communities through seminars, “open house”
in the seminary, media and individual campaigns.
Section 6. – To set goals and priorities according to the available resources to respond to the needs of
the Seminarians.
ARTICLE III
Membership
Regular
Associate
Honorary
Parents of Seminarians who are duly enrolled and reside at San Carlos Seminary, members of
the Administration and Faculty of San Carlos Seminary, Resident Seminarians and Guests of the
Seminary shall automatically become Regular members of the Association.
Parents whose sons are already ordained priests shall automatically become associate members
unless they indicate otherwise.
Parents whose sons are no longer enrolled in the seminary but have not been ordained priests
shall automatically lose their membership in the Association unless they express their desire within
three (3) months from the time their sons leave the seminary to become associate members.
Any person who is neither a parent of a resident seminarian nor a member of the
Administration and Faculty of the seminary may become honorary member of the association upon
recommendation of the Executive Board.
Section 3. – The respective rights and duties of the Members of the Association shall be as follows:
Section 4. – Each Regular Member shall be issued a membership identification (ID) Card, duly signed by
both the President and Adviser of SETA; Certificates shall be issued to the Associate and Honorary
Member.
Section 5. – Only Regular Members of the Association shall have the right to vote.
ARTICLE IV
Officers
Section 1. – The Association shall have an Executive Board the composition of which is as follows:
A representative for every ten (10) Parent couples of each class. One (1) Representative is to be
elected by and from among the every ten (10) Parent Couples coming from the same class and Faculty
Members present during the first general assembly of each school year.
Presidents of the Pre-College, College and Theology departments, as Reformulate Members of
SETA Board. They are allowed to attend during the Executive Board meeting, either personally or thru
duly authorized Representative.
The Seminary Rector shall be an Ex-officio member of the Executive Board.
Section 2. – The powers of the Executive Board – the highest governing body of the Association shall be
the Executive Board. All business conducted and all property of the Association shall be controlled and
held by the Executive Board. The Executive Board shall also have the following powers:
From time to time, to make and change rules and regulations not inconsistent with this
Constitution and by-laws for the management of the Association’s business and affairs.
To purchase, receive, take or otherwise acquire for and in the name of the Association, any and
all properties, rights, or privileges, including securities and bonds of other corporations, for such
consideration and upon such terms and conditions as the Executive Board may deem proper and
convenient;
To invest funds of the Association in any banking institutions and other investment houses upon
such terms and conditions as the Executive Board may deem fair and reasonable;
To prosecute, maintain, defend, compromise or abandon any lawsuit in which the Association or
its Officers are either plaintiffs or defendants in connection with the business of the Association;
To delegate, from time to time, any of the powers of the Executive Board which may be lawfully
delegated in the course of the current business of the Association to any Standing or Special Committee
or to any Officer or agent and to appoint any person to be agent of the Association with such powers
and upon such terms as the Executive Board may deem it;
To implement the Constitution and By-Laws of the Association.
Section 3. – The members of the Executive Board shall in turn elect among themselves the following
Officers of the Association:
President
Three Vice Presidents (one coming from the Pre-College Department, the College Department
and the Theology Department).
Treasurer
Auditor
Public Relations Officer
Section 4 – The following shall automatically become Members of the Executive Board upon
appointment of the Seminary Rector:
Advisers and Co-Advisers must be any of the Resident and/or Alumni Priests of San Carlos
Seminary.
Four (4) Seminarians for the position of Secretary, Assistant Secretary and Two (2) Assistant
Treasurers.
The Vice President shall by rotation assume all the duties of the President in the absence of the latter
and such other functions as the President may from time to time delegate or assign them.
The Auditor shall check, review and assess SETA bankbooks. He or she shall and perform the audit to
obtain reasonable assurance about whether the financial statements are free of material misstatement.
The Public Relations Officer shall be the Liaison Officer with the general public and outside government
or private institutions.
The Chairman of the Standing Committees shall direct the work entrusted to the committee and present
a report on their activities at the meetings of the Association and the Executive Board.
They shall be responsible for the screening of students for scholarship and for the determination
of financial assistance to be allotted for needy Seminarians.
COMMITTEE ON FORMATION
They shall be responsible for the organization of Retreats/Recollection in coordination with the
Budget Committee.
COMMITTEE ON HEALTH
They shall be responsible for determining the health needs of the seminarians such as
medicines, sanitation in the Seminary, monitoring of contagious diseases that may endanger the lives of
the seminarians and other precautionary measures with respect to health.
ARTICLE V
Meeting
Section 1. – The Association will normally hold three (3) general assembly meetings annually:
At the beginning of the school year for planning and election of Officers that usually falls every
July;
On the set recollection for parents that usually falls every November;
On the annual celebration of Parents’ Day that usually falls every February.
Section 2. – The Executive Board shall meet regularly every third Sunday of the month and a special
meeting may be called anytime as the need arises.
Section 3. – Officers and members of the Executive Board may vote in person or by proxy in all meetings
of the Executive Board. Proxies shall be in writing, signed by the officer or member and files before the
schedules meeting with the secretary. Unless otherwise provided in the proxy, it shall be valid only for
the meeting for which it is intended.
Section 4. – All the meetings shall observe the Robert’s Rule of Order and the majority vote.
ARTICLE VI
Election
Section 1. – The election of the Executive Board shall be held during the first general assembly of the
school year.
Section 2. – The Executive Board members shall elect from among themselves the following officers of
SETA: the President, three Vice Presidents per Department, Treasurer, Auditor and Public Relations
Officer (PRO).
Section 3. – The entire Executive Board and all elected Officers have a term of one (1) year starting from
the date of their election up to the first general assembly of the succeeding year and are eligible for re-
election.
Section 4. – The manner of election shall be by open or secret balloting as the Board may decide.
ARTICLE VII
Finances
In order to build-up funds for the needs of the Seminarians, the following funds are hereby created:
Section 1. – Capital Investment Fund (SETA FOUNDATION FUND). All contributions, donations, gifts,
grants, or other endowments from private or government sources, domestic or foreign, upon the
Executive Board's approval, shall form part of the Capital Investment Fund (SETA FOUNDATION FUND).
This fund shall not be diminished nor be decreased, and only its interests, dividends and other earnings
shall be appropriated and transferred to a revolving fund.
Section 2. – Project fund. This represents any donations, proceeds or earnings from annual project(s)
initiated by the SETA Executive Board or its committee on Finance. Appropriation or utilization of this
fund shall have the approval of the SETA Executive Board.
Section 3. – Revolving fund. This represents the interests, dividends and other earnings of the capital
investment fund mentioned under Section 1 hereof which shall be transferr3ed to this account and shall
be appropriated by the SETA Executive Board to be utilized for assistance to the Seminarians.
Section 4. – SETA Ambag. As a token of concern among the members of the SETA, the SETA Ambag is
hereby formed with the following aims:
To extend voluntary help whenever a member dies; to donate generously according to one's
capacity or means.
To facilitate the giving of the donation to the concerned member; SETA will advance the amount
to be collected during the general membership meeting from each member. The Treasurer or the
Assistant Treasurers of SETA will immediately remit the amount to the concerned member.
Section 5. – Signatories:
The signatories for the SETA funds will be the following:

Any one (1) of the SETA Advisers
Treasurer
Assistant Treasurer
Any two (2) of the above can sign transactions for the SETA.
ARTICLE VIII
Amendments
Section 1. – Amendments to this Constitution and by-laws may be proposed at any general membership
meetings and shall be discussed and decided upon in the next general membership meetings.
Section 2. – This Constitution and By-laws may be amended and ratified by the majority of the all the
Members present in any of the general membership meetings duly called for this purpose.
Section 3. – This Amended Constitution and By-laws was unanimously approved and ratified this 17th
day of November, 2003 in San Carlos Seminary, Guadalupe Viejo, Makati City.
